transaksi rencana pengambilalihan saham yang
telah diungkapkan Perseroan melalui Keterbukaan
Informasi No. JRAP/SKLR/CSD/2025/IX/073
tanggal 15 September 2025, yaitu rencana
pengambilalihan saham dari PT J Resources
Nusantara (“JRN”), anak perusahaan Perseroan,
dalam PT Arafura Surya Alam (“ASA”), kepada PT
Danusa Tambang Nusantara (“DTN”), anak
perusahaan dari PT United Tractors Tbk,
berdasarkan Perjanjian Jual Beli Bersyarat tanggal
12 September 2025 (“PJBB”)(selanjutnya disebut
sebagai “Rencana Transaksi”).
Extension of Long Stop Date for a period of 3 (three)
months for the closing of the proposed transaction of
the share acquisition which have been disclosed by
the Company through the Disclosure of Information
No. JRAP/SKLR/CSD/2025/IX/073 dated 15
September 2025, which is the acquisition of shares
from PT J Resources Nusantara (“JRN”), a subsidiary
of the Company, in PT Arafura Surya Alam (“ASA”),
to PT Danusa Tambang Nusantara (“DTN”), a
subsidiary of PT United Tractors Tbk, pursuant to the

Conditional Sale and Purchase Agreement dated 12
September 2025 (“CSPA”) (hereinafter referred to as
the “Proposed Transaction”).
3. Uraian Informasi atau Fakta Berdasarkan ketentuan PJBB, Tanggal Tenggat
Material Waktu (Long Stop Date) untuk penutupan Rencana
Transaksi sebelumnya disepakati jatuh paling
lambat pada tanggal 23 Desember 2025.
Sehubungan dengan pemenuhan persyaratan
pendahuluan (condition precedents) yang saat ini
masih dalam proses, bersama ini Perseroan
sampaikan bahwa sesuai dengan ketentuan dalam
PJBB, Para Pihak sepakat untuk memperpanjang
Tanggal Tenggat Waktu selama 3 (tiga) bulan, yaitu
menjadi tanggal 23 Maret 2026.
Pursuant to the provisions of the CSPA, the Long Stop
Date for the closing of the Proposed Transaction was
previously agreed to fall no later than 23 December
2025.
Considering that the fulfilment of the condition
precedents currently are still in process, therefore we
hereby inform you that in accordance to the term
under CSPA, the Parties agreed to extend the Long
Stop Date under the CSPA for 3 (three) months to 23
March 2026.
