Transaksi ini adalah transaksi material dikarenakan nilai Transaksi yang merupakan 40,47% (empat puluh koma empat
tujuh persen) dari ekuitas Perseroan berdasarkan Laporan Keuangan Perseroan per 30 Juni 2025 yang ditelaah secara
terbatas oleh Kantor Akuntan Publik Paul Hadiwinata, Hidajat, Arsono, Retno, Palilingan Rekan. Namun demikian,
Transaksi merupakan transaksi yang dikecualikan berdasarkan Pasal 13 Peraturan OJK No. 17/POJK.04/2020 tentang
Transaksi Material dan Perubahan Kegiatan Usaha, karena merupakan transaksi sehubungan dengan kegiatan usaha
Perseroan yang dijalankan dalam rangka menghasilkan pendapatan usaha dan dijalankan secara rutin.
Selanjutnya, Transaksi ini juga bukan merupakan transaksi afiliasi sebagaimana dimaksud dalam Peraturan OJK No.
42/POJK.04/2020 tentang Transaksi Afiliasi dan Benturan Kepentingan.

 Description of Material Information or        On 23 December 2025, the Company and SP Corporate Fund
 Facts                                         (Subsidiary of the Company) purchases 14,759,200 (fourteen
                                               million seven hundred fifty nine thousand two hundred) shares
                                               of MLPT owned by PT JGAsia Capital Group (Trannsactions)
                                               with the following Transaction details as follows:

                                               1.        Transaction Parties

                                               a.        Company.
                                               b.        SP Corporate Fund (Subsidiary of the Company).
                                               c.        PT JGAsia Capital Group.

                                               2.        Transaction Object

                                               14,759,200 (fourteen million seven hundred fifty nine thousand
                                               two hundred) shares of MLPT, representing 0.787% (zero
                                               point seven eight seven percent) of total shares with fully paid
                                               voting rights to MLPT.

                                               3.        Transaction Value

                                               Total Transaction value of Rp903,263,040,000 (nine hundred
                                               three billion two hundred sixty three million forty thousand
                                               Rupiah) or Rp61,200 (sixty one thousand two hundred Rupiah)
                                               per share.

                                               Transaction settlement has been done through negotiated
                                               market at Indonesia Stock Exchange.

Other Information

This transaction is a material transaction due to the Transaction's value, which constitutes 40.47% (forty point four
sevent percent) of the Company's equity based on the Company's Financial Statements as of June 30, 2025, which
were reviewed on a limited basis by the Public Accounting Firm Kantor Akuntan Publik Paul Hadiwinata, Hidajat,
Arsono, Retno, Palilingan Rekan. However, the Transaction is an exempted transaction under Article 13 of OJK
Regulation No. 17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities, as it is a
transaction related to the Company's business activities carried out to generate business income and conducted
routinely.
Furthermore, this Transaction is also not an affiliated transaction as referred to in OJK Regulation No.
42/POJK.04/2020 concerning Affiliated Transactions and Conflicts of Interest.
