Uraian Informasi atau Fakta Material Pada perdagangan saham Perseroan, berdasarkan informasi
yang diperoleh Perseroan dari pihak lain, sempat tercatat
antrian penawaran jual sekitar 68.000.000 lot. Jumlah tersebut
secara signifikan melampaui total saham Perseroan yang
tercatat di Bursa Efek Indonesia sebanyak 12.660.000 lot,
termasuk saham yang dimiliki masyarakat sebanyak 2.660.000
lot. Antrean penawaran jual tersebut merupakan order yang
tercantum dalam order book dan tidak dengan sendirinya
menunjukkan adanya transaksi yang telah terlaksana.
Kemunculan antrian penawaran jual tersebut menarik
perhatian pasar. Pada periode yang sama, perdagangan
saham JELI mengalami peningkatan tekanan jual dan
volatilitas, yang berpotensi memengaruhi persepsi investor
terhadap perdagangan saham Perseroan. Sehubungan
dengan hal tersebut, Perseroan menyampaikan keterbukaan
informasi ini guna memberikan informasi yang akurat,
memadai, dan berimbang kepada investor serta pemangku
kepentingan.
Berdasarkan pertemuan dengan Bursa Efek Indonesia (BEI)
pada tanggal 30 Juli 2026, BEI memberikan klarifikasi bahwa
kejadian tersebut bukan disebabkan oleh gangguan sistem
BEI, serangan siber (cyberattack), maupun gangguan teknis
(glitch) pada sistem perdagangan BEI. Berdasarkan
penelusuran awal BEI, kejadian tersebut berkaitan dengan
adanya indikasi ketidaksesuaian penyampaian pesanan
(order) jual oleh Anggota Bursa (AB) yang mengakibatkan
munculnya penawaran jual dalam jumlah yang jauh melebihi
jumlah saham Perseroan yang tercatat di BEI. Indikasi adanya
permasalahan pada AB tersebut saat ini masih dalam proses
penelaahan oleh Bursa terhadap pihak terkait.
Perseroan tetap berkomitmen pada keterbukaan informasi,
penerapan tata kelola perusahaan yang baik (Good Corporate
Governance), serta komunikasi yang transparan dengan
investor, regulator, dan pemangku kepentingan. Perseroan
juga terus berfokus pada pengembangan usaha dan
peningkatan kinerja untuk menjaga fundamental bisnis di
tengah dinamika ekonomi global serta menciptakan nilai
jangka panjang bagi pemegang saham.

Description of Material Information or During the trading of the Companys shares, based on
Facts information obtained by the Company from third parties, sell
orders of approximately 68,000,000 lots were recorded in the
order book. This volume significantly exceeded the total
number of the Companys listed shares on the Indonesia Stock
Exchange, amounting to 12,660,000 lots, including 2,660,000
lots held by public shareholders (free float). The recorded sell
orders represented orders recorded in the order book and did
not, by themselves, indicate that such orders had been
executed.
The emergence of the aforementioned sell order queue has
attracted market attention. During the same period, trading in
JELI shares experienced increased selling pressure and
volatility, which could potentially affect investors perception of
the trading of the Companys shares. In light of these
circumstances, the Company hereby provides this disclosure
of information to ensure that accurate, adequate, and balanced
information is available to investors and stakeholders.
Based on the meeting with the Indonesia Stock Exchange
(IDX) on July 30, 2026, the IDX clarified that the incident was
not caused by any disruption to the IDX system, a cyberattack,
or a technical glitch in the IDX trading system. Based on the
IDXs preliminary investigation, the incident was related to an
indication of an irregularity in the submission of sell orders by a
Trading Member, which resulted in sell offers being placed in
an amount significantly exceeding the total number of the
Companys shares listed on the IDX. The indication of an issue
involving the Trading Member is currently under further review
by the Exchange with the relevant parties.
The Company remains committed to information transparency,
the implementation of Good Corporate Governance (GCG),
and transparent communication with investors, regulators, and
other stakeholders. The Company will continue to focus on
business development and operational performance to
maintain strong business fundamentals amid global economic
dynamics and create long term value for shareholders.
Impact of event, material information or Negative market perception triggered selling pressure (panic
facts towards Issuers or Public selling), resulting in abnormal movements in the trading price
Company’s operational activities, legal, of JELI shares and affecting the market perception of the
financial condition, or going concern company's shares. Nevertheless, this condition did not have a
material impact on the company's operational activities, legal
condition, financial condition, or business continuity. The
Company's operations and fundamental conditions remain
well-maintained.
