 Uraian Informasi atau Fakta Material         Pada tanggal 23 Desember 2025, Perseroan, Lintasarta, dan
                                              Investor telah menandatangani Perjanjian Investasi yang
                                              mengatur kerangka investasi antara Para Pihak terkait usaha
                                              infrastruktur dark fiber dan sistem terkait yang dijalankan serta
                                              dimiliki oleh Perseroan dan Lintasarta di Indonesia, dimana:
                                              a. Perseroan dan Lintasarta masing-masing merupakan
                                              pemilik dan pengelola atas aset berupa kumpulan jaringan
                                              kabel optik (Aset);
                                              b. Investor akan melakukan pengambilalihan atas suatu
                                              perusahaan tertutup (Perusahaan Target) secara tidak
                                              langsung melalui suatu perusahaan terbuka yang sahamnya
                                              tercatat di Bursa Efek Indonesia (PT Tbk) yang akan
                                              ditentukan kemudian; dan
                                              c. Para Pihak bermaksud untuk melakukan serangkaian
                                              transaksi yang mencakup pengalihan Aset ke dalam
                                              Perusahaan Target dan pengambilalihan Perusahaan Target
                                              oleh PT Tbk melalui kombinasi utang, penyetoran modal
                                              dalam bentuk non-tunai, dan secara tunai yang diperoleh
                                              melalui penambahan modal dengan memberikan hak
                                              memesan efek terlebih dahulu oleh PT Tbk. Transaksi tersebut
                                              akan mengakibatkan Para Pihak menjadi pemegang saham
                                              secara langsung di PT Tbk dan selanjutnya PT Tbk akan
                                              memiliki mayoritas saham di dalam Perusahaan Target.

                                              Perjanjian Investasi ini merupakan dokumen awal sebagai
                                              kerangka atas pelaksanaan Rencana Transaksi, yang memuat
                                              diantaranya komitmen umum para pihak, tahapan utama dari
                                              Rencana Transaksi, serta penyelesaian dari Rencana
                                              Transaksi yang akan tunduk pada setiap kondisi prasyarat dan
                                              ketentuan ketentuan lainnya yang diatur lebih lanjut dalam
                                              dokumen transaksi definitif yang dibuat terpisah.
 Dampak kejadian, informasi atau fakta        Penandatanganan Perjanjian Investasi tidak berdampak
 material tersebut terhadap kegiatan          signifikan maupun merugikan terhadap kegiatan operasional,
 operasional, hukum, kondisi keuangan,        hukum, atau kelangsungan usaha Perseroan
 atau kelangsungan usaha Emiten atau
 Perusahaan Publik



Informasi Lain

Lintasarta merupakan perusahaan terkendali Perseroan yang dimiliki secara langsung sebesar 72,36%. Lebih lanjut,
Perseroan tidak memiliki hubungan afiliasi dengan Investor. Dalam hal perjanjian-perjanjian definitif sehubungan dengan
Rencana Transaksi yang akan dibuat secara terpisah telah berlaku efektif merupakan Transaksi Material sebagaimana
dimaksud dalam Peraturan OJK No.17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha
(POJK 17/2020) dan/atau Transaksi Afiliasi sebagaimana dimaksud dalam Peraturan OJK No. 42/POJK.04/2020
tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan (POJK 42/2020), maka Perseroan akan tunduk pada
pemenuhan sebagaimana diatur dalam POJK 17/2020 dan/atau POJK 42/2020, sebagaimana relevan.

                                             The signing of the Investment Agreement between PT Indosat

                                             Company and Lintasarta, hereinafter collectively referred to as
                                             the Parties) dated 23 December 2025 (Investment Agreement)

 Description of Material Information or        On 23 December 2025, the Company, Lintasarta, and the
 Facts                                         Investor executed an Investment Agreement setting out the
                                               investment framework among the Parties in relation to the dark
                                               fiber infrastructure and associated systems business carried
                                               and owned by the Company and Lintasarta in Indonesia,
                                               whereas:
                                               a. The Company and Lintasarta are the respective owners and
                                               operators of assets, which are a selection of fiber optic
                                               network (the Assets);
                                               b. The Investor will acquire a private company (the Target
                                               Company) indirectly through a public company whose shares
                                               are listed on the Indonesia Stock Exchange (the Listed
                                               Company) that will be determined at a later date; and
                                               c. The Parties intend to enter into a series of transactions
                                               involving the transfer of the Assets into the Target Company
                                               and the subsequent acquisition of the Target Company by the
                                               Listed Company through a combination of debt, in-kind
                                               contribution and cash raised through a rights issue by the
                                               Listed Company.
                                               As a result, the Parties will hold shares directly in the Listed
                                               Company and, thereafter, the Listed Company holding a
                                               majority of the shares in the Target Company.

                                               (the Proposed Transaction).

                                               This Investment Agreement serves as an initial document
                                               providing the framework for implementing the Proposed
                                               Transaction, including, among other things, the parties general
                                               commitments, the principal stages of the Proposed
                                               Transaction, and the completion of the Proposed Transaction,
                                               all of which will be subject to the conditions precedent and
                                               other terms to be further provided in separate definitive
                                               transaction documents.

Other Information

Lintasarta is a controlled subsidiary of the Company, directly owned at 72.36%. Furthermore, the Company does
not have any affiliated relationship with the Investor. In the event that the definitive agreements relating to the
Proposed Transaction, which will be executed separately, become effective and constitute a Material Transaction
as referred to under OJK Regulation No. 17/POJK.04/2020 on Material Transactions and Changes in Business
Activities (POJK 17/2020) and/or an Affiliated Transaction as referred to under OJK Regulation No.
42/POJK.04/2020 on Affiliated Transactions and Conflict of Interest Transactions (POJK 42/2020), the Company
will comply with the requirements set out under POJK 17/2020 and/or POJK 42/2020, as applicable.
