Fakta Material oleh Emiten atau Perusahaan Publik (sebagaimana diubah dengan Peraturan OJK No. 45
Tahun 2024 tentang Pengembangan dan Penguatan Emiten dan Perusahaan Publik) dan Peraturan No. I-
E tentang Kewajiban Penyampaian Informasi sebagaimana tercantum dalam Keputusan Direksi BEI
No. Kep-00066/BEI/09-2022 dengan ini izinkan kami, PT Sumber Mas Konstruksi Tbk (“Perseroan”),
menyampaikan Laporan Informasi atau Fakta Material sebagai berikut:
In accordance with the OJK Regulation No. 31/POJK.04/2015 concerning Disclosure of Material
Information or Facts by Issuers or Public Companies (as amended by OJK Regulation No. 45 of 2024
on the Development and Strengthening of Issuers and Public Companies) and Regulation No. I-E
concerning Obligations to Submit Information as stated in the Decree of the IDX Board of Directors
No. Kep-00066/BEI/09-2022 hereby permits us, PT Sumber Mas Konstruksi Tbk (the “Company”), to
submit the following Material Information or Facts Report:

3. Uraian Informasi atau Fakta Material. Pada tanggal 22 Desember 2025, Lim Shrimp Org Pte. Ltd. (“LSO”)
dan Perseroan telah menandatangani Conditional Sale and Purchase
Agreement (“CSPA”).
Berdasarkan CSPA tersebut, LSO berjanji akan menjual saham-
saham miliknya dalam Panasia Aquaculture Pte. Ltd. yang
merupakan sebuah perusahaan yang didirikan berdasarkan hukum
Republik Singapura dan beralamat di 16 Kallang Place, #03-02,
Singapura (339156) ("Panasia") yang merupakan 100% (seratus
persen) dari modal disetor Panasia ("Transaksi") kepada Perseroan.
Transaksi tersebut akan diselesaikan ketika seluruh kondisi-kondisi
prasyarat dalam CSPA telah dipenuhi oleh LSO dan Perseroan.
Apabila penjualan sebagaimana diatur dalam CSPA telah
diselesaikan maka Perseroan akan memiliki 100% (seratus persen)
saham dalam Panasia.
Jumlah nilai Transaksi tersebut diperkirakan akan berkisar sampai
dengan USD100.000.000 (seratus juta Dolar Amerika Serikat), yang
akan ditentukan kemudian dengan mengacu pada hasil Laporan
Penilaian Independen atas valuasi Panasia yang akan diterbitkan
oleh Penilai Independen yang ditunjuk oleh Perseroan sebelum
pelaksanaan Penawaran Umum Terbatas dengan Hak Memesan Efek
Terlebih Dahulu yang rencananya akan dilakukan pada tahun 2026.
Penyelesaian Transaksi ini tunduk pada pemenuhan beberapa
kondisi prasyarat dengan tanggal akhir penyelesaian maksimal pada
tanggal 30 Juni 2026 yang dapat diperpanjang dengan kesepakatan
kedua belah pihak dalam hal diperlukan tambahan waktu untuk
memenuhi kondisi-kondisi prasyarat.
Description of Material Information On December 22, 2025, Lim Shrimp Org Pte. Ltd. (“LSO”) and the
or Facts. Company entered into a Conditional Sale and Purchase Agreement
(“CSPA”).
Pursuant to the CSPA, LSO has committed to selling its shares in
Panasia Aquaculture Pte. Ltd. which is a company incorporated in
the Republic of Singapore with an address at 16 Kallang Place, #03-
02, Singapore (339156) ("Panasia") which constitutes 100% (one
hundred percent) of Panasia's issued capital ("Transaction") to the
Company. The sale will be completed once all the conditions
precedents in the CSPA are fulfilled by LSO and the Company. If the
sale as regulated under the CSPA is completed, the Company will
own 100% (one hundred percent) shares in Panasia.
The total transaction value is estimated to be up to USD
100,000,000 (one hundred million United States Dollars), which will
be determined at a later date by reference to the results of the
Independent Valuation Report on the valuation of Panasia to be
issued by the Independent Appraiser appointed by the Company
prior to the implementation of the Rights Issue with Pre-emptive
Rights which is planned to be conducted in 2026.

This Transaction is subject to the fulfilment of several conditions
precedents with the long-stop date being 30 June 2026 which may be
extended if necessary based on the approval of both parties.
4. Dampak kejadian, informasi atau Transaksi ini tidak berdampak negatif terhadap kegiatan operasional,
fakta material terhadap kegiatan hukum, kondisi keuangan atau kelangsungan usaha Perseroan.

Pengembangan Budidaya Perikanan guna meningkatkan nilai dan
kinerja Perseroan di masa mendatang. Penembangan usaha tersebut
dilakukan dengan pengalihan aset baru berupa Panasia kepada
Perseroan, perubahan kegiatan usaha Perseroan akan dilakukan
dengan memperhatikan peraturan perundangan yang berlaku
termasuk namun tidak terbatas pada Peraturan OJK No.
17/POJK.04/2020 tentang Transaksi Material dan Perubahan
Kegiatan Usaha Utama ("POJK No. 17/2020").

business experience of LSO as the controller of the Company which

value and performance of the Company in the future. The business
development will be conducted through transfer of new asset i.e.,
Panasia to the Company, the change in business activities of the
Company will be conducted in observance of the applicable laws
and regulations including but not limited to OJK Regulation No.
17/POJK.04/2020 on Material Transactions and Change of Main
Business Activities ("POJK No. 17/2020").
5. Keterangan lain-lain. Penyelesaian Transaksi ini tunduk pada pemenuhan beberapa
persyaratan pendahuluan sebagaimana diatur dalam CSPA, antara
lain, penentuan nilai wajar oleh Penilai Independen.
Transaksi ini merupakan transaksi afiliasi sebagaimana diatur dalam
Peraturan OJK No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan
Transaksi Benturan Kepentingan, yang memerlukan penentuan nilai
wajar oleh Penilai Independen dan akan diumumkan oleh Perseroan
melalui keterbukaan informasi paling lambat 2 (dua) hari kerja
setelah Transaksi selesai dilaksanakan.
Perseroan akan memenuhi ketentuan-ketentuan dalam Peraturan
POJK No. 17/2020 apabila nilai Transaksi memenuhi nilai material
sebagaimana dimaksud dalam POJK No. 17/2020.
Others. The Completion of this Transaction is subject to the fulfillment of
several conditions precedents as stipulated in the CSPA, among
others, determination of the fair value by an Independent Appraiser.

This Transaction is an affiliated transaction as regulated under OJK
Regulation No. 42/POJK.04/2020 on Affiliate Transactions and
Conflict of Interest Transactions, which requires the determination
of fair value by an Independent Appraiser and will be announced by
the Company through disclosure at the latest 2 (two) business days
after the Transaction is completed.
The Company will fulfill the requirements under POJK No. 17/2020
if the value of the Transaction fulfills the materiality thresholds as
regulated under POJK No. 17/2020.
