Jasa Sewa Armada Kapal (Marine Fleet Charter) Untuk
Mendukung Proyek Genting Floating Liquefied Natural (FLNG)
Uraian Informasi atau Fakta Material 1. Dengan merujuk pada Peraturan OJK No. 31/POJK.04/2015
tentang Keterbukaan atas Informasi atau Fakta Material oleh
Emiten atau Perusahaan Publik, Perseroan dengan ini
menginformasikan bahwa telah ditetapkan sebagai pemenang
tender Penyediaan Marine Fleet Charter untuk mendukung
Proyek Genting Floating Liquefied Natural Gas (FLNG).
2. Adapun detail project sebagai berikut:
a. Pemberi kerja PT Layar Nusantara Gas (PTLNG), yang
merupakan bagian dari Genting Group
b. Dengan tender #029/MFC/PTLNG/2024-Provision of marine
fleet charter to support Genting Floating Liquefied Natural Gas
(FLNG) Project.
c. Area kerja di Teluk Bintuni, Papua Barat
d. Jumlah armada sebanyak 6 (enam) unit kapal dengan
komposisi sebagai berikut :
i) 1 (satu) unit Crew Boat
ii) 1 (satu) unit Pilot Boat
iii) 1 (satu) unit Offshore Supply Vessel
iv) 3 (tiga) unit Multi-Purpose Tug
3. Periode persiapan dan pembangunan armada hingga 18
(delapan belas) bulan serta periode charter hingga 18
(delapan belas) tahun, yang pelaksanaannya tunduk pada
pemenuhan syarat-syarat pendahuluan (conditions precedent)
sebagaimana diatur dalam perjanjian. Periode charter belum
dimulai dan akan berlaku efektif setelah seluruh syarat
pendahuluan terpenuhi dan tanggal mobilisasi ditetapkan oleh
Para Pihak.
4. Total estimasi kontrak hingga sekitar Rp2,39 Triliun
sepanjang masa operasional, dengan realisasi bergantung
pada efektivitas perjanjian dan utilisasi armada sesuai
ketentuan kontrak.

Dampak kejadian, informasi atau fakta 1. Dengan memenangkan tender Penyediaan Marine Fleet
material tersebut terhadap kegiatan Charter untuk mendukung Proyek Genting Floating Liquefied
operasional, hukum, kondisi keuangan, Natural Gas (FLNG) untuk long contract 18 (delapan belas)
atau kelangsungan usaha Emiten atau tahun akan memberikan kepastian dan peningkatan revenue
Perusahaan Publik 2. Memberikan kepastian dan going concern kelangsungan
usaha Perseroan dibidang offshore
3. Memperkuat posisi Perseroan pada Perusahaan Hilir
Minyak dan Gas dengan adanya penambahan 6 armada baru.
4. Pendanaan atas pengadaan 6 (enam) kapal berasal dari
kas Perseroan dan pinjaman perbankan
5. Akan terdapat peningkatan liabilitas yang disertai dengan
peningkatan revenue dengan kemampuan pembayaran positif
karena kontrak longterm 18 (delapan belas) tahun.
Informasi Lain
Meningkatkan kepercayaan dan kapabilitas serta kemampuan Perseroan pada Perusahaan Hilir Minyak dan Gas yang
terafiliaasi dengan perusahaan multinasional untuk ekspansi Perseroan kedepannya yang saat ini area operasional
meliputi Asia-Pasifik. Keterbukaan Informasi ini baru kami lakukan terkait adanya confidentially requirement dan
persetujuan rilis yang wajib disetujui bersama.

Disclosure of Information on the Winner of the Tender for
Type of Material Information or Facts Marine Fleet Charter Services to Support the Genting Floating
Liquefied Natural Gas (FLNG) Project
Description of Material Information or 1. With reference to OJK Regulation No. 31/POJK.04/2015
Facts concerning Disclosure of Material Information or Facts by
Issuers or Public Companies, the Company hereby announces
that it has been selected as the winner of the Marine Fleet
Charter tender to support the Genting Floating Liquefied
Natural Gas (FLNG) Project.
2. The project details are as follows:
a. The employer is PT Layar Nusantara Gas (PTLNG), which
is part of the Genting Group.
b. Tender #029/MFC/PTLNG/2024-Provision of marine fleet
charter to support Genting Floating Liquefied Natural Gas
(FLNG) Project.
c. The work area is in Bintuni Bay, West Papua.
d. The fleet consists of 6 (six) vessels with the following
composition:
i) 1 (one) Crew Boat
ii) 1 (one) Pilot Boat
iii) 1 (one) Offshore Supply Vessel
iv) 3 (three) Multi-Purpose Tugs
3. The preparation and construction period for the fleet is up to
18 (eighteen) months and the charter period is up to 18
(eighteen) years, the implementation of which is subject to the
fulfillment of conditions precedent as stipulated in the
agreement. The charter period has not yet commenced and
will take effect after all preliminary conditions have been
fulfilled and the mobilization date has been determined by the
Parties.
4. The total estimated contract value is approximately IDR 2.39
trillion for the entire operational period, with realization
depending on the effectiveness of the agreement and
utilization of the fleet in accordance with the provisions of the
contract.

Impact of event, material information or 1. Winning the Marine Fleet Charter tender to support the
facts towards Issuers or Public Genting Floating Liquefied Natural Gas (FLNG) Project for a
Company’s operational activities, legal, long contract of 18 (eighteen) years will provide certainty and
financial condition, or going concern increase revenue.
2. Providing certainty and going concern for the Company's
business continuity in the offshore sector.
3. Strengthening the Company's position in the Oil and Gas
Downstream Company with the addition of 6 new fleets.
4. Funding for the procurement of 6 (six) vessels comes from
the Company's cash and bank loans.
5. There will be an increase in liabilities accompanied by an
increase in revenue with positive payment capabilities due to
the 18 (eighteen) year long-term contract.
Other Information
Enhancing the trust, capabilities, and abilities of the Company in downstream oil and gas companies affiliated with
multinational companies for the Company's future expansion, which currently covers the Asia-Pacific region. We
have only disclosed this information due to confidentiality requirements and the need for mutual approval of the
release.
