Uraian Informasi atau Fakta Material Pihak-pihak yang bertransaksi adalah sebagai berikut:
PT Waskita Karya Realty (WKR), suatu anak
perusahaan dari Perseroan dengan kepemilikan
saham sebesar 99.99% (sembilan puluh
sembilan koma sembilan sembilan persen). WKR
adalah pemegang saham dalam PT Waskita
Modern Realty (WMR) sebanyak 248.022 (dua
ratus empat puluh delapan ribu dua puluh dua)
lembar saham.
PT Asthana Griya Permasindo (AGP), suatu
perusahaan yang juga merupakan pemegang
saham dalam WMR sebanyak 1.653 (seribu
enam ratus lima puluh tiga) lembar saham.
WKR dan AGP telah menandatangani Akta Jual Beli
Nomor 582 tanggal 19 Desember 2025, yang dibuat di
hadapan Tiara Vita, Sarjana Hukum, Magister
Kenotariatan, Notaris di Kabupaten Bekasi, dengan
ketentuan pokok sebagai berikut:
WKR setuju untuk menjual, mengalihkan dan
memindahkan kepada AGP hak atas saham
sebanyak 82.674 (delapan puluh dua ribu enam
ratus tujuh puluh empat) lembar saham atau
setara dengan 20% (dua puluh persen) dari
seluruh saham yang telah ditempatkan dan
disetor dalam WMR, yang akan berlaku efektif
sejak tanggal 19 Desember 2025 (Divestasi
Saham di WMR).
WKR dan AGP sepakat bahwa harga Divestasi
Saham di WMR tersebut ditetapkan sebesar
Rp90.122.900.000 (sembilan puluh miliar
seratus dua puluh dua juta sembilan ratus ribu
rupiah).
Divestasi Saham di WMR dilakukan dengan tujuan
untuk melakukan optimalisasi portofolio investasi
Perseroan dan memperkuat posisi likuiditas WKR,
guna mendukung pengembangan proyek-proyek
strategis serta memberikan nilai tambah bagi WKR,
Perseroan dan para pemangku kepentingan terkait.
Dampak kejadian, informasi atau fakta Aksi korporasi ini menjadi bagian penting dari strategi
material tersebut terhadap kegiatan restrukturisasi dan transformasi bisnis Perseroan dan
operasional, hukum, kondisi keuangan, semakin memperkuat strategi Perseroan untuk
atau kelangsungan usaha Emiten atau melakukan streamlining kepada entitas anak usaha
Perusahaan Publik Perseroan demi menciptakan kegiatan operasional
Perseroan yang sustainable.

Realty
Description of Material Information or The parties to the transaction are as follows:
Facts
PT Waskita Karya Realty (WKR), a subsidiary of the Company
with a share ownership of 99.99% (ninety-nine point ninety-
nine percent). WKR is a shareholder in PT Waskita Modern
Realty (WMR) holding 248.022 (two hundred forty-eight
thousand and twenty-two) shares.
PT Asthana Griya Permasindo (AGP), a company that is also a
shareholder in WMR, holding 1.653 (one thousand six hundred
and fifty-three) shares.
WKR and AGP have entered into and executed Deed of Sale
and Purchase No. 582 dated 19 December 2025, drawn up
before Tiara Vita, Bachelor of Laws, Master of Notarial Law,
Notary in Bekasi Regency, with the following principal terms
and conditions:
WKR has agreed to sell, transfer, and convey to AGP
ownership of 82,674 (eighty-two thousand six hundred and
seventy-four) shares, representing 20% (twenty percent) of the
total issued and fully paid-up shares in WMR, which shall be
effective as of 19 December 2025 (the Divestment of Shares in
WMR).
WKR and AGP have agreed that the purchase price for the
Divestment of Shares in WMR shall be IDR 90.122.900,000
(ninety billion one hundred twenty-two million nine hundred
thousand Rupiah).
The Divestment of Shares in WMR is carried out with the
objective of optimizing the Companys investment portfolio and
strengthening WKR liquidity position, in order to support the
development of strategic projects and to provide added value
for WKR, the Company, and the relevant stakeholders.

Impact of event, material information or This corporate action constitutes an important part of the
facts towards Issuers or Public Companys business restructuring and transformation strategy
Company’s operational activities, legal, and further strengthens the Companys strategy to streamline
financial condition, or going concern its subsidiary entities in order to create sustainable operational
activities.
