Telematika Indonesia Tbk (“MORA”) (selanjutnya secara
bersama-sama disebut sebagai “Pihak-Pihak yang Melakukan
Penggabungan”) berencana untuk melakukan penggabungan
usaha di mana Pihak-Pihak yang Melakukan Penggabungan telah
sepakat bahwa MORA akan menjadi entitas penerima
penggabungan (“Rencana Penggabungan”). Lebih lanjut,
Rencana Penggabungan tersebut dituangkan dalam ringkasan

rancangan penggabungan dan diumumkan oleh Pihak-Pihak yang
Melakukan Penggabungan, pada media cetak Media Indonesia
dan Investor Daily (“Ringkasan Rancangan Penggabungan”).
Rencana Penggabungan ini akan menjadi efektif setelah seluruh
persyaratan penggabungan sebagaimana tercantum dalam
Ringkasan Rancangan Penggabungan terpenuhi.
Nilai transaksi, tujuan transaksi, tata cara pengalihan saham, dan
sumber dana yang digunakan sehubungan dengan Rencana
Penggabungan dapat dilihat secara rinci dalam Ringkasan
Rancangan Penggabungan.
Sampai dengan tanggal Rencana Penggabungan ini diumumkan,
baik Perseroan maupun EMR tidak memiliki hubungan afiliasi
dengan MORA.
Description of material PT Eka Mas Republik (“EMR”), an indirect subsidiary of the
information or facts
Company with more than 99% effective ownership, and PT Mora
Telematika Indonesia Tbk (“MORA”) (hereinafter collectively
referred to as “Merging Parties”), intend to conduct a business
merger, pursuant to which the Merging Parties have agreed that
MORA will be the surviving entity (the “Proposed Merger”).
Furthermore, the Proposed Merger is outlined in the summary of
the Proposed Merger and announced by the Merging Parties, in
the Media Indonesia and Investor Daily newspapers (the
“Summary of the Proposed Merger”). This Proposed Merger will
become effective after all merger requirements as set out in the
Summary of the Proposed Merger are fulfilled.
The transaction value, transaction objectives, procedures for the
transfer of shares, and the source of funds to be used in the
Proposed Merger are described in detail in the Summary of the
Proposed Merger.
As of the date of the announcement of this Proposed Merger,
neither the Company nor EMR has any affiliation with MORA.

dan benturan kepentingan sebagaimana dimaksud dalam
Peraturan OJK No. 42/POJK.04/2020 tentang Transaksi Afiliasi
dan Transaksi Benturan Kepentingan. Rencana Penggabungan
juga bukan merupakan transaksi material sebagaimana dimaksud
dalam Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi
Material dan Perubahan Kegiatan Usaha.

transaction as referred to in OJK Regulation No. 42/POJK.04/2020
on Affiliated Transactions and Conflict of Interest Transactions.
The Proposed Merger is also not a material transaction as referred
to OJK Regulation No. 17/POJK.04/2020 on Material Transactions
and Change of Business Activities.
