Uraian Informasi atau Fakta Material Dalam rangka memenuhi prinsip keterbukaan informasi serta
menindaklanjuti seluruh korespondensi dan permintaan
penjelasan dari Otoritas Jasa Keuangan dan PT Bursa Efek
Indonesia sehubungan dengan adanya Permohonan
Pernyataan Pailit terhadap PT Sari Kreasi Boga Tbk
(Perseroan), bersama ini kami sampaikan keterbukaan
informasi yang memuat kronologi lengkap sejak awal
pengajuan gugatan hingga adanya pencabutan permohonan
pailit dimaksud.
Permohonan Pernyataan Pailit secara elektronik (e-Filing)
pada Pengadilan Niaga pada Pengadilan Negeri Jakarta
Pusat, yang kemudian terdaftar dengan Nomor Perkara
63/Pdt.Sus-Pailit/2025/PN Niaga Jkt.Pst, dengan pihak-pihak
Termohon sebagai berikut:
PT Samudra Karunia Bersama;
PT Sari Kreasi Boga Tbk;
Sdr. Eko Pujianto.
Nilai utang yang didalilkan dalam permohonan tersebut adalah
sebesar Rp19.026.598.701,-.
Permintaan Penjelasan dari Bursa Efek Indonesia Pada
tanggal 24 November 2025, Perseroan menerima Surat PT
Bursa Efek Indonesia Nomor S13359-/BEI.PP3/11-2025
perihal Permintaan Penjelasan Bursa terkait adanya
Permohonan Pernyataan Pailit terhadap Perseroan.
Sebagai tindak lanjut, Perseroan telah menyampaikan
tanggapan resmi melalui Surat Nomor 052/Corsec-
OJK/SKB/XI/2025 tanggal 27 November 2025, yang memuat
penjelasan rinci mengenai: Kronologi hubungan hukum; Posisi
Perseroan sebagai Penjamin Korporasi; Penilaian manajemen
atas materialitas gugatan; Upaya hukum dan negosiasi yang
tengah dilakukan, termasuk proses finalisasi Perjanjian
Perdamaian (Settlement Agreement).
Permintaan Penjelasan dari Otoritas Jasa Keuangan
Selanjutnya, pada tanggal 3 Desember 2025, Perseroan
menerima Surat Otoritas Jasa Keuangan Nomor S-
2662/PM.212/2025 perihal Permintaan Penjelasan terkait
Gugatan Pailit terhadap Perseroan.
Menindaklanjuti surat tersebut, Perseroan telah
menyampaikan tanggapan dan dokumen pendukung melalui
Surat Nomor 056/Corsec-OJK/SKB/XII/2025 tanggal 5
Desember 2025, yang antara lain menjelaskan:
Alasan Perseroan belum melakukan keterbukaan informasi
pada tahap awal karena belum adanya putusan pengadilan
terkait Kronologi penerimaan gugatan; Hubungan hukum para
pihak; Strategi penyelesaian melalui negosiasi dan settlement
dan Status terkini proses persidangan yang masih berjalan.
Proses Persidangan dan Negosiasi Selama proses
persidangan di Pengadilan Niaga Jakarta Pusat, Perseroan
secara aktif menghadiri persidangan melalui kuasa hukum
yang ditunjuk serta secara paralel melakukan negosiasi
intensif dengan Pemohon Pailit guna mencapai penyelesaian
secara damai.
Para Pemohon Pailit telah mengajukan permohonan
pencabutan Permohonan Pernyataan Pailit terhadap
Perseroan. Sehubungan dengan hal tersebut, Perseroan
menunggu penetapan pengadilan atas permohonan
pencabutan dimaksud. Berdasarkan Penetapan Pengadilan
Niaga pada Pengadilan Negeri Jakarta Pusat tanggal 11
Desember 2025, Majelis Hakim telah menetapkan sebagai
berikut:
Mengabulkan permohonan pencabutan Permohonan
Pernyataan Pailit dari Para Pemohon; Menyatakan perkara
Nomor 63/Pdt.Sus-Pailit/2025/PN Niaga Jkt.Pst dicabut;

Menghukum Pemohon Pailit untuk membayar biaya perkara
sebesar Rp2.502.000,-.
Dengan demikian, sejak tanggal penetapan tersebut,
Perseroan tidak lagi berstatus sebagai Termohon Pailit dan
tidak berada dalam proses kepailitan.
Dampak kejadian, informasi atau fakta III. DAMPAK TERHADAP PERSEROAN
material tersebut terhadap kegiatan Status Hukum Pencabutan permohonan pailit menegaskan
operasional, hukum, kondisi keuangan, bahwa Perseroan berada dalam kondisi hukum yang normal
atau kelangsungan usaha Emiten atau dan tidak sedang berada dalam proses kepailitan maupun
Perusahaan Publik PKPU. Kegiatan Operasional dan Keuangan Tidak terdapat
dampak negatif terhadap kegiatan operasional, kondisi
keuangan, maupun kelangsungan usaha (going concern)
Perseroan.
Tata Kelola dan Kepastian Usaha Manajemen menilai bahwa
pencabutan perkara ini memberikan kepastian hukum yang
positif bagi Perseroan dalam menjalankan kegiatan usaha dan
memenuhi kewajiban kepada para pemangku kepentingan.

IV. TINDAK LANJUT PERSEROAN
Sehubungan dengan berakhirnya perkara kepailitan tersebut,
Perseroan akan melakukan langkah-langkah sebagai berikut:
Menyampaikan keterbukaan informasi ini kepada Otoritas Jasa
Keuangan dan PT Bursa Efek Indonesia;
Mengajukan permohonan penghapusan Notasi Khusus atas
saham Perseroan apabila sebelumnya dikenakan;
Mengumumkan informasi ini kepada publik dan pemegang
saham melalui situs web resmi Perseroan sesuai ketentuan
yang berlaku.
V. PENUTUP

Description of Material Information or Dear Sirs
Facts In order to comply with the principle of information
transparency and to follow up on all correspondence and
requests for clarification from the Financial Services Authority
and the Indonesia Stock Exchange regarding the Bankruptcy
Application for PT Sari Kreasi Boga Tbk (the Company), we
hereby submit information disclosure containing a complete
chronology from the initial filing of the lawsuit to the withdrawal
of the bankruptcy application.
The electronic Bankruptcy Declaration Application (e-Filing)
was filed with the Commercial Court at the Central Jakarta
District Court, registered under Case Number 63/Pdt.Sus-
Pailit/2025/PN Niaga Jkt.Pst, with the following Respondents:
PT Samudra Karunia Bersama;
PT Sari Kreasi Boga Tbk;
Mr. Eko Pujianto.
The amount of debt alleged in the application is
Rp19,026,598,701.
Request for Explanation from the Indonesia Stock Exchange
On November 24, 2025, the Company received Letter from the
Indonesia Stock Exchange Number S13359-/BEI.PP3/11-2025
regarding the Exchange's Request for Explanation regarding
the Bankruptcy Declaration Application against the Company.
As a follow-up, the Company has submitted an official
response through Letter Number 052/Corsec-
OJK/SKB/XI/2025 dated November 27, 2025, which contains a
detailed explanation of: Chronology of the legal relationship;
The Company's position as a Corporate Guarantor;
Management's assessment of the materiality of the lawsuit;
Ongoing legal efforts and negotiations, including the process
of finalizing the Settlement Agreement.
Request for Explanation from the Financial Services Authority.
Subsequently, on December 3, 2025, the Company received
Letter Number S-2662/PM.212/2025 from the Financial
Services Authority regarding the Request for Explanation
regarding the Bankruptcy Lawsuit against the Company.
Following this letter, the Company has submitted a response
and supporting documents through Letter Number 056/Corsec-
OJK/SKB/XII/2025 dated December 5, 2025, which explains,
among other things:
The Company's reasons for not disclosing information at this
early stage are due to the absence of a court decision
regarding the chronology of the lawsuit's acceptance; the legal
relationship between the parties; the settlement strategy
through negotiation and settlement; and the current status of
the ongoing trial process.
Trial Process and Negotiations During the trial at the Central
Jakarta Commercial Court, the Company actively attended the
hearing through its appointed attorney and simultaneously
conducted intensive negotiations with the Bankruptcy
Petitioners to reach an amicable settlement.

The Bankruptcy Petitioners have filed a petition to revoke the Bankruptcy Declaration Petition against the Company. In this regard, the Company is awaiting a court ruling on the revocation petition. Based on the Decision of the Commercial Court at the Central Jakarta District Court dated December 11, 2025, the Panel of Judges has determined the following: Granting the Petitioners' petition for withdrawal of the Bankruptcy Declaration Application; Declaring case No. 63/Pdt.Sus-Pailit/2025/PN Niaga Jkt.Pst withdrawn; Ordering the Bankruptcy Petitioner to pay court costs of Rp2,502,000. Therefore, as of the date of this determination, the Company no longer has the status of a Bankruptcy Respondent and is no longer in bankruptcy proceedings.

IV. COMPANY FOLLOW-UP
In connection with the completion of the bankruptcy case, the
Company will take the following steps:
Submit this information disclosure to the Financial Services
Authority and the Indonesia Stock Exchange;
Submit a request to remove the Special Notation on the
Company's shares, if previously imposed;
Announce this information to the public and shareholders
through the Company's official website in accordance with
applicable regulations.
V. CLOSING

of transparency, accountability, and the implementation of
good corporate governance.
