Penambahan Modal Tanpa Hak Memesan Efek Terlebih Dahulu (PMTHMETD)

Merujuk pada persetujuan Pemegang Saham Perseroan dalam Rapat Umum Pemegang Saham Luar Biasa
(RUPSLB) pada tanggal 20 Oktober 2025 dalam rangka pelaksanaan PMTHMETD dan dalam rangka
memenuhi ketentuan Peraturan Otoritas Jasa Keuangan No. 14/POJK.04/2019 tentang Perubahan atas
Peraturan Otoritas Jasa Keuangan No. 32/POJK.04/2015 tentang Penambahan Modal Perusahaan Terbuka
Dengan Memberikan Hak Memesan Efek Terlebih Dahulu (POJK No. 14/2019) dan menunjuk surat kami kepada
Otoritas Jasa Keuangan No. 0154/VINS-XT/DIR/XII/2025 tanggal 4 Desember 2025 perihal Pemberitahuan
Pelaksanaan PMTHMETD Perseroan Tahun 2025 serta surat kami kepada PT Bursa Efek Indonesia No.
0153/VINS-XT/DIR/XII/2025 tanggal 4 Desember 2025 perihal Permohonan Pencatatan Saham Tambahan
Dalam Rangka PMTHMETD, bersama ini kami sampaikan hasil pelaksanaannya sebagai berikut :
1. Total Jumlah Saham Tambahan : 92.857.143 (sembilan puluh dua juta delapan ratus lima
puluh tujuh ribu seratus empat puluh tiga) lembar saham
2. Harga Pelaksanaan : Rp140,- (seratus empat puluh Rupiah) per saham
3. Tanggal Pelaksanaan PMTHMETD dan : 12 Desember 2025
Distribusi Saham
4. Tanggal Pencatatan Saham : 15 Desember 2025
5. Pihak yang Menjadi Pembeli : PT Victoria Investama Tbk (Terafiliasi)
Jumlah Pelaksanaan PMTHMETD sebanyak 92.857.143
(sembilan puluh dua juta delapan ratus lima puluh tujuh
ribu seratus empat puluh tiga) lembar saham atau
sebesar Rp13.000.000.020,- (tiga belas miliar dua puluh
Rupiah).
6. Rencana Penggunaan Dana PMTHMETD : Dana yang diperoleh dari PMTHMETD ini setelah
dikurangi biaya-biaya terkait PMTHMETD, akan
dipergunakan Perseroan untuk modal kerja dan
memperkuat struktur permodalan sehingga meningkatkan
kemampuan Perseroan dalam menanggung risiko sendiri
yang lebih besar dan meningkatkan rasio solvabilitas atau
Risk-Based Capital (RBC) dalam rangka mengantisipasi
pertumbuhan bisnis asuransi Perseroan. Perseroan akan
menempatkan dana yang diperoleh dari hasil
PMTHMETD dalam instrumen-instrumen investasi surat
berharga diantaranya pada deposito, reksadana, obligasi
dan instrumen investasi lainnya dengan pengelolaan
risiko investasi yang memadai serta memperhatikan
peraturan dan ketentuan yang berlaku.
Modal ditempatkan dan disetor PT Victoria Insurance Tbk sebelum Transaksi berjumlah 1.460.573.616 (satu
miliar empat ratus enam puluh juta lima ratus tujuh puluh tiga ribu enam ratus enam belas) lembar saham.
Jumlah PMTHMETD adalah sebesar 92.857.143 (sembilan puluh dua juta delapan ratus lima puluh tujuh ribu
seratus empat puluh tiga) lembar saham, sehingga total modal ditempatkan dan disetor PT Victoria Insurance
Tbk setelah Transaksi menjadi 1.553.430.759 (satu miliar lima ratus lima puluh tiga juta empat ratus tiga puluh
ribu tujuh ratus lima puluh sembilan) lembar saham.

Announcement of Implementation Results
Capital Increase Without Pre-emptive Rights (PMTHMETD)
PT Victoria Insurance Tbk (the Company)
of 2025
Referring to the approval of the Company's Shareholders in the Extraordinary General Meeting of Shareholders
on October 20, 2025 in the context of implementing PMTHMETD and in order to comply with the provisions of
the Financial Services Authority Regulation No. 14/POJK.04/2019 concerning Amendments to the Financial
Services Authority Regulation No. 32/POJK.04/2015 concerning Capital Increase of Public Companies by
Providing Pre-emptive Rights (POJK No. 14/2019) and appointing our letter to the Financial Services Authority
No. 0154/VINS-XT/DIR/XII/2025 dated December 4, 2025 regarding notification of the implementation of the
Company's PMTHMETD of 2025 and our letter to the Indonesia Stock Exchange No. 0153/VINS-
XT/DIR/XII/2025 dated December 4, 2025 regarding the Application for Additional Share Listing in the
Framework of PMTHMETD, we hereby convey the results of its implementation as follows:
1. Total Number of Additional Shares : 92.857.143 (ninety-two million eight hundred fifty-seven
thousand one hundred forty-three) shares
2. Exercise Price : Rp140,- (one hundred forty Rupiah) per share
3. PMTHMETD Implementation and Share : December 12, 2025
Distribution Date
4. Share Listing Date : December 15, 2025
5. Purchasing Party : PT Victoria Investama Tbk (Affiliated)
The total implementation of PMTHMETD amounted to
92.857.143 (ninety-two million eight hundred fifty-seven
thousand one hundred forty-three) shares or amounting
to Rp13.000.000.020,- (thirteen billion twenty Rupiah).
6. Planned Use of PMTHMETD Proceeds : The funds obtained from PMTHMETD after deducting
costs, will be utilized by the Company for working capital
and strengthening the capital structure. This aims to
enhance the Company's capacity to bear greater own risk
and to improve the solvency ratio or Risk-Based Capital
(RBC) in anticipation of the growth of the Company's
insurance business. The Company will place the funds
obtained from the Capital Increase Without Pre-emptive
Rights in investment instruments, primarily in securities,
including deposits, mutual funds, bonds, and other
investment instruments. This will be done with adequate
investment risk management and in compliance with the
prevailing regulations and provisions.
The issued and paid-up capital of PT Victoria Insurance Tbk prior to the Transaction amounted to 1.460.573.616
(one billion four hundred sixty million five hundred seventy-three thousand six hundred sixteen) shares. The
number of PMTHMETD was 92.857.143 (ninety-two million eight hundred fifty-seven thousand one hundred
forty-three) shares, bringing the total issued and paid-up capital of PT Victoria Insurance Tbk after the
Transaction to 1.553.430.759 (one billion five hundred fifty-three million four hundred thirty thousand seven
hundred fifty-nine) shares.
