dan perolehan fasilitas pinjaman bagi entitas anak Perseroan
Uraian Informasi atau Fakta Material Pada tanggal 10 Desember 2025, PT Cassa Mega Lautan,
entitas anak Perseroan (CML), telah mendapatkan fasilitas
kredit dari Bank yang akan digunakan untuk membeli 1 (satu)
unit kapal Very Large Gas Carrier dari New Gas Taurus
Limited, pihak ketiga, dengan nilai transaksi sebesar USD
80.500.000 (Rencana Transaksi).
CML akan menggunakan sumber dana dari kas internal dan
fasilitas kredit untuk menyelesaikan Rencana Transaksi.
Penyelesaian Rencana Transaksi bergantung pada
pemenuhan syarat-syarat yang tercantum dalam
Memorandum of Agreement.
Pembelian 1 (satu) unit kapal ini diharapkan akan menjadi
batu pijakan Perseroan untuk memasuki pasar pelayaran
internasional.
Dampak kejadian, informasi atau fakta Rencana Transaksi diproyeksikan akan meningkatkan
material tersebut terhadap kegiatan performa keuangan dan operasional Perseroan secara
operasional, hukum, kondisi keuangan, konsolidasi
atau kelangsungan usaha Emiten atau
Perusahaan Publik

Proposed acquisition of a Very Large Gas Carrier and
Type of Material Information or Facts obtained a loan facility for the Company's subsidiarry
Description of Material Information or On December 10, 2025, PT Cassa Mega Lautan, Companys
Facts subsidiary (CML), has obtain credit facility from Bank which will
be used to acquire 1 (one) Very Large Gas Carrier vessel from
New Gas Taurus Limited, third party, with transaction value of
USD 80,500,000 (Proposed Transaction).
CML will use internal cash and facility credit to complete the
Proposed Transaction. The closing of Proposed Transaction
will subject to fulfillment of conditions precedents stipulated in
the Memorandum of Agreement.
Acquisition of 1 (one) new vessel is expected to become
stepping stone for the Company to enter international shipping
market.
Impact of event, material information or The Proposed Transaction is projected to improve the financial
facts towards Issuers or Public and operational performance of the Company on consolidated
Company’s operational activities, legal, basis
financial condition, or going concern
