Uraian Informasi atau Fakta Material Merujuk pada ketentuan Peraturan Otoritas Jasa Keuangan
Nomor 45 tahun 2024 tentang Pengembangan dan Penguatan
Emiten dan Perusahaan Publik, bersama ini kami sampaikan
Hasil Rapat Umum Pemegang Obligasi Wajib Konversi
Waskita Beton Precast II Tahun 2023 (RUPO) sebagai berikut:
Hari & Tanggal RUPO : Selasa, 2 Desember 2025
Waktu : Pukul 15.25 s.d 15.49 WIB
Tempat : Gedung Waskita Rajawali Tower, Lantai 16,
Ruang Auditorium, Jl. Letjen M.T. Haryono No. Kav. 12-13,
Bidara Cina, Jatinegara, Kota Jakarta Timur
Agenda : Persetujuan pengesampingan pemenuhan
kewajiban keuangan (rasio keuangan) berdasarkan laporan
keuangan tahunan PT Waskita Beton Precast Tbk yang telah
diaudit, sesuai ketentuan Pasal 6 ayat 6.3 angka 8) Perjanjian
Perwaliamanatan Obligasi Wajib Konversi Waskita Beton
Precast II Tahun 2023, Akta No. 16, tanggal 9 Maret 2023,
yang dibuat di hadapan Dewantari Handayani, S.H., M.PA,
Notaris di Jakarta, berikut perubahan-perubahannya.
Kehadiran Pemegang Obligasi : RUPO dihadiri
oleh Rp1.215.005.938.339,00 (satu triliun dua ratus lima belas
miliar lima juta sembilan ratus tiga puluh delapan ribu tiga
ratus tiga puluh sembilan Rupiah) atau sebanyak
1.215.005.938.339 (satu triliun dua ratus lima belas miliar lima
juta sembilan ratus tiga puluh delapan ribu tiga ratus tiga puluh
sembilan) suara yang merupakan 87,21% (delapan puluh tujuh
koma dua satu persen) dari jumlah Obligasi.
Hasil Pemungutan Suara RUPO : Jumlah suara
yang setuju atas penjelasan dan usulan yang diajukan oleh
Perseroan kepada Pemegang Obligasi, sesuai yang
dipresentasikan atau dipaparkan oleh Perseroan dalam RUPO
tanggal 2 Desember 2025, sebanyak 1.133.552.797.972 (satu
triliun seratus tiga puluh tiga miliar lima ratus lima puluh dua
juta tujuh ratus sembilan puluh tujuh ribu sembilan ratus tujuh
puluh dua) suara, atau mewakili Obligasi yang bernilai Rp1.
133.552.797.972,00 (satu triliun seratus tiga puluh tiga miliar
lima ratus lima puluh dua juta tujuh ratus sembilan puluh tujuh
ribu sembilan ratus tujuh puluh dua Rupiah) atau 93,30%
(sembilan puluh tiga koma tiga nol persen).
Jumlah suara yang abstain tidak ada.
Jumlah suara yang tidak setuju atas penjelasan dan usulan
yang diajukan oleh Perseroan kepada Pemegang Obligasi,
sesuai yang dipresentasikan atau dipaparkan oleh Perseroan
dalam RUPO tanggal 2 Desember 2025, sebanyak
81.453.140.367 (delapan puluh satu miliar empat ratus lima
puluh tiga juta seratus empat puluh ribu tiga ratus enam puluh
tujuh) suara, atau mewakili Obligasi yang bernilai Rp81.
453.140.367,00 (delapan puluh satu miliar empat ratus lima
puluh tiga juta seratus empat puluh ribu tiga ratus enam puluh
tujuh Rupiah) atau 6,70% (enam koma tujuh nol persen).
Keputusan RUPO: Berdasarkan kuorum pengambilan
keputusan RUPO Pemegang Obligasi dalam RUPO
memutuskan:
I. Menyetujui pengesampingan pemenuhan kewajiban

keuangan (rasio keuangan) sesuai ketentuan dalam Pasal 6
ayat 6.3 angka 8) Perjanjian Perwaliamanatan Obligasi Wajib
Konversi Waskita Beton Precast II Tahun 2023, Akta No. 16,
tanggal 9 Maret 2023, yang dibuat di hadapan Dewantari
Handayani, S.H., M.PA., Notaris di Jakarta, berikut perubahan-
perubahannya, yaitu:
a. Current Ratio minimal 1,0x,
b. Debt to Equity Ratio (DER) maksimal 2,5x,
c. Debt Services Coverage (DSC) minimal 100%,
untuk periode Laporan Keuangan Konsolidasi Tahunan PT
Waskita Beton Precast Tbk yang telah diaudit per 31
Desember 2025 dan per 31 Desember 2026.
II. Sesuai ketentuan dalam Pasal 10 ayat 8 Perjanjian
Perwaliamanatan Obligasi Wajib Konversi Waskita Beton
Precast II Tahun 2023, Akta No. 16, tanggal 9 Maret 2023,
yang dibuat di hadapan Dewantari Handayani, S.H., M.PA.,
Notaris di Jakarta, berikut perubahan-perubahannya, seluruh
biaya penyelenggaraan Rapat Umum Pemegang Obligasi
Wajib Konversi Waskita Beton Precast II Tahun 2023 antara
lain biaya pengumuman RUPO, pemanggilan RUPO, Notaris,
dan biaya-biaya lainnya sehubungan dengan
penyelenggaraan dan pelaksanaan keputusan RUPO tanggal
2 Desember 2025 ini menjadi beban PT Waskita Beton
Precast Tbk selaku Emiten.
Dampak kejadian, informasi atau fakta Dampak terhadap Kegiatan Operasional :
material tersebut terhadap kegiatan Tidak ada.
operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Emiten atau Dampak terhadap Hukum :
Perusahaan Publik Perseroan telah memperoleh persetujuan RUPO untuk
pengesampingan pemenuhan kewajiban keuangan (rasio
keuangan) berdasarkan ketentuan Pasal 6 ayat 6.3 angka 8)
Perjanjian Perwaliamanatan Obligasi Wajib Konversi Waskita
Beton Precast II Tahun 2023, Akta No. 16, tanggal 9 Maret
2023, yang dibuat di hadapan Dewantari Handayani, S.H.,
M.PA, Notaris di Jakarta, berikut perubahan-perubahannya.

Dampak terhadap Keberlangsungan Usaha :
Tidak ada.

Description of Material Information or In accordance with Financial Services Authority Regulation
Facts Number 45 of 2024 concerning the Development and
Strengthening of Issuers and Public Companies, we hereby
submit the results of the General Meeting of Holders of the
Mandatory Convertible Bonds of Waskita Beton Precast II
Year 2023 (RUPO):
RUPO Day & Date: Tuesday, December 2, 2025
Time: 3:25 PM to 3:49 PM WIB
Venue: Waskita Rajawali Tower Building, 16th Floor,
Auditorium Room, Jl. Letjen M.T. Haryono No. Kav. 12-13,
Bidara Cina, Jatinegara, East Jakarta
Agenda: Approval of the waiver of fulfillment of financial
obligations (financial ratios) based on the audited annual
financial statements of PT Waskita Beton Precast Tbk, in
accordance with Article 6, paragraph 6.3, number 8) of the
Trustee Agreement for the Mandatory Convertible Bonds of
Waskita Beton Precast II Year 2023, Deed No. 16, dated
March 9, 2023, drawn up before Dewantari Handayani, S.H.,
M.PA, Notary in Jakarta, including any amendments thereto.
Bondholder Attendance: The GMB was attended by
Rp1,215,005,938,339.00 (one trillion two hundred and fifteen
billion five million nine hundred and thirty-eight thousand three
hundred and thirty-nine Rupiah) or 1,215,005,938,339 (one
trillion two hundred and fifteen billion five million nine hundred
and thirty-eight thousand three hundred and thirty-nine) votes,
representing 87.21% (eighty-seven point two one percent) of
the total Bonds.
GMB Voting Results: The number of votes in favor of the
explanation and proposals submitted by the Company to
Bondholders, as presented or explained by the Company in
the GMB on December 2, 2025, was 1,133,552,797,972 (one
trillion one hundred thirty-three billion five hundred fifty-two
million seven hundred ninety-seven thousand nine hundred
seventy-two) votes, representing Bonds worth IDR
1,133,552,797,972.00 (one trillion one hundred thirty-three
billion five hundred fifty-two million seven hundred ninety-
seven thousand nine hundred seventy-two Rupiah) or 93.30%
(ninety-three point three zero percent).
There were no abstentions.
The number of votes dissenting from the explanation and
proposals submitted by the Company to the Bondholders, as
presented or explained by the Company in the GMB on
December 2, 2025, was 81,453,140,367 (eighty-one billion
four hundred fifty-three million one hundred forty thousand
three hundred sixty-seven) votes, representing Bonds worth
IDR 81,453,140,367.00 (eighty-one billion four hundred fifty-
three million one hundred forty thousand three hundred sixty-
seven Rupiah) or 6.70% (six point seven zero percent).
GMB Resolution: Based on the GMB decision-making quorum,
the Bondholders in the GMB decided:
I. To approve the waiver of fulfillment of financial obligations
(financial ratios) in accordance with Article 6 paragraph 6.3
number 8) of the Trustee Agreement for the Waskita Beton

Precast II Mandatory Convertible Bonds of 2023, Deed No. 16,
dated March 9, 2023, drawn up before Dewantari Handayani,
S.H., M.PA., Notary in Jakarta, with the following amendments:
a. Current Ratio of at least 1.0x,
b. Debt to Equity Ratio (DER) of at most 2.5x,
c. Debt Services Coverage (DSC) of at least 100%,
for the audited Annual Consolidated Financial Statements of
PT Waskita Beton Precast Tbk as of December 31, 2025, and
December 31, 2026.
II. In accordance with the provisions of Article 10, paragraph 8
of the Trustee Agreement for the Mandatory Convertible
Bonds of Waskita Beton Precast II Year 2023, Deed No. 16,
dated March 9, 2023, made before Dewantari Handayani,
S.H., M.PA., Notary in Jakarta, including its amendments, all
costs for holding the General Meeting of Holders of Mandatory
Convertible Bonds of Waskita Beton Precast II Year 2023,
including the cost of announcing the GMB, summoning the
GMB, Notary, and other costs related to the holding and
implementation of the decisions of the GMB dated December
2, 2025, shall be borne by PT Waskita Beton Precast Tbk as
the Issuer.

The Company has obtained approval from the General
Meeting of Shareholders (GMB) for the waiver of financial
obligations (financial ratios) based on Article 6, paragraph 6.3,
number 8) of the Trustee Agreement for the Mandatory
Convertible Bonds of Waskita Beton Precast II Year 2023,
Deed No. 16, dated March 9, 2023, drawn up before
Dewantari Handayani, S.H., M.PA, Notary in Jakarta, with all
amendments.

None.

None.
