Material / maupun tidak langsung dimiliki 100% oleh Perseroan, yaitu PT
Description of Material Danusa Tambang Nusantara (“DTN”) dan PT Energia Prima
Information or Facts Nusantara (“EPN”), telah mendirikan perusahaan yang bernama PT
Nusantara Industri Nikel Lestari (“NINL”).
Pendirian NINL tersebut telah dinyatakan dalam Akta Pendirian No.
125 tertanggal 21 November 2025 yang dibuat di hadapan Jose
Dima Satria, SH., M.Kn., Notaris di Jakarta Selatan (“Akta
Pendirian”). Akta Pendirian telah disetujui melalui Keputusan
Menteri Hukum Republik Indonesia No. AHU-
0103497.AH.01.01.TAHUN 2025 tanggal 2 Desember 2025.
NINL akan melakukan kegiatan usaha yang bergerak di bidang
kegiatan industri pembuatan logam dasar bukan besi dan
perdagangan besar logam dan bijih logam.

Tujuan didirikannya NINL ini merupakan suatu bentuk kelanjutan
langkah Perseroan secara grup untuk melakukan diversifikasi
kegiatan usaha Perseroan melalui perusahaan terkendali
Perseroan dengan mengembangkan usaha di sektor jasa dan
pengolahan mineral nikel.
Keterangan mengenai struktur kepemilikan modal NINL adalah
sebagai berikut:

The Company, through its subsidiaries, which are 100% directly and
indirectly owned by the Company, namely PT Danusa Tambang
Nusantara (“DTN”) and PT Energia Prima Nusantara (“EPN”),
established a company, namely PT Nusantara Industri Nikel Lestari
(“NINL”).
The establishment of NINL has been carried out through Deed of
Establishment No. 125 dated 21 November 2025, which was made
before Jose Dima Satria, SH., M.Kn., Notary in South Jakarta
(“Deed of Establishment”). The Deed of Establishment has been
approved through the Decree of the Minister of Law of the Republic
of Indonesia AHU-0103497.AH.01.01.TAHUN 2025 dated 2
December 2025.
NINL will engage in manufacturing industry of non iron basic metals
and trade of metals and metal ore.
The purpose of establishing NINL shall serve as a continuation of
the Company’s initiative, at the group level, to diversify its business
activities through its controlled entities by developing operations in
the services and smelter nickel sector.
