3. Uraian Informasi atau Fakta S ebagai bagian dari upaya penguatan struktur permodalan dan
Material dukungan terhadap kegiatan usaha , maka Perseroan
sampaikan rincian penambahan modal VMT, dengan rincian
sebagai berikut:
1. Para Pihak
• PT Vatar Media Teknologi , sebelumnya merupakan
Entitas Cucu Perseroan sekaligus penerbit saham baru
• PT Vatar Media Raya selaku Pemegang Saham
eksisting PT Vatar Media Teknologi
• PT Mandiri Mas, selaku Pemegang Saham eksisting PT
Vatar Media Teknologi
• Investor Baru:
- PT Buana Andalan Nusa dan/atau afiliasinya
- PT Lentera Karya Inovasi
2. Penerbitan Saham Baru
• PT Vatar Media Teknologi telah menerbitkan saham
baru sebanyak 1.900 (seribu sembilan ratus) lembar
saham dengan nilai nominal dan harga penyertaan
Rp1.000.000 (satu juta Rupiah)per saham.
• Modal disetor PT Vatar Media Teknologi meningkat
dari sebelumnya Rp1.000.000.000 (satu miliar Rupiah)
menjadi Rp2.900.000.000 (dua miliar sembilan ratus
juta Rupiah).
3. Penyertaan Modal Pemegang Saham Baru
• PT Buana Andalan Nusa dan/atau afiliasinya telah
mengambil 696 (enam ratus sembilan puluh enam)
saham baru PT Vatar Media Teknologi dengan total
setoran sebesar Rp2.400.000.000 (dua miliar empat
ratus ribu Rupiah) dan selisih pembayaran akan dicatat
sebagai agio saham PT Vatar Media Teknologi.

• PT Lentera Karya Inovasi telah mengambil 1.204 (seribu
dua ratus empat) saham baru PT Vatar Media
Teknologi dengan total setoran sebesar
Rp4.151.700.000 (empat miliar seratus lima puluh satu
juta tujuh ratus ribu Rupiah), dan selisih pembayaran
akan dicatat sebagai agio saham PT Vatar Media
Teknologi.

5. Status Perseroan Setelah Transaksi
Sebelumnya, VMR memiliki 51% saham VMT yang
diklasifikasikan sebagai bagian dari struktur entitas anak
dalam Grup Perseroan. Berdasarkan transaksi investasi
dan penyetoran modal baru yang dilakukan para investor
VMT, kepemilikan VMR mengalami dilusi menjadi 17,59%,
sehingga Perseroan tidak lagi memiliki pengendalian atas
VMT.
Hilangnya kendali Perseroan tidak terjadi akibat penjualan
saham oleh VMR, melainkan sebagai akibat dari
penerbitan saham baru VMT kepada investor, sehingga
kepemilikan VMR mengalami dilusi di bawah tingkat
pengendalian.
Sesuai PSAK 110dan UU PT, hilangnya pengendalian ini
mengakibatkan VMT keluar dari kategori entitas anak dan
menjadi entitas non -pengendalian bagi Grup Perseroan.
Dengan terjadinya hal tersebut, maka VMT tidak lagi
menjadi entitascucu dalam Grup Perseroan.
6. Informasi Tambahan Lainnya
a. PT Buana Andalan Nusa dan/atau Afiliasinya dan PT
Lentera Karya Inovasi tidak memiliki hubungan
kepemilikan, hubungan pengendalian, maupun
hubungan keluarga dengan Perseroan, Direksi, Dewan
Komisaris, maupun Pemegang S aham Perseroan ,
sehingga penambahan modalini tidak melibatkan pihak

Details of Information or As part of the Company’s efforts to strengthen the capital
Material Facts structure and support its business activities, the Company
hereby conveys the details of the capitalinvestment, as follows:
1. Parties Involved
• PT Vatar Media Teknologi , previously a second -tier
subsidiary of the Company and the issuer of the new
shares
• PT Vatar Media Raya , existing shareholder of PT Vatar
Media Teknologi
• PT Mandiri Mas , existing shareholder of PT Vatar
Media Teknologi
• New Investors:
- PT Buana Andalan Nusa and/or its affiliates
- PT Lentera Karya Inovasi
2. Issuance of New Shares
• PT Vatar Media Teknologi has issued 1,900 (one
thousand nine hundred) new shares with a nominal
value and subscription price of Rp1,000,000 (one
million Rupiah) per share.
• The paid -up capital of PT Vatar Media Teknologi
increased from Rp1,000,000,000 (one billion Rupiah)
to Rp2,900,000,000 (two billion nine hundred million
Rupiah).
3. Capital Participation by the New Shareholders
• PT Buana Andalan Nusa and/or its affiliates subscribed
to 696 (six hundred ninety-six) new shares with a total
payment of Rp2,400,000,000 (two billion four hundred
million Rupiah) , with the excess payment to be
recorded as share premium (agio) of PT Vatar Media
Teknologi.
• PT Lentera Karya Inovasi subscribed to 1,204 (one
thousand two hundred four) new shares with a total
payment of Rp4,151,700,000 (four billion one hundred
fifty-one million seven hundred thousand Rupiah),with
the excess payment to be recorded as share premium
(agio) of PT Vatar Media Teknologi.

5. Status of the Company After the Transaction
Previously, PT Vatar Media Raya (“VMR”) held 51% of the
shares in VMT, which was therefore classified as part of the
Company’s subsidiary structure. Following the investment
transaction and capital injection by the new investors,
VMR’s ownership was diluted to 17.59%, resulting in the
Company no longer having control over VMT.
The loss of control did not occur due to a sale of shares by
VMR, but as a result of VMT issuing new shares to
investors, which diluted VMR’s ownership below the control
threshold.
Pursuant to PSAK 110and the Indonesian Company Law
(UU PT), the loss of control results in VMT no longer
qualifying as a subsidiary and instead becoming a non -
controlling entity for the Company’s Group. Accordingly,
VMT is no longer classified as a second-tier subsidiary
within the Company’s Group structure.
6. Additional Information
a. PT Buana Andalan Nusa and/or its affiliates and PT
Lentera Karya Inovasi have no ownership relationship,
control relationship, or family relationship with the
Company, the Board of Directors, the Board of
Commissioners, or the shareholders of the Company.
Therefore, this capital increase does not constitute an
affiliated transaction asreferred to inFinancial Services
Authority Regulation No. 42/POJK.04/2020 regarding
Affiliated Transactions and Conflict of Interest
Transactions.
b. This transaction does not constitute a Material
Transaction as defined under OJK Regulation No.
17/POJK.04/2020 regarding Material Transactions
and Changes in Business Activities.

4. Dampak kejadian, informasi Dampak Keuangan
atau fakta material tersebut 1. Sesuai PSAK 110, Perseroan akan menghentikan
terhadap kegiatan konsolidasi laporan keuangan VMT, dan mencatat sisa
operasional, hukum, kondisi kepemilikan sebagai aset keuangan atau entitas
keuangan, atau kelangsungan asosiasi.

Tidak terdapat dampak hukum yang signifikan terhadap entitas
induk, selain kewajiban penyampaian Keterbukaan Informasi ini
sesuai regulasi yang berlaku.
Impacts of the occurrence, Financial Impact
information, or material facts 1. In accordance with PSAK 110, the Company will cease
on the Company’s operational, consolidating VMT’s financial statements and will
legal, financial condition, or classify its remaining interest as a financial asset or an
business continuity associate.
2. The Company will recognize a gain or loss in
deconsolidation arising from the difference between
the fair value of the remaining interest and the carrying
amount of VMT’s net assets.
3. There is no material impact on the Company’s
cashflows.
Legal Impact
There are no significant legal implications for the Company as
the parent entity, other than the obligation to submit this
Disclosure of Information in accordance with the applicable
regulations.
