Uraian Informasi atau Fakta Material PT Waskita Toll Road ("WTR") merupakan anak perusahaan
Perseroan dengan kepemilikan saham sebesar 16.374.113
(enam belas juta tiga ratus tujuh puluh empat ribu seratus tiga
belas) lembar saham atau setara dengan 92,53% (sembilan
puluh dua koma lima tiga persen) dari seluruh saham yang
diterbitkan oleh WTR.
PT Cimanggis Cibitung Tollways ("CCT") merupakan anak
perusahaan dari WTR dengan kepemilikan saham sebesar
28.000.000 (dua puluh delapan juta) lembar saham atau
setara dengan 35,00% (tiga puluh lima persen) dari seluruh
saham yang diterbitkan oleh CCT.
PT Bakrie Toll Indonesia ("BTI") merupakan perusahaan
dengan kepemilikan saham sebesar 4.000.000 (empat juta)
lembar saham atau setara dengan 5,00% (lima persen) dari
seluruh saham yang diterbitkan oleh CCT.
Bahwa hal-hal berikut yang disampaikan merupakan 1 (satu)
rangkaian transaksi atas Divestasi Saham WTR di CCT.
a. Bahwa WTR dan BTI telah menandatangani Akta Jual Beli
Saham dalam PT Cimanggis Cibitung Tollways Nomor 147
Tanggal 28 November 2025, yang dibuat di hadapan Mala
Mukti SH, LLM, Notaris di Jakarta, dengan rincian sebagai
berikut :
- WTR menjual, mengalihkan, dan
menyerahkan/memindahkan hak atas seluruh saham kepada
BTI, dan BTI dengan ini membeli, menerima pengalihan dan
penyerahan/pemindahan hak atas seluruh saham yang
dialihkan tersebut dari WTR yang berlaku efektif sejak tanggal
28 November 2025.
- WTR dan BTI telah menyetujui dan menyepakati harga
Pengalihan Saham yang dialihkan sebesar
Rp388.888.889.000,00 (tiga ratus delapan puluh delapan
miliar delapan ratus delapan puluh delapan juta delapan ratus
delapan puluh sembilan ribu rupiah).
b. Bahwa WTR dan BTI telah menandatangani Akta
Pengalihan atas Piutang yang Dialihkan (PT Waskita Toll
Road) Nomor 148 Tanggal 28 November 2025, yang dibuat di
hadapan Mala Mukti SH, LLM, Notaris di Jakarta, dengan
rincian sebagai berikut :
- WTR mengalihkan dan memindahkan kepada BTI, dan BTI
dengan ini menerima pengalihan dan pemindahan, atas
seluruh hak, kepemilikan, kewajiban dan kepentingan WTR
atas piutang yang dialihkan yang berlaku efektif pada tanggal
28 November 2025.
- WTR dan BTI telah menyetujui dan menyepakati harga
piutang yang dialihkan sebesar Rp970.748.321.070,00
(sembilan ratus tujuh puluh miliar tujuh ratus empat puluh
delapan juta tiga ratus dua puluh satu ribu tujuh puluh rupiah).
Selain transaksi di atas, CCT juga melakukan pembayaran
atas pokok dan bunga shareholder loan kepada WTR,
sehingga total pengalihan saham, pengalihan atas piutang dan
pembayaran shareholder loan CCT kepada WTR adalah
sebesar Rp3,28 Triliun.
Adapun dana talangan tanah yang merupakan rangkaian
Transaksi akan dilakukan pada tahun 2030 sebagaimana
tertuang dalam perjanjian kredit sindikasi PT Cimanggis
Cibitung Tollways No. 5 dan No. 6 tanggal 20 November 2025
yang dibuat di hadapan Ariani L. Rachim, SH, Notaris di

Jakarta.
Dampak kejadian, informasi atau fakta Aksi korporasi ini menjadi bagian penting dari strategi
material tersebut terhadap kegiatan restrukturisasi dan transformasi bisnis Perseroan dan semakin
operasional, hukum, kondisi keuangan, memperkuat strategi Perseroan untuk kembali ke bisnis inti
atau kelangsungan usaha Emiten atau atau core business sebagai kontraktor murni. Dana hasil
Perusahaan Publik divestasi akan menambah likuiditas sekaligus arus kas bagi
operasional perusahaan dan menunjukkan komitmen
Perseroan untuk menyelesaikan kewajiban kepada kreditur.

Description of Material Information or PT Waskita Toll Road ("WTR") is a subsidiary of the Company
Facts with share ownership amounting to 16,374,113 (sixteen million
three hundred seventy-four thousand one hundred thirteen)
shares, or equivalent to 92.53% (ninety-two point five three
percent) of the total shares issued by WTR.
PT Cimanggis Cibitung Tollways ("CCT") is a subsidiary of
WTR with share ownership amounting to 28,000,000 (twenty-
eight million) shares, or equivalent to 35.00% (thirty-five
percent) of the total shares issued by CCT.
PT Bakrie Toll Indonesia ("BTI") is a company holding
4,000,000 (four million) shares, or equivalent to 5.00% (five
percent) of the total shares issued by CCT.
he following matters constitute a series of transactions relating
to WTR's divestment of its shares in CCT:
a. WTR and BTI have signed the Deed of Share Sale and
Purchase in PT Cimanggis Cibitung Tollways Number 147
dated 28 November 2025, executed before Mala Mukti, SH,
LLM, Notary in Jakarta, with details as follows:
- WTR sells, transfers, and delivers/conveys the rights to all
shares to BTI, and BTI hereby purchases, accepts the transfer
and delivery/conveyance of the rights to all such transferred
shares from WTR, effective as of 28 November 2025.
- WTR and BTI have agreed upon and approved the Share
Transfer Price for the transferred shares in the amount of
Rp388,888,889,000.00 (three hundred eighty-eight billion eight
hundred eighty-eight million eight hundred eighty-nine
thousand rupiah).
b. WTR and BTI have signed the Deed of Assignment of the
Assigned Receivables (PT Waskita Toll Road) Number 148
dated 28 November 2025, executed before Mala Mukti, SH,
LLM, Notary in Jakarta, with details as follows:
- WTR assigns and transfers to BTI, and BTI hereby accepts
the assignment and transfer, all rights, ownership, obligations,
and interests of WTR over the assigned receivables, effective
as of 28 November 2025.
- WTR and BTI have agreed upon and approved the price of
the assigned receivables in the amount of
Rp970,748,321,070.00 (nine hundred seventy billion seven
hundred forty-eight million three hundred twenty-one thousand
seventy rupiah).
In addition to the transactions above, CCT has also made
payments of the principal and interest of the shareholder loan
to WTR, resulting in a total value of share transfer, receivable
assignment, and shareholder loan repayment from CCT to
WTR of Rp3.28 trillion.
Furthermore, the land advance funding, which forms part of
the Transaction, will be carried out in 2030 as stipulated in the
syndicated loan agreements of PT Cimanggis Cibitung
Tollways No. 5 and No. 6 dated 20 November 2025 executed
before Ariani L. Rachim, SH, Notary in Jakarta.

Impact of event, material information or This corporate action is an important component of the
facts towards Issuers or Public Company's business restructuring and transformation strategy
Company’s operational activities, legal, and further strengthens the Company's strategy to return to its
financial condition, or going concern core business as a pure contractor. The proceeds from the
divestment will enhance liquidity and cash flow for the
Company's operations and demonstrate the Company's
commitment to fulfilling its obligations to creditors.
