IMASYARAKAT SIGIT (PUBLIK KUNTJAHJO PEREN 28,57M 1LS7 59,861 - Terdapat 3 (tiga) orang Dewan Komisaris Perseroan yang juga menjabat sebagai Pengurus di Kopindosat yaitu Bapak Wahono, Bapak Baden Saprudin dan Bapak Sigit Kuntjahjo. Helping Your Business Grow Penjelasan, pertimbangan dan alasan transaksi dibandingkan - Tujuan Pinjaman pembiayaan, akan digunakan sebagai modal kerja usaha Perseroan di bidang penyediaan jasa dengan Jika melakukan tenaga kerja outsourcing, dalam rangka menghasilkan dan transaksi lain yang serupa meningkatkan pendapatan usaha Perseroan. dengan pihak yang tidak | - Perjanjian pinjaman ini dikenakan nisbah yang nilai terafiliasi persentase-nya lebih kecil bila dibandingkan dengan perjanjian pembiayaan Mudharabah Muthlagah sebelumnya dengan Kopindosat, yang telah diungkapkan dalam Prospektus | pada saat IPO di Desember 2022. Nilai transaksi dan jangka waktu perjanjian "Adapun penjelasannya sebagai berikut : - Para pihak : Perseroan sebagai debitur: dan Kopindosat sebagai kreditur. - Fasilitas Pembiayaan : Pinjaman pembiayaan Mudharabah Muthlagah sebesar Rp5.000.000.000,- (lima miliar rupiah). - Jangka Waktu : Untuk periode 1 tahun, yang secara otomatis diperpanjang untuk jangka waktu yang sama tanpa pemberitahuan/ Automated Roll Over (ARO). - Nisbah : Nisbah sebesar 7,546 per tahun dan nisbah-nya akan dibayarkan per bulan. “Transaksi ini merupakan Transaksi afiliasi yang dikecualikan berdasarkan Pasal 6 ayat (1) huruf c POJK 42/POJK.04/2020 dimana tidak melebihi jumlah Rp5 miliar atau 0,59 dari ekuitas Perseroan, Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan atau kelangsungan usaha Emiten atau Perusahaan Publik Perjanjian ini berdampak positif bagi Perseroan, dan tidak ada dampak yang merugikan terhadap kegiatan usaha Perseroan, kegiatan operasional, hukum, kondisi keuangan, maupun kelangsungan usaha Perusahaan. Benturan Kepentingan dan Transaksi Material " Perjanjian ini tidak mengandung benturan kepentingan. “ Dan perjanjian ini bukan merupakan transaksi material sebagaimana dimaksud dalam POJK nomor 17/POJK.04/2020. Helping Your Business Grow Explanation, consideration and reason for the transaction compared to if executing another similar transaction with unaffiliated party Purpose of the financing loan, to be used as working capital for the Company's business in the providing of outsourcing labor services, in order to generate and increase the Company's business revenue. - This loan agreement is charged by nisbah with a lower percentage rate compared to the previous Mudharabah Muthlagah financing agreement with Kopindosat, which was disclosed in the Prospectus at the time of the IPO in December 2022. Amount value of the transaction and term of agreement " The explanation is as follows: « Parties: The Company as the debtor, and Kopindosat as the creditor. Financing Facility: Mudharabah Muthlagah financing loan in the amount of IDR 5,000,000,000 (five billion rupiah). -. Term: Fora period of 1 year, which Is automatically extended for the same period without notice/Automated Roll Over (ARO). - Nisbah: The nisbah of 7.55 per annum and the nisbah will be paid monthly. " This transaction is an exempted affiliated transaction based on Article 6 paragraph (1) letter c POJK 42/POJK.04/2020 which does not exceed the amount of Rp5 billion or 0.5 of paid-up capital. The impact for such Information or material fact towards operational activities, legal, financial condition or business continuity of Issuer or Public Company This transaction has a positive impact and there is no adverse Impact on the Company's business activities, operational activities, legal, financial condition, as well as the Company's business continuity. Conflict of Interest and Material Transactions "This agreement does not contain a conflict of interest. "And this agreement is nota material transaction as referred to in POJK Number 17/POJK.04/2020.
