2. Uraian Transaksi Sehubungan dengan Perjanjian Perubahan Kedua tertanggal
21 November 2025 yang dibuat oleh dan antara Perseroan
dan PT KB Bank Bukopin Tbk (“KB Bukopin”) (“Perjanjian
Perubahan Kedua”) yang merupakan perubahan atas
Perjanjian Pinjaman sebesar Rp. 140.000.000.000 (seratus
empat puluh Miliar Rupiah) tertanggal 01 Desember 2023
(“Perjanjian Kredit”) dan Perjanjian Perubahan Pertama
tertanggal 22 November 2024 (“Perjanjian Perubahan
Pertama”).
Maka Perseroan dan KB Bukopin melakukan perubahan yang
diantaranya adalah, untuk:
I. Mengubah jumlah fasilitas pinjaman yang
sebelumnya Adalah Rp. 140.000.000.000,-
(seratus empat puluh Miliar Rupiah) menjadi Rp.
120.000.000.000,- (seratus dua puluh Miliar
Rupiah), dikarenakan Perseroan telah membayar
fasilitas pinjaman sebesar Rp. 20.000.000.000,-
(dua puluh Miliar Rupiah); dan
II. Memperpanjang jatuh tempo atas Perjanjian
Fasilitas Kredit selama 1 tahun sampai dengan 05
Desember 2026.

Dokumen jaminan untuk perolehan fasilitas pinjaman ini
adalah Corporate Guarantee dari CJ CGV Co., Ltd (“CJ CGV”)
selaku pemegang saham pengendali Perseroan secara tidak
langsung.
Tujuan dari pinjaman ini adalah untuk pengambilalihan
hutang (take over loan) dari The Export Import Bank of Korea
(KEXIM).
Detail of Transaction In relation to Second Amendment Agreement dated November
21st, 2025, made by and between the Company and PT KB Bank
Bukopin (“KB Bukopin”) (the “Second Agreement”), which
constitutes an amendment to the Loan Agreement in the
amount Rp. 140.000.000.000 (one hundred forty billion
Rupiah) dated December 01st, 2023 (“Loan Agreement”), as
well as the First Agreement dated November 22 nd, 2024 (the
“Second Amendment”).
Therefore, the Company and KB Bukopin made changes,
including among others to:
I. Changes the loan facility amount which previously
was Rp. 140.000.000.000,- (one hundred forty
Billion Rupiah), to Rp. 120.000.000.000,- (one
hundred twenty Billion Rupiah), because the
Company has paid the loan facility amounting to
Rp. 20.000.000.000,- (twenty Billion Rupiah); and
II. Extended the maturity of the Loan Facility
Agreement for 1 years until 05 December 2026.
Guarantee document for obtaining facility of the Agreement is
a Corporate Guarantee provided by CJ CGV Co., Ltd (“CJ CGV”)
as the controlling shareholders of the company indirectly. The
sole purpose of the loan facility for used among others, to take
over existing loan (take over loan) from the Export Import
Bank of Korea (KEXIM).
3. Penjelasan, pertimbangan Pertimbangan dan alasan dilakukan transaksi ini untuk
dan alasan dilakukannya mendukung kegiatan usaha utama Perseroan dalam hal
transaksi pengambilalihan hutang (take over loan).

(“POJK 17/2020”), tentang Transaksi Material dan
Perubahan Kegiatan Usaha, dikarenakan nilai transaksi

tersebut lebih dari 20% dari ekuitas Perseroan
berdasarkan Laporan Keuangan Audited Perseroan per 31
Desember 2024; dan
b. Transaksi antara Perseroan dan KB Bukopin juga bukan
termasuk dalam transaksi afiliasi dan transaksi benturan
kepentingan sebagaimana dimaksud dalam Peraturan
Otoritas Jasa Keuangan No. 42/POJK.04/2020 (“POJK
42/2020”), tentang Transaksi Afiliasi dan Transaksi
Benturan Kepentingan.
Other information a. The transaction between Company and KB Bukopin
constitutes a material transaction as referred to in
Financial Services Authority Regulation No.
17/POJK.04/2020, concerning Material Transactions and
Change of Business Activities because the transaction
value is more than 20% of the company’s equity based on
the Company’s Audited Financial Statement as of 31
December 2024; and
b. The transaction between Company and KB Bukopin is also
not included as affiliated transaction and conflict of
interest transaction as contemplated under Financial
Services Authority Regulation No. 42/POJK.04/2020
concerning Affiliated Transaction and Conflict of Interest.
