2. Uraian Transaksi Sehubungan dengan Perjanjian Perubahan Ketiga tertanggal 21
November 2025, yang dibuat oleh dan antara Perseroan dan PT
KB Bank Bukopin Tbk (“KB Bukopin”) (“Perjanjian Perubahan
Ketiga”) yang merupakan perubahan atas Perjanjian Pinjaman
sebesar Rp. 90.000.000.000 (sembilan puluh Miliar Rupiah)
tertanggal 24 November 2022 (“Perjanjian Pinjaman”), beserta
Perjanjian Perubahan Pertama tertanggal 23 November 2023
(“Perjanjian Perubahan Pertama”) dan Perjanjian Perubahan
Kedua tertanggal 22 November 2024 (“Perjanjian Perubahan
Kedua”).
Maka Perseroan dan KB Bukopin melakukan perubahan yang
diantaranya adalah, untuk :
- Memperpanjang jatuh tempo atas Perjanjian Pinjaman
selama 1 tahun sampai dengan tanggal 25 November
2025.

Dokumen jaminan untuk perolehan fasilitas pinjaman ini adalah
Standby Letter of Credit dari CJ CGV Co., Ltd (“CJ CGV”) selaku
pemegang saham pengendali Perseroan secara tidak langsung.
Tujuan dari pinjaman ini adalah untuk membiayai kebutuhan
modal kerja Perseroan.
Detail of Transaction In relation to Third Amendment Agreement dated 21st November
2025, made by and between the Company and PT KB Bank
Bukopin (“KB Bukopin”) (the “Third Agreement”), which
constitutes an amendment to the Loan Agreement in the amount
Rp. 90.000.000.000 (ninety billion Rupiah) dated 24 November
2022 (the “Loan Agreement”), as well as the First Amendment
Agreement dated 23 November 2023 (the “First Amendment
Agreement”) and the Second Amendment Agreement dated
November 22, 2024 (the “Second Amendment Agreement”).
Therefore, the Company and KB Bukopin made changes,
including, among others to :
- Extended the maturity of the Loan Facility Agreement for
1 year until 25 November 2026.
Guarantee document for obtaining this loan facility is a Standby
Letter of Credit provided by CJ CGV Co., Ltd. (“CJ CGV”) as the
controlling shareholders of the Company indirectly.
The purpose of this loan is to fund the Company’s working capital
needs.
3. Penjelasan, Pertimbangan dan Pertimbangan dan alasan dilakukan transaksi ini adalah untuk

Kegiatan Usaha, dikarenakan nilai transaksi tersebut
melampaui 20% dari ekuitas Perseroan berdasarkan Laporan
Keuangan Audited Perseroan per 31 Desember 2024; dan

b. Transaksi antara Perseroan dan KB Bukopin juga bukan
termasuk dalam transaksi afiliasi dan transaksi benturan
kepentingan sebagaimana dimaksud dalam Peraturan
Otoritas Jasa Keuangan No. 42/POJK.04/2020 (“POJK
42/2020”), tentang Transaksi Afiliasi dan Transaksi Benturan
Kepentingan.

Authority Regulation No. 42/POJK.04/2020 concerning
