Ltd. 3. | Uraian informasi atau Fakta Material lainnya yang relevan/ Details of information or other relevant Material Fact: Perseroan dengan ini menyampaikan bahwa pada tanggal 21 November 2025, Perseroan melalui anak usahanya, yaitu Petrosea Services Solutions Ltd. (“PSS”), telah menyelesaikan proses pengambilalihan 6096 saham Scan-Bilt Pte. Ltd. (“SBPL”) dengan menandatangani perjanjian jual beli saham dengan pemegang saham SBPL, yaitu TCAL Engineering Pte. Ltd. Nilai pengambilalihan mayoritas saham SBPL tersebut adalah sebesar 10,3 juta Dolar Singapura (atau setara dengan 8,03 juta Dolar Amerika Serikat) setelah melalui proses uji tuntas dan negosiasi. SBPL merupakan perusahaan yang berkedudukan dan tunduk pada hukum negara Singapura, serta memiliki pengalaman dan rekam jejak panjang dalam multidisiplin konstruksi dan teknik sipil untuk mendukung industri minyak & gas onshore serta pengolahan kimia. The Company hereby announces that on 21 November 2025, the Company through its subsidiary Petrosea Services Solutions Ltd. (“PSS”), has completed the acguisition of 6096 of the shares in Scan- Bilt Pte. Ltd. (“SBPL”) by executing a share purchase agreement with the shareholder of SBPL, namely TCAL Engineering Pte. Ltd. The value of the majority share acguisition of SBPL amounted to 10.3 million Singapore Dollars (or eguivalent to 8.03 million United States Dollars) following a thorough due diligence and negotiation process. SBPL is a company domiciled in and governed by the Iaws of the Republic of Singapore, with extensive experience and a@ proven track record in multidisciplinary construction and civil engineering to support the onshore oil & gas as well as chemical processing industries. dp 1

Pengambilalihan — SBPL — merupakan langkah penting dalam strategi diversifikasi Petrosea ke luar Indonesia, sekaligus mendukung pengembangan usaha untuk menyediakan layanan pendukung bagi industri minyak & gas serta industri pengolahan kimia. Ke depannya, Petrosea akan mengembangkan SBPL sebagai business hub untuk ekspansi bisnis ke kawasan Asia Pasifik dan Oceania, mencakup Singapura, Papua Nugini, Australia dan Indonesia. The acguisition of SBPL represents a key step in Petrosea's diversification strategy beyond Indonesia, while also supporting business development to provide support services for the oil & gas as well as chemical processing industries. Going forward, Petrosea will develop SBPL as a business hub for expanding its operations into the Asia-Pacific and Oceania regions, including Singapore, Papua New Guinea, Australia, and Indonesia. Perseroan secara konsisten terus mengupayakan penciptaan nilai tambah bagi seluruh pemegang saham dan pemangku kepentingan lainnya di masa sekarang dan akan datang. The acguisition of SBPL is expected to have a positive impact on performance and forms part of the business expansion and development strategy through Petrosea's diversification initiatives. The Company consistently strives to create added value for all shareholders and other stakeholders, both now and in the future.
