Uraian Informasi atau Fakta Material Perseroan menerima pemberitahuan dari Twinwood Family
Holdings Limited (Penjual) pada tanggal 19 November 2025
(Pemberitahuan) bahwa telah terjadi pengambilalihan seluruh
saham milik Penjual sejumlah 1.195.217.500 saham atau
mewakili 65,721% dari modal yang ditempatkan dan disetor
penuh pada Perseroan oleh AGPA Pte. Ltd. (anak perusahaan
dari POSCO International Corporation) (Pembeli) pada tanggal
19 November 2025 (Pengambilalihan).
Berdasarkan Pemberitahuan, Pengambilalihan tunduk pada
Peraturan Otoritas Jasa Keuangan No. 9/POJK.04/2018
tentang Pengambilalihan Perusahaan Terbuka (POJK No.
9/2018). Setelah Pengambilalihan, Pembeli akan
melaksanakan penawaran tender wajib sebagaimana
diwajibkan oleh POJK No. 9/2018.
Dampak kejadian, informasi atau fakta Informasi dan fakta material akan menyebabkan perubahan
material tersebut terhadap kegiatan pengendalian dalam Perseroan, dimana Pembeli akan menjadi
operasional, hukum, kondisi keuangan, pengendali baru di Perseroan. Namun, hal tersebut tidak akan
atau kelangsungan usaha Emiten atau berdampak signifikan terhadap kegiatan operasional, hukum,
Perusahaan Publik kondisi keuangan atau kelangsungan usaha Perseroan.

Description of Material Information or The Company received a notification on 19 November 2025
Facts (Notification) from Twinwood Family Holdings Limited (the
Seller) that there has been an acquisition of all shares owned
by the Seller, in the amount of 1,195,217,500 shares or
representing 65.721% of the issued and paid-up capital in the
Company, by AGPA Pte. Ltd. (a subsidiary of POSCO
International Corporation) (the Purchaser) on 19 November
2025 (the Acquisition).
According to the Notification, the Acquisition is subject to
Financial Services Authority Regulation No. 9/POJK.04/2018
(OJK Regulation No. 9/2018). After the Acquisition, the
Purchaser will conduct a mandatory tender offer as required by
OJK Regulation No. 9/2018.
