mengenai Penerbitan New Notes 1, New Notes 2 dan
OWK.
Information disclosure to shareholders regarding New Notes 1,
New Notes 2 and MCB.
Penerbitan New Notes 1 dan New Notes 2 (“New Notes”)
merupakan transaksi material dengan nilai transaksi lebih
dari 254 (dua puluh lima persen) dari total aset
Perseroan.
That the issuance of New Notes 1 and New Notes 2 (“New
Notes”) constitutes a material transaction with a transaction
value exceeding 254 (twenty-five percenl) of the Company's
total assets.
Penerbitan Obligasi Wajib Konversi (“OWK”) merupakan
Penambahan Modal Tanpa Hak Memesan Efek Terlebih
Dahulu sebagaimana dimaksud dalam POJK No.
32/POJK.04/2015 tentang Penambahan Modal
Perusahaan Terbuka Dengan Memberikan Hak Memesan
Efek Terlebih Dahulu (“POJK 32/2015”) sebagaimana
diubah melalui POJK No. 14/POJK.04/2019 tentang
Perubahan atas POJK 32/2015 (“POJK HMETD”) (dalam
hal mana, pemenuhan kewajiban POJK HMETD telah
dilakukan oleh Perseroan melalui penerbitan Keterbukaan
Informasi pada tanggal 9 Mei 2025), dan juga memenuhi
batasan nilai transaksi material dengan nilai transaksi
lebih dari 25”6 (dua puluh lima persen) dari total aset
Perseroan.
The issuance of the Mandatory Convertible Bonds (“MCB”)
constitutes a Capital Increase Without Pre-emptive Rights as
referred to in the OJK Regulation No. 32/POJK.04/2015 on
Capital Increases in Public Companies with Pre-emptive Rights
("POJK 32/2015”) as amended by POJK 14/POJK.04/2019 on
the Amendment to POJK 32/2015 (“OJK Regulation on
HMETD”) (in which, the Company has fulfilled the reguirements
under the OJK Regulation on HMETD through the publication of
the Information Disclosure on 9 May 2025), and also meets the
threshold for a material transaction with a transaction — value
exceeding 254 (twenty-five percent) of the Company's total
assets.

Penerbitan New Notes dan OWK juga merupakan
transaksi afiliasi sebagaimana dimaksud dalam Peraturan
OJK Nomor 42/POJK.04/2020, ditetapkan tanggal 1 Juli
2020 tentang Transaksi Afiliasi dan Benturan Kepentingan
Transaksi Tertentu (“POJK 42/2020”), dimana penerbitan
New Notes dan OWK dijamin dengan jaminan perusahaan
(corporate guarantee) oleh PT Eco Smart Garment
Indonesia, PT Pancaprima Ekabrothers, dan PT Prima
Sejati Sejahtera, yang merupakan entitas anak dari
Perseroan.
The issuance of the New Notes and the MCB also constitutes an
affiliated transaction as referred to under OJK Regulation No.
42/POJK.04/2020 dated 1 July 2020 on Affiliated Transactions
and Conflicts of Interest Transactions ("OJK Regulation
42/2020”), as the issuance of the New Notes and the MCB are
secured by corporate guarantees provided by PT Eco Smart
Garment Indonesia, PT Pancaprima Ekabrothers, and PT Prima
Sejati Sejahtera, which are the Company's subsidiaries.
Penerbitan New Notes dan OWK tidak wajib untuk
menjalankan prosedur (i) transaksi material sebagaimana
dimaksud dalam POJK No. 17/POJK.04/2020 ditetapkan
tanggal 20 April 2020 tentang Transaksi Material Dan
Perubahan Kegiatan Usaha dan (ii) transaksi afiliasi
sebagaimana dimaksud dalam POJK 42/2020, karena
penerbitan New Notes dan OWK merupakan transaksi
yang dilakukan sebagai akibat penetapan atau putusan
pengadilan.
The issuance of the New Notes and the MCB are not reguired to
comply with the procedures for (i) material transactions as
referred to under OJK Regulation No. 17/POJK.04/2020 dated 20
April 2020 on Material Transactions and Alteration of Business
Activities, and (ii) affiliated transactions as referred to under OJK
Regulation 42/2020, because the issuance of the New Notes and
the MCB constitutes a transaction carried out as a result of a
court decision or ruling.
