Uraian Informasi atau Fakta Material 1. Bahwa sebagaimana disampaikan dalam keterbukaan
informasi pada 29 Maret 2022, Perseroan menghentikan
sementara segmen operasi Divisi Polyester akibat dampak
pandemi covid-19 yang berkelanjutan sehingga pasar
downstream sangat lesu serta konflik geopolitik yang
diperkirakan akan berlangsung panjang, dan mengakibatkan
harga minyak mentah dunia meningkat secara signifikan,
sehingga harga bahan baku ikut melonjak tajam, sedangkan di
sisi lain permintaan pasar semakin lesu.
2. Bahwa sebagaimana usulan Direksi yang telah disetujui
secara terpisah melalui keputusan sirkuler pengganti rapat
dewan komisaris tanggal 14 November 2025, Perseroan
memutuskan untuk melakukan penghentian permanen
segmen usaha polyester karena mengalami kerugian berturut-
turut selama beberapa tahun terakhir dan tidak lagi
memberikan kontribusi positif terhadap kinerja keuangan serta
strategi jangka panjang Perseroan, dengan tetap
memperhatikan ketentuan hukum yang berlaku serta hak dan
kewajiban seluruh pihak terkait.
3. Kerugian segmen operasi Divisi Polyester terutama
disebabkan oleh tekanan harga jual akibat kelebihan pasokan
global, kebijakan impor, dan kompetisi ketat dengan produk
impor, fluktuasi harga bahan baku utama yang berdampak
pada kenaikan biaya produksi, utilisasi pabrik yang rendah
karena permintaan menurun, sehingga biaya tetap menjadi
tidak efisien.
4. Manajemen telah melakukan berbagai upaya efisiensi dan
restrukturisasi internal, namun hasilnya belum mampu
mengembalikan profitabilitas segmen operasi Divisi Polyester
tersebut. Oleh karena itu, penghentian kegiatan segmen
operasi Divisi Polyester dipandang sebagai langkah strategis
yang tepat untuk menjaga keberlanjutan dan kesehatan
keuangan Perseroan secara keseluruhan.
5. Bahwa berdasarkan Pasal 25 ayat (1) Peraturan Otoritas
Jasa Keuangan Nomor 17/POJK.04/2020 Tahun 2020 tentang
Transaksi Material dan Perubahan Kegiatan Usaha,
penghentian segmen operasi Divisi Polyester tidak diwajibkan
memperoleh persetujuan RUPS, sebab segmen operasi Divisi
Polyester telah mengalami kerugian usaha selama 5 (lima)
tahun berturut-turut berdasarkan Laporan Keuangan tahunan
perseroan pada tahun 2020 sampai dengan 2024 serta
penghentian segmen operasi Divisi Polyester tidak akan
mempengaruhi kelangsungan usaha Perusahaan Terbuka.
Dampak kejadian, informasi atau fakta Tidak terdapat dampak hukum atas penghentian permanen
material tersebut terhadap kegiatan segmen operasi Divisi Polyester, sebab perseroan telah
operasional, hukum, kondisi keuangan, menyelesaikan seluruh kewajiban kepada karyawan maupun
atau kelangsungan usaha Emiten atau kepada pelanggan. Lebih lanjut, tidak terdapat dampak
Perusahaan Publik finansial atas penghentian permanen segmen operasi Divisi
Polyester, sebab segmen operasi Divisi Polyester sudah tidak
beroperasi sejak tahun 2022.

Description of Material Information or 1. That as stated in the information disclosure on March 29th,
Facts 2022, the Company has temporarily suspended the Polyester
Division's operating segment due to the impact of the Covid-19
pandemic, resulting in a very sluggish downstream market and
geopolitical conflicts that are expected to last for a long time,
resulting in a significant increase in world crude oil prices,
resulting in a sharp increase in raw material prices, while on
the other hand, market demand is increasingly sluggish.
2. Based on the board of directors' proposal which has been
approved separately through a circular decision in lieu of the
board of commissioners meeting dated November 14, 2025,
the Company decided to permanently terminate the polyester
business segment because it has experienced consecutive
losses for the past few years and no longer provides a positive
contribution to the Company's financial performance and long-
term strategy, while still paying attention to applicable legal
provisions and the rights and obligations of all related parties.
3. The Polyester Division's operating segment losses were
primarily due to selling price pressures resulting from global
oversupply, import policies, and intense competition with
imported products, fluctuations in the prices of key raw
materials that resulted in increased production costs, and low
factory utilization due to declining demand, resulting in
inefficient fixed costs.
4. Management has undertaken various efficiency and internal
restructuring efforts, but the results have not been able to
restore profitability to the Polyester Division's operating
segment. Therefore, the permanent termination of Polyester
Division's operating segment is seen as an appropriate
strategic step to maintain the Company's overall sustainability
and financial stability.
5. Based on Article 25 paragraph (1) of Financial Services
Authority Regulation Number 17/POJK.04/2020 of 2020
concerning Material Transactions and Changes in Business
Activities, the permanent termination of the Polyester Division
operating segment is not required to obtain approval from the
General Meeting of Shareholders, because the Polyester
Division operating segment has experienced business losses
for 5 (five) consecutive years based on the company's annual
Financial Report in 2020 until 2024, and the permanent
termination of the Polyester Division operating segment will not
affect the continuity of the Public Company's business.
