1. Jenis aset adalah 1 (satu) unit kapal Motor Vessel
(MV) (“Aset”).

Perseroan telah menandatangani memorandum of
agreement untuk rencana pembelian Kapal MV
berukuran 32.210 GT yang akan menjadi
penambahan salah satu aset bagi Perseroan.

The type of asset is 1 (one) unit of Motor Vessel
(MV) (“Asset”).

The Company has signed a memorandum of
agreement for the purchase plan of the MV vessel,
with a size of 32,210 GT, that will serve as an
additional asset to the Company.

2. Nilai pembelian Aset adalah sebesar
US$16.300.000 (enam belas juta tiga ratus ribu
dolar Amerika Serikat) atau ekuivalen sebesar Rp
272,731,600,000 (dua ratus tujuh puluh dua miliar
tujuh ratus tiga puluh satu juta enam ratus ribu
rupiah).

The purchase value of the Asset is US$16.300.000
(sixteen million three hundred thousand United
States  dollars) or the eguivalent — of
Rp272,731,600,000 (two hundred seventy-two
billion seven hundred thirty-one million six hundred
thousand rupiah).

3. Transaksi ini tidak memiliki hubungan afiliasi dan
tidak mengandung benturan kepentingan
sebagaimana dimaksud dalam POJK
No.42/POJK/04/2020 tentang Transaksi Afiliasi dan
Transaksi Benturan Kepentingan.

The Transaction have no affiliation relationship
and do not contain a conflict of interest as
referred to in POJK  No.42/POJK/04/2020
concerning Affiliated Transactions and Conflict of
Interest Transactions.

4. Berdasarkan nilai tersebut, Transaksi tersebut
bukan merupakan Transaksi Material,
sebagaimana dimaksud dalam POJK
No.17/POJK.04/2020 tentang Transaksi Material
dan Perubahan Kegiatan Usaha, karena nilai
transaksi tidak lebih dari 20”4 (dua puluh persen)

nilai ekuitas Perseroan (merujuk pada nilai yang
tercantum dalam Laporan Keuangan Diaudit
Perseroan untuk tahun buku 2024).

Based on the value above, The Transaction is not
constitute a Material Transaction, as referred to
in POJK No.17/POJK.04/2020 concerning Material
Transactions and Changes in Business Activities,
because the transaction value is not more than 2045
(twenty percent) the value of the Company's eguity
(referring to the value stated in the Company's
Audited Financial Statements for the 2024 financial
year).
