Uraian Informasi atau Fakta Pada tanggal 13 November 2025, Perseroan telah menerima surat
Material pengunduran diri dari: (i) Ibu Flora Regina Regian dari jabatannya
Description of Material sebagai Komisaris Utama dan (ii) Bapak Gusmardi Bustami SH dari
Information of Fact jabatannya sebagai Komisaris Independen, serta (iii) Bapak Erwin
Manurung dan (iv) Bapak Timotius Nugraha Tjahjana dari
jabatannya masing-masing sebagai Direktur. Selanjutnya,
Perseroan akan mengikuti dan menjalankan ketentuan-ketentuan
yang diatur sesuai dengan anggaran dasar Perseroan dan
peraturan perundang-undangan yang berlaku, termasuk untuk
meminta persetujuan dari pemegang saham atas pengunduran diri
tersebut dan perubahan susunan Direksi dan Dewan Komisaris
Perseroan melalui Rapat Umum Pemegang Saham Luar Biasa
Perseroan.
On November 13, 2025, the Company received resignation letters
from: (i) Mrs. Flora Regina Regian from her position as a President
Commissioner and (ii) Mr. Gusmardi Bustami SH from his position
as a Independent Commissioner, and also (iii) Mr. Erwin Manurung
and (iv) Mr. Timotius Nugraha Tjahjana from their position as a
member of the Board of Directors. Furthermore, the Company will
follow and implement the provisions stipulated in accordance with
its article of association and the relevant laws and regulations,
including obtaining the required approval from the shareholders
for the resignation and change of composition of Board of Directors
and Board of Commissioners of the Company through an
Extraordinary General Meeting of Shareholders.
