Letter from the Borrower dated 13 October 2025 regarding Letter of Reguest for a Approval in relation to the Proposed Merger/Surat Permohonan Persetujuan sehubungan dengan Rencana Penggabungan (the “Letter”), 2. Facility Agreement No. BTPN/S/0057 dated 14 May 2020 as amended thereto from time to time entered or to be entered by and between the Bank and the Borrower (the “Facility Agreement”), Referring to the Article below stated in the Facility Agreement: Article 14.10 Mergers The Borrower must not enter into any amalgamation, demerger, merger or corporate reconstruction without prior written consent of the Lender. The Bank hereby gives its consent to the Borrower upon performance of the Borrower to do merger with its affiliate, namely PT Shield on Service Tbk (the “Corporate Action”) pursuant to the Article 14.10 of the Facility Agreement related to Mergers .
