With reference to the provisions of the Financial Services Authority (“OJK”) Regulation No.
31/POJK.04/2015 on Disclosure of Information or Material Facts by Issuers or Public Companies (as
amended), as well as Rule No. I-E on Information Submission Obligations as stipulated under the
Decision of the Board of Directors of the Indonesia Stock Exchange No. Kep-00066/BEI/09-2022, PT

mengenai Pengumuman Negosiasi Rencana Pengambilalihan
PT Hassana Boga Sejahtera Tbk, dengan ini kami
menyampaikan Pengumuman Perkembangan Negosiasi atas
rencana Pengambilalihan Perseroan, sebagaimana diatur
dalam Pasal 5 ayat (1) Peraturan OJK No. 9/POJK.04/2018
tentang Pengambilalihan Perusahaan Terbuka.
Saiko, dalam kapasitasnya sebagai calon Pengendali Baru,

melalui suratnya No. 2026/VII/SC/001/OJK/IDX tanggal 31 Juli
2026 mengenai Pengumuman Informasi atas Perkembangan
Negosiasi sehubungan dengan Rencana Pengambilalihan
Perseroan, memberitahukan bahwa proses negosiasi antara
calon Pengendali Baru dengan PT Asia Intrainvesta (“AI”)
selaku pihak penjual telah mengalami perkembangan.
Perkembangan tersebut ditandai dengan telah
ditandatanganinya Perjanjian Jual Beli Saham Bersyarat pada
hari Kamis, tanggal 30 Juli 2026, sehubungan dengan rencana
transaksi pengambilalihan sebanyak-banyaknya 1.000.000.000
(satu miliar) saham Perseroan, yang mewakili 39,22% (tiga
puluh sembilan koma dua dua persen) dari seluruh modal
ditempatkan dan disetor penuh Perseroan (“PJBS”), oleh Saiko
dan AI, yang penyelesaiannya akan tetap tunduk pada
ketentuan yang diatur dalam PJBS.
Description of Material With reference to the letter of Saiko Consultancy Pte. Ltd.
Information or Facts (“Saiko”) No. 2026/IV/SC/001/OJK/IDX dated 24 April 2026
concerning the Announcement of Negotiations for the
Proposed Acquisition of PT Hassana Boga Sejahtera Tbk, we
hereby submit the Announcement of Development of
Negotiation regarding the proposed Acquisition of the
Company, as referred to in Article 5 paragraph (1) of OJK
Regulation No. 9/POJK.04/2018 concerning the Acquisition of
Public Companies.
Saiko, in its capacity as the prospective New Controller,
through its letter No. 2026/VII/SC/001/OJK/IDX dated 31 July
2026 concerning Announcement on the Development of
Negotiations in relation to the Proposed Acquisition of the
Company, has informed that there has been a development in
the negotiation process between the prospective New
Controller and PT Asia Intrainvesta (“AI”) as the seller. Such
development is marked by the signing of the Conditional Sale
and Purchase Agreement on Thursday, 30 July 2026, in
connection with the proposed acquisition transaction of up to
1,000,000,000 (one billion) shares of the Company,
representing 39.22% (thirty-nine point two two percent) of the
total issued and fully paid-up capital of the Company (“CSPA”),
by Saiko and AI, in which the completion are still subject to the
terms set out in the CSPA.
