Information of Fact Perseroan Terbatas Nomor 01 Tanggal 7 November 2025 yang
dibuat di hadapan Notaris Devia Buniarto, S.H., M.Kn.
The Company has established a Subsidiary Entity named
PT Carsurin Trinova Global. The establishment of the Subsidiary
Entity has been stated in the Deed of Establishment of the Limited
Liability Company Number 01 dated 7 November 2025 made before
Notary Devia Buniarto, S.H., M.Kn.
PT Carsurin Trinova Global didirikan dengan modal dasar
Perseroan senilai Rp1.000.000.000,- (satu miliar Rupiah) terbagi
atas 1.000 (seribu) lembar saham dengan nilai nominal
Rp1.000.000 (satu juta Rupiah) per lembar saham. Dari modal
dasar tersebut, telah ditempatkan dan disetor yaitu sejumlah
Rp250.000.000,- (dua ratus lima puluh juta Rupiah) terbagi atas
250 (dua ratus lima puluh) lembar saham.
PT Carsurin Trinova Global was established with the Company's
authorized capital of Rp1,000,000,000 (one billion Rupiah) divided
into 1,000 (one thousand) shares with a nominal value of
Rp1,000,000 (one million Rupiah) per share. From the authorized
capital, Rp250,000,000 (two hundred fifty million Rupiah) has been
issued and paid-up, divided into 250 (two hundred fifty) shares.

transaksi dibawah 20% (dua puluh persen), dengan demikian
transaksi pembelian saham tersebut tidak mencapai nilai yang
material sebagaimana dimaksud dalam Peraturan
No. 17/POJK.04/2020 tentang Transaksi Material dan Perubahan
Kegiatan Usaha.
That based on the Company's audited annual financial report for
the 2024 financial year, the transaction has a transaction value of
below 20% (twenty percent), thus the share purchase transaction
does not reach a material value as referred to in Regulation No.
17/POJK.04/2020 concerning Material Transactions and Changes
in Business Activities.
Dampak kejadian, informasi Pendirian PT Carsurin Trinova Global akan memberikan dampak
atau fakta material tersebut yang positif bagi Perseroan untuk menunjang kegiatan usaha
terhadap kegiatan Perseroan dan memperluas jaringan usaha sebagai bagian dari
operasional, hukum, kondisi rencana pengembangan usaha Perseroan.
