Uraian Informasi atau Fakta Material a. Informasi Material
Pada tanggal 05 November 2025, Perseroan telah
menandatangani Perjanjian Sewa-Menyewa 1 (Satu) Unit
Kapal Offshore Support Vessel berjenis Pipe Laying & Lifting
Vessel (PLLV) dengan sistem kerjasama kontrak time charter
atas kapal bernama HAI LONG 106 dengan PT Gunanusa
Utama Fabricators.
b. Pihak-pihak yang terlibat:
Perseroan selaku Pemilik Kapal
PT Gunanusa Utama Fabricators selaku Penyewa Kapal
Secara bersama menyepakati adanya kontrak kerjasama Time
Charter.
c. Sifat hubungan para pihak:
Peseroan dengan PT Gunanusa Utama Fabricators tidak
memiliki hubungan afiliasi.
d. Nilai Kontrak:
Tarif harian (daily hire basis) atas kegiatan time charter adalah
sebesar USD 90.000 (sembilan puluh ribu dolar Amerika
Serikat)/ hari dengan tarif masa siaga (standby rate) sebesar
USD 50.000 (lima puluh ribu dolar Amerika Serikat)/hari
e. Jangka Waktu:
8 (delapan) tahun sejak BAST On-Hire
f. Alasan Perolehan Kontrak:
Perolehan kontrak ini merupakan bagian dari implementasi
strategi jangka panjang Perseroan untuk meningkatkan
penciptaan nilai.

Dampak kejadian, informasi atau fakta Dampak kepada Perseroan atas penandatanganan kontrak
material tersebut terhadap kegiatan kerjasama ini :
operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Emiten atau a. Dampak kegiatan operasional :
Perusahaan Publik Perolehan kontrak ini akan memberikan dampak positif
terhadap kegiatan operasional Perseroan karena
meningkatkan tingkat utilisasi armada kapal offshore service
vessel yang dimiliki, memperluas basis pelanggan Perseroan
di sektor jasa pendukung industri minyak dan gas, serta
memperkuat posisi Perseroan sebagai penyedia layanan
pendukung maritim yang kompeten dan berpengalaman.
b. Dampak Hukum:
Kontrak tersebut tidak menimbulkan dampak hukum yang
merugikan bagi Perseroan selama seluruh ketentuan dalam
perjanjian dipatuhi. Perseroan akan memastikan pelaksanaan
kontrak sesuai dengan ketentuan hukum yang berlaku,
termasuk kepatuhan terhadap peraturan pelayaran,
keselamatan kerja, dan standar operasional industri. Tidak
terdapat potensi sengketa hukum yang signifikan terkait
dengan perolehan kontrak ini.
c. Dampak Keuangan:
Kontrak ini berpotensi memberikan tambahan pendapatan
bagi Perseroan selama jangka waktu kontrak berlangsung
serta mendukung peningkatan arus kas operasional dan
profitabilitas. Dengan meningkatnya tingkat utilisasi kapal,
diharapkan terjadi perbaikan pada kinerja keuangan
Perseroan dalam periode mendatang.
d. Dampak Kelangsungan Usaha:
Memberikan dampak positif terhadap kelangsungan usaha
Perseroan serta meningkatkan kinerja keuangan dan
operasional Perseroan.

Description of Material Information or a. Material Information :
Facts On November 05th , 2025, the Company entered into a
Charter Agreement for 1 (one) unit Offshore Support Vessel of
the Pipe Laying & Lifting Vessel (PLLV) under a time charter
cooperation arrangement for the vessel named HAI LONG
106, with PT Gunanusa Utama Fabricators.
b. Parties Involved:
The Company as the Vessel Owner
PT Gunanusa Utama Fabricators as
the Charterer Party.
The Parties have mutually agreed to
enter into a Time Charter Agreement.
c. Nature of the parties relationship:
There is no affiliation relationship between the Company and
PT Gunanusa Utama Fabricators.
d. Contract value:
The daily hire rate for the time charter activity is USD 90.000
(ninety thousand United States dollars) per day, with a standby
rate of USD 50.000 (fifty thousand United States dollars) per
day.
e. Terms:
8 (eight) years commencing from the execution date of the
BAST On-Hire.
f. Reason for Contract Acquisition:
The acquisition of this contract constitutes part of the
Companys long-term strategy implementation to enhance
value creation.

Company’s operational activities, legal,
financial condition, or going concern a. Impact on Operational Activities:
The acquisition of this contract will have a positive impact on
the Companys operational activities as it will
increase the utilization rate of the Companys offshore service
vessel fleet, expand the Companys customer
base in the oil and gas support services sector, and strengthen
the Companys position as a competent and
experienced provider of marine support services.
b. Legal Impact:
The contract does not give rise to any detrimental legal impact
for the Company so long as all provisions of the agreement are
complied with. The Company will ensure the contracts
implementation in accordance withapplicable law, including
compliance with maritime regulations, occupational safety, and
industry operational standards. There is no material potential
legal dispute associated with the acquisition of this contract
c. Financial Impact:
This contract has the potential to generate additional revenue
for the Company throughout the contract
period and to support the improvement of operational cash
flow and profitability. With the increased vessel
utilization rate, the Company is expected to experience an
improvement in its financial performance in the
forthcoming periods.
d. Business Continuity Impact:
Providing a positive impact on the continuity of the Companys
business and improving the Companys
financial and operational performance.
