IN CONNECTION WITH THE PLAN ON CAPITAL INCREASE WITHOUT PRE-EMPTIVE RIGHTS
(“NPR”)
Keterbukaan Informasi ini dibuat dan dilakukan dalam rangka memenuhi ketentuan Peraturan
Otoritas Jasa Keuangan (“POJK”) No. 32/POJK.04/2015 tentang Penambahan Modal Perusahaan
Terbuka Dengan Memberikan Hak Memesan Efek Terlebih Dahulu, sebagaimana diubah dengan
POJK No. 14/POJK.04/2019 tentang Perubahan atas POJK No. 32/POJK.04/2015 tentang
Penambahan Modal Perusahaan Terbuka Dengan Memberikan Hak Memesan Efek Terlebih Dahulu
(“POJK 14/2019”), khususnya Pasal 43A.
This Information Disclosure is made and conducted in compliance with the Financial Services
Authority (Otoritas Jasa Keuangan) Regulation (“POJK”) No. 32/POJK.04/2015 on Capital Increase
of Public Companies with Pre-emptive Rights as amended by the POJK No. 14/POJK.04/2019 on
Amendment of POJK No. 32/POJK.04/2015 on Capital Increase of Public Companies with Pre-
emptive Rights (“POJK 14/2019”), especially Article 43A.
Keterbukaan Informasi ini penting untuk diperhatikan oleh para pemegang saham Perseroan dan
merupakan satu kesatuan dengan keterbukaan informasi sehubungan dengan rencana PMTHMETD
yang telah diumumkan oleh Perseroan pertama kali pada tanggal 20 Mei 2025 dan Perubahan
dan/atau Tambahan Informasi Keterbukaan Informasi tanggal 23 Juni 2025. (“Keterbukaan
Informasi PMTHMETD”).
This Information Disclosure is important to be considered by the shareholders of the Company and
is an integral part of the information disclosure regarding the NPR plan which was first announced by
the Company on May 20, 2025 and Amandment and/or Additional Information Disclosure on June
23, 2025. . (“NPR Information Disclosure”).

Dengan merujuk kepada Pasal 43A POJK 14/2019 dan Keterbukaan Informasi PMTHMETD, Perseroan
dengan ini mengumumkan bahwa Perseroan akan melaksanakan PMTHMETD dengan menerbitkan
206.062.500 (dua ratus enam juta enam puluh dua ribu lima ratus) saham baru Seri B dengan nilai
nominal Rp100,- (seratus Rupiah) per lembar saham (“Saham Baru”) dengan jadwal pelaksanaan
sebagai berikut:
Referring to the Article 43A of POJK 14/2019 and NPR Information Disclosure, the Company hereby
announces that the Company will carry out NPR, by issuing 206.062.500 (two hundred six million sixty
two thousand five hundred) new series B shares with a nominal value of Rp100.- (one hundred Rupiah)
per share (“New Shares”) with the following implementation schedule:

The announcement of the NPR implementation results 12 November 2025
Seluruh Saham Baru tersebut akan diambil bagian oleh PT Infitini Wahana yang merupakan pihak
terafiliasi dari Perseroan.
All of the New Shares will be subscribed by PT Infiniti Wahana which is an affiliated party of the
Company.
Sehubungan dengan pelaksanaan PMTHMETD, Perseroan telah memperoleh persetujuan dari para
pemegang saham Perseroan sesuai dengan Pasal 8A POJK 14/2019 melalui Rapat Umum Pemegang
Saham Luar Biasa (“RUPSLB”) Perseroan pada tanggal 26 Juni 2025 sebagaimana dituangkan dalam
Akta No. 38 tanggal 26 Juni 2025, dibuat dihadapan Edi Priyono, S.H., M.Kn., Notaris di Jakarta Selatan.
In connection with the NPR implementation, the Company has obtained the approval from the
shareholders of the Company pursuant to Article 8A of POJK 14/2019 through the Extraordinary General
Meeting of Shareholders (“EGMS”) of the Company on 26 June 2025 as set forth in Notarial Deed No.38
dated 26 June 2025, drawn up by Edi Priyono, S.H., M.Kn., Notary in South Jakarta.
PMTHMETD akan dilakukan dengan harga pelaksanaan Rp168 (seratus enam puluh delapan rupiah)
per saham. Penentuan harga pelaksanaan PMTHMETD tersebut sesuai dengan ketentuan V.1.1
Lampiran II Surat Keputusan Direksi PT Bursa Efek Indonesia Nomor Kep-00101/BEI/12-2021 perihal
Perubahan Peraturan Nomor I-A tentang Pencatatan Saham dan Efek Bersifat Ekuitas Selain Saham
yang Diterbitkan oleh Perusahaan Tercatat.
NPR will be implemented at the exercise price of Rp168 (one hundred and sixty eight rupiah) per share.
The determination of the exercise price of NPR is in accordance with the provisions of V.1.1 Appendix
II Decree of Board of Directors of Indonesia Stock Exchange Number Kep-00101/BEI/12- 2021 on the
Amendment of the Rule Number I-A on Listing of Shares and Non-Share Equity Securities Issued by a
Listed Company.
Setelah pelaksanaan PMTHMETD, jumlah modal ditempatkan dan modal disetor penuh Perseroan
akan meningkat menjadi 821.207.512 (delapan ratus dua puluh satu juta dua ratus tujuh ribu lima ratus
dua belas) saham atau sebesar Rp 238.840.514.000 (dua ratus tiga puluh delapan milyar delapan ratus
empat puluh juta lima ratus empat belas rupiah).
After the implementation of the NPR, the Company’s fully issued and paid-up capital will increase to
821,207,512 (eight hundred twenty one million two hundred seven thousand five hundred twelve)
shares or amounting to Rp 238.840.514.000] (two hundred and thirty eight billion eight hundred and
forty million five hundred and fourteen rupiah).
