Fasilitas pembiayaan/ Kredit Investasi
b. Pihak-pihak yang melakukan perjanjian:
- Perseroan sebagai Debitur; dan
- PT Bank Rakyat Indonesia (Persero) Tbk sebagai Kreditur.
c. Sifat hubungan para pihak yang melakukan kontrak:
- Perseroan dengan PT Bank Rakyat Indonesia (Persero) Tbk,
tidak memiliki hubungan afiliasi.
d. Jumlah plafond atau fasilitas pembiayaan:
Sebesar USD 49.000.000 (empat puluh sembilan juta dollar
Amerika Serikat) atau equivalent Rp 803.355.000.000
(delapan ratus tiga miliar tiga ratus lima puluh lima juta rupiah).
e. Jangka waktu:
- 90 (sembilan puluh) bulan sejak pencairan kredit.
f. Jaminan:
Tagihan yang timbul dari kontrak sewa kapal HAI LONG 106,
beserta 1 (satu) unit kapal Offshore Drilling Support Vessel
jenis Pipe Laying & Lifting Vessel dengan nama HAI LONG
106, yang menjadi agunan yang dijaminkan atas fasilitas
kredit.
g. Alasan perolehan kontrak:
- Untuk pelunasan terhadap kegiatan akuisisi 1 (satu)
unit kapal jenis Pipe Laying & Lifting Vessel atas nama kapal
HAI LONG 106;
- Biaya Operasional Perseroan.
h. Perjanjian kredit memuat ketentuan-ketentuan yang
secara umum diatur dalam perjanjian serupa.
Dampak kejadian, informasi atau fakta a. Dampak kejadian, informasi atau fakta material:
material tersebut terhadap kegiatan Kegiatan Operasional
operasional, hukum, kondisi keuangan, Akan berdampak positif bagi Perseroan dimana Perseroan
atau kelangsungan usaha Emiten atau dengan ini dapat merealisasikan strategi diversifikasi kegiatan

lepas pantai (offshore), meningkatkan kapasitas aset dan
layanan serta memperolah diversifikasi pendapatan dari
kegiatan usaha yang dijalankan.
b. Dampak hukum:
Dapat memberikan dampak hukum berupa beralihnya aset
perseroan yang dicatat sebagai jaminan kepada kreditur/
pemberi pinjaman apabila Perseroan gagal untuk membayar
kewajiban yang ditetapkan dalam perjanjian kredit.
c. Dampak keuangan:
Diharapkan dengan penggunaan fasilitas kredit tersebut, akan
memberikan dampak peningkatan pendapatan Perseroan.
d. Kelangsungan Usaha:
Kelangsungan usaha tetap terjaga dan terjamin dengan baik.

The Company has executed a Credit Facility Agreement with
Type of Material Information or Facts PT Bank Rakyat Indonesia Tbk (Bank BRI).
Description of Material Information or a. Material Information :
Facts On November 4 2025 the Company entered into a Charter
Agreement for 1 (one) unit
Offshore Support Vessel of the Pipe Laying & Lifting Vessel
(PLLV) under a time charter
cooperation arrangement for the vessel named HAI LONG 106
with PT Guna Nusa Utama
Fabricators.
b. Parties Involved:
-The Company as the Vessel Owner
-PT Guna Nusa Utama Fabricators as the Charterer Party.
The Parties have mutually agreed to enter into a Time Charter
Agreement.
c. Nature of the parties relationship:
There is no affiliation relationship between the Company and
PT Guna Nusa Utama
Fabricators.
d. Contract value:
With a contract period of 8 (eight) years, the estimated
contract value is approximately IDR
4.300.000.000. 000 (four trillion three hundred billion Rupiah).
e. Terms:
8 (eight) years commencing from the execution date of the
BAST On-Hire.
f. Reason for Contract Acquisition:
The acquisition of this contract constitutes part of the
Company s long-term strategy
implementation to enhance value creation.

Company’s operational activities, legal, It shall have a positive impact on the company, whereby
financial condition, or going concern the company will be able to implement its bussiness
diversification strategy by entering a new segment, namely
offshore support service, enhancing its asset capacity and
service capabilities and achieving revenue diversification from
its business operations.
b. Legal Impacts :
It may have legal implications in the form of the transfer of
the company's assets, which are recorded as collateral, to the
creditor/lender in the event that the company fails to fulfill its
obligations as stipulated in the credit agreement.
c. Financial impact :
It is expected that the utilization of the credit facility will have
a positive impact by increasing the company's revenue

The business continuity remains well maintained and
secured.
