Uraian Informasi atau Fakta Material Bahwa sehubungan dengan pelaksanaan proses delisting dan
go private Perseroan, PT Joyoagung Permata (JOYO) yang
merupakan pemegang saham Perseroan telah selesai
melakukan proses penawaran tender sukarela (VTO) pada
tanggal 5 September 2025. Sebagaimana telah disampaikan
melalui Keterbukaan Informasi yang dilakukan oleh JOYO,
termasuk dalam pengumuman koran pada tanggal 4 Juli 2025
berikut perbaikannya pada tanggal 21 Juli 2025 dan 20
Agustus 2025, JOYO telah melaksanakan VTO dalam 2 (dua)
periode, yaitu (i) periode pertama yang berlangsung selama 30
(tiga puluh) hari pada tanggal 22 Juli 2025 hingga 20 Agustus
2025, dan (ii) periode kedua yang berlangsung 15 (lima belas)
hari sejak tanggal 22 Agustus 2025 hingga 5 September 2025.
Dampak kejadian, informasi atau fakta Pelaksanaan VTO merupakan bagian dari satu kesatuan
material tersebut terhadap kegiatan proses dari pelaksanaan proses delisting dan perubahan
operasional, hukum, kondisi keuangan, status Perseroan dari perusahaan terbuka menjadi
atau kelangsungan usaha Emiten atau perusahaan tertutup, sehingga pengumuman ini ditujukan
Perusahaan Publik kepada para pemegang saham eksisting Perseroan untuk
mengetahui proses terbaru dari proses go private Perseroan.

Report on the Result of the Voluntary Tender Offer by PT

Description of Material Information or That in connection with the implementation of the Company
Facts delisting and go private process, PT Joyoagung Permata
(JOYO), as a shareholder of the Company, has completed the
Voluntary Tender Offer (VTO) process on September 5, 2025.
As previously disclosed through JOYO Public Disclosure,
including the newspaper announcement dated July 4, 2025,
and its subsequent amendments on July 21, 2025, and August
20, 2025, JOYO conducted the VTO in two (2) periods, namely
(i) the first period, which lasted for thirty (30) days, from July
22, 2025 to August 20, 2025 and (ii) the second period, which
lasted for fifteen (15) days, from August 22, 2025 to
September 5, 2025.
Impact of event, material information or The implementation of the VTO forms an integral part of the
facts towards Issuers or Public overall process of delisting and changing the Company status
Company’s operational activities, legal, from a public company to a private company. Therefore, this
financial condition, or going concern announcement is addressed to the existing shareholders of the
Company to inform them of the latest developments in the
Company go private process.
