Berdasarkan pemberitahuan dari LSO pada tanggal 27 Oktober 2025, sebagai tindaklanjut atas CSPA tersebut, LSO sebagai pihak Pengendali baru telah menyelesaikan transaksi dengan VNJ selaku Pengendali lama pada tanggal 27 Oktober 2025 dimana nilai pengambilalihan oleh LSO terhadap VNJ adalah sebanyak 313.250.000 (tiga ratus tiga belas juta dua ratus lima puluh ribu) lembar saham dengan harga Rp37,00 (tiga puluh tujuh Rupiah) per lembar saham atau setara dengan Rp11.590.250.000 (sebelas miliar lima ratus sembilan puluh juta dua ratus lima puluh ribu Rupiah). Sehingga saat ini kepemilikan LSO selaku Pengendali baru Perseroan adalah sebesar 2574 (dua puluh lima persen). Tujuan LSO melakukan pengambilalihan saham dan pengendalian adalah untuk pengembangan usaha Pengendali Baru. LSO tidak memiliki hubungan afiliasi dengan Perseroan maupun dengan pemegang saham Perseroan. On October 10, 2025, Lim Shrimp Org Pte. Ltd. (“LSO”) and the majority shareholder of the Company, PT Vina Nauli Jordania (“UNJ”), entered into a Conditional Sale and Purchase Agreement (“CSPA"). Based on the written notification on 27 October 2025, following the execution of the CSPA, LSO, as the new Controlling Shareholder, completed the transaction with VWNJ, the previous Controlling Shareholder, on October 27, 2025, whereby LSO acguired 313,250,000 (ihree hundred thirteen million two hundred fifiy thousand) shares from VNJ at a price of IDR37,00 (thirty-seven Rupiah) per share, eguivalent to a@ total consideration of IDRI1,590,250,000 (eleven billion five hundred ninety million two hundred fifty thousand Rupiah). As a result, LSO now holds 2596 (twenty-five percent) ownership of the Company 's total issued and paid-up shares. The purpose of Ihe share acguisition and change in control by LSO is for business development purposes of the New Controller.
