Uraian Informasi atau Fakta Material Perseroan menyatakan bahwa terdapat proses negosiasi
antara Koperasi Pegawai PT Indosat Tbk (Kopindosat) selaku
calon penjual dan Perseroan selaku calon pembeli untuk
melakukan pengambilalihan mayoritas saham PT Personel
Alih Daya Tbk (Perusahaan Target) dimana transaksi ini
berpotensi menyebabkan terjadinya perubahan pengendali
Perusahaan Target sebagaimana dimaksud dalam POJK
9/2018.
Negosiasi tersebut bertujuan untuk merumuskan transaksi
jual-beli 1.687.455.000 (satu miliar enam ratus delapan puluh
tujuh juta empat ratus lima puluh lima ribu) lembar saham atau
setara dengan 53,57% (lima puluh tiga koma lima tujuh
persen) dari modal ditempatkan dan disetor Perusahaan
Target dan setelah penyelesaian transaksi tersebut, Perseroan
akan menjadi pengendali baru Perusahaan Target.
Negosiasi sehubungan dengan Rencana Pengambilalihan
dilakukan secara langsung antara Kopindosat dengan
Perseroan pada tanggal 23 Oktober 2025, dan Kopindosat
serta Perseroan telah menandatangani suatu Indikasi Syarat
Dan Ketentuan Jual Beli sehubungan dengan Rencana
Pengambilalihan.
Sehubungan dengan penandatanganan Perjanjian Pembelian
Saham Bersyarat:
i. Indikasi Syarat Dan Ketentuan Jual Beli bersifat bersyarat
dan penyelesaian dari Rencana Pengambilalihan akan
bergantung pada terpenuhinya syarat dan ketentuan dalam
Indikasi Syarat Dan Ketentuan Jual Beli, antara lain,
terpenuhinya atau dikesampingkannya syarat-syarat tangguh;
ii. Kopindosat dan INET menyepakati klausula - klausula
pengakhiran yang lazim terjadi apabila syarat dan ketentuan
dalam Indikasi Syarat Dan Ketentuan Jual Beli tidak dipenuhi
atau diselesaikan, antara lain, pengakhiran dengan
kesepakatan antara Kopindosat dan INET secara tertulis, dan
pengakhiran karena tidak terpenuhinya beberapa syarat
tangguh; dan
iii. Penandatanganan Indikasi Syarat Dan Ketentuan Jual Beli
belum dapat dianggap telah terjadinya transaksi yang
mengakibatkan perubahan pengendalian berdasarkan POJK
No. 9/2018 hingga terjadinya penyelesaian Rencana
Pengambilalihan sebagaimana diatur dalam Perjanjian
Pembelian Saham Bersyarat.

operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Emiten atau
Perusahaan Publik

Announcement of Negotiations in connection with the
Type of Material Information or Facts Takeover Plan and Disclosure of Material Information or Facts

Description of Material Information or The Company states that negotiations are underway between
Facts the PT Indosat Tbk Employees' Cooperative (Kopindosat), as
the prospective seller, and the Company, as the prospective
buyer, to acquire a majority stake in PT Personel Alih Daya
Tbk (Target Company). This transaction has the potential to
result in a change of control of the Target Company, as
referred to in POJK 9/2018.
The negotiations aim to finalize a sale and purchase
transaction of 1,687,455,000 (one billion six hundred eighty-
seven million four hundred fifty-five thousand) shares,
equivalent to 53.57% (fifty-three point five seven percent) of
the issued and paid-up capital of the Target Company. Upon
completion of the transaction, the Company will become the
new controlling shareholder of the Target Company.
Negotiations regarding the Proposed Takeover were
conducted directly between Kopindosat and the Company on
October 23, 2025, and Kopindosat and the Company have
signed an Indicative Terms and Conditions of Sale and
Purchase in connection with the Proposed Takeover.
In connection with the signing of the Conditional Share
Purchase Agreement:
i. The Indicated Terms and Conditions of Sale and Purchase
are conditional, and completion of the Proposed Acquisition
will depend on the fulfillment of the terms and conditions set
forth in the Indicated Terms and Conditions of Sale and
Purchase, including the fulfillment or waiver of certain
outstanding conditions;
ii. Kopindosat and INET have agreed to termination clauses
that are common if the terms and conditions set forth in the
Indicated Terms and Conditions of Sale and Purchase are not
fulfilled or resolved, including termination by written agreement
between Kopindosat and INET, and termination due to the
failure to fulfill certain outstanding conditions; and
iii. The signing of the Indicated Terms and Conditions of Sale
and Purchase shall not be deemed to constitute a transaction
resulting in a change of control under POJK No. 9/2018 until
the Proposed Acquisition as stipulated in the Conditional
Share Purchase Agreement is completed.
