langsung terhadap Emiten atau Perusahaan Publik
Uraian Informasi atau Fakta Material Perseroan menerima informasi terkait perkembangan
pengambilalihan Perseroan bahwa:
a. PT Asia Investment Capital ('Pembeli') dan Hardy Satya,
Yohan Satya, dan Dimas Adiyasa Wiryaatmaja (secara
bersama-sama, 'Para Penjual') telah menandatangani
Addendum Pertama Perjanjian Jual Beli Saham Bersyarat
tanggal 24 Oktober 2025 sehubungan dengan perubahan
harga pembelian Perubahan harga pembelian dikarenakan
mekanisme pembayaran atas saham yang dijual pada sistem
yang ada di sekuritas tidak dapat menggunakan harga per
saham sebesar Rp21,30 (dua puluh satu koma tiga nol
Rupiah), atau dengan menggunakan desimal, sehingga harga
pembelian per saham diubah dari sebesar Rp 21,30 (dua
puluh satu koma tiga nol Rupiah) menjadi Rp21 (dua puluh
satu Rupiah).
b. pelaksanaan pengambilalihan oleh Pembeli atas 70,96%
(tujuh puluh koma sembilan puluh enam persen) kepemilikan
saham dalam Perseroan, yang seluruhnya dimiliki oleh Para
Penjual telah selesai dilaksanakan (crossing/closing) pada
tanggal 24 Oktober 2025 ('Transaksi').
Nilai Transaksi dan Struktur Pembayaran:
- Total nilai Transaksi adalah sebesar Rp24.643.500.000 (dua
puluh empat miliar enam ratus empat puluh tiga juta lima ratus
ribu Rupiah).
- Harga per saham adalah sebesar Rp21 (dua puluh satu
Rupiah).

Dampak kejadian, informasi atau fakta Dengan selesainya Transaksi dimaksud, telah terjadi
material tersebut terhadap kegiatan perubahan pengendalian Perseroan sesuai ketentuan
operasional, hukum, kondisi keuangan, perundang-undangan yang berlaku, termasuk namun tidak
atau kelangsungan usaha Emiten atau terbatas pada pemenuhan ketentuan dalam Peraturan OJK
Perusahaan Publik No. 9/POJK.04/2018 tentang Pengambilalihan Perusahaan
Terbuka, dan oleh karenanya Perseroan akan melakukan
penyesuaian dokumen internal terkait struktur pemegang
saham dan pengendalian, dimana Pembeli menjadi
pengendali baru Perseroan.
Pada saat keterbukaan informasi ini disampaikan, Perseroan
tidak dapat memastikan dampak informasi dan fakta material
tersebut di atas terhadap kegiatan operasional, hukum, kondisi
keuangan atau kelangsungan usaha Perseroan. Namun
demikian, Perseroan memperkirakan bahwa pengambilalihan
ini akan memberikan dampak positif terhadap struktur
manajemen, strategi bisnis, dan potensi pengembangan usaha
Perseroan di masa mendatang.

Changes of controlling shareholder
Type of Material Information or Facts
Description of Material Information or The Company received information regarding the progress of
Facts the acquisition of the Company that:
a. PT Asia Investment Capital ('Buyer') and Hardy Satya,
Yohan Satya, and Dimas Adiyasa Wiryaatmaja (collectively,
the 'Sellers') have signed the First Addendum to the
Conditional Share Sale and Purchase Agreement dated 24
October 2025 in connection with changes in the purchase
price. Changes in the purchase price are due to the payment
mechanism for shares sold on the existing securities system
not being able to use the price per share of Rp21.30 (twenty
one point three zero Rupiah), or using decimals, so that the
purchase price per share is changed from Rp21.30 (twenty
one point three zero Rupiah) to Rp21 (twenty one Rupiah).
b. the acquisition by the Buyer of 70.96% (seventy point
ninety-six percent) of the shares in the Company, all of which
are owned by the Sellers, has been completed
(crossing/closing) on 24 October 2025 ('Transaction').
Transaction Value and Payment Structure:
- Total transaction value is IDR24,643,500,000 (twenty four
billion six hundred forty three million five hundred thousand
Rupiah).
- Price per share is IDR21 (twenty-one Rupiah).

Impact of event, material information or With the completion of the aforementioned Transaction, there
facts towards Issuers or Public has been a change in the control of the Company in
Company’s operational activities, legal, accordance with the prevailing laws and regulations, including
financial condition, or going concern but not limited to the fulfilment of the provisions under OJK
Regulation No. 9/POJK.04/2018 on the Acquisition of Public
Companies. Accordingly, the Company will make the
necessary adjustments to its internal documents related to its
shareholding structure and control, where the Buyer becomes
the new controller of the Company.
At the time of this disclosure, the Company is unable to
ascertain the impact of the above information and material
facts on the operational activities, legal, financial condition or
business continuity of the Company. However, the Company
estimates that this acquisition will have a positive impact on
the management structure, business strategy, and business
development potential of the Company in the future.
