Uraian Informasi atau Fakta Material Pada tanggal 17 Oktober 2025, Perseroan telah memperoleh
Surat Izin Usaha Perusahaan Angkutan Laut (SIUPAL) dari
Kementerian Perhubungan Republik Indonesia, yang
menandai dimulainya kegiatan usaha Perseroan di bidang
angkutan laut dalam negeri.
Pada tanggal yang sama, Perseroan telah menandatangani
perjanjian sewa menyewa kapal dengan rincian sebagai
berikut:
a. Perjanjian Sewa Menyewa Kapal dengan PT Guna
Harapan Lestari senilai Rp 250.000.000 per bulan.
b. Perjanjian Sewa Menyewa Kapal dengan PT Lima
Srikandi Jaya*) senilai Rp 5.250.000.000 per bulan
*) Dalam menjalankan industri angkutan laut, kegiatan
usaha Perseroan dijalankan melalui dua jenis kontrak, yaitu
freight charter dan time charter. Saat ini, Perseroan
menyewakan armada kapalnya kepada perusahaan afiliasi
yang telah memiliki Izin Usaha Jasa Pertambangan (IUJP),
yaitu PT Lima Srikandi Jaya, dengan skema time charter.
Dalam hal Perseroan telah mendapatkan IUJP (yang saat ini
sedang dalam proses pengurusan), Perseroan akan dapat
melaksanakan pengangkutan komoditas tambang dengan
skema freight charter.
Dampak kejadian, informasi atau fakta Dengan demikian, Perseroan secara resmi telah memulai
material tersebut terhadap kegiatan kegiatan operasional di bidang jasa angkutan laut sejak
operasional, hukum, kondisi keuangan, tanggal 17 Oktober 2025, dan akan membukukan pendapatan
atau kelangsungan usaha Emiten atau dari kegiatan usaha Perseroan sejak tanggal tersebut secara
Perusahaan Publik berkesinambungan, yang diharapkan memberikan kontribusi
positif terhadap pertumbuhan pendapatan dan kinerja
Perseroan ke depan.

Description of Material Information or On October 17, 2025, the Company obtained the Surat Izin
Facts Usaha Perusahaan Angkutan Laut (SIUPAL) from the Ministry
of Transportation of the Republic of Indonesia, marking the
commencement of the Company's business activities in the
domestic sea transportation industry.
On the same date, the Company entered into vessel charter
agreements with the following details:
a. Vessel Charter Agreement with PT Guna Harapan Lestari
amounting to Rp 250,000,000 per month.
b. Vessel Charter Agreement with PT Lima Srikandi Jaya *)
amounting to Rp 5,250,000,000 per month.
*) In the sea transportation industry, the Company's business
activities are conducted under two types of contracts: freight
charter and time charter. At present, the Company rent its
vessels to the affiliated company that have Izin Usaha Jasa
Pertambangan (IUJP), which is PT Lima Srikandi Jaya, under
a time charter scheme. Upon the Company obtaining its own
IUJP (which is currently in process), the Company will be able
to carry out the transportation of mining commodities under a
freight charter scheme.
Impact of event, material information or Accordingly, the Company has officially commenced its
facts towards Issuers or Public operational activities in the sea transportation industry as of
Company’s operational activities, legal, October 17, 2025, and will start recognizing revenue from
financial condition, or going concern these business activities continously from that date onward,
which is expected to contribute positively to the Company's
future growth and performance.
