Merujuk permintaan penjelasan oleh Bursa Efek Indonesia melalui surat nomor No.: S-
11916/BEI.PP2/10-2025 tanggal 15 Oktober 2025 yang Perseroan terima tanggal 16 Oktober 2025
perihal Permintaan Penjelasan, kami sampaikan penjelasan sebagai berikut :
1. Perseroan membukukan laba bersih sebesar Rp27,74 miliar pada periode semester I tahun
2025. Laba bersih Perseroan tersebut mengalami penurunan sebesar 35,5% jika
dibandingkan dengan periode semester I tahun 2024, dimana Perseroan membukukan laba
bersih sebesar Rp43,02 miliar. Atas hal tersebut, agar dijelaskan penyebab utama penurunan
laba bersih Perseroan serta langkah peningkatan laba bersih di masa depan.
Penjelasan:
Laba bersih perseroan semester I tahun 2025 mengalami penurunan sebesar Rp15,27 milyar
atau 35,52% dibandingkan dengan periode yang sama tahun 2024. Penurunan tersebut
disebabkan penurunan produksi batubara dan penurunan harga ditingkat pelanggan atau
pengguna jasa sehingga berdampak terhadap penurunan volume pengapalan di Pelabuhan
Perseroan. Perseroan mencatat volume throughput batubara pada semester I tahun 2025
sebanyak 2.682.915 MT dan semester I tahun 2024 sebanyak 3.704.349 MT, dimana harga
saham Perseroan pada penutupan di bulan Juli 2025 adalah Rp1.150/lembar saham.
Langkah-langkah yang akan diambil oleh Perseroan untuk meningkatkan laba bersih di masa
depan adalah dengan menerapkan efisiensi biaya dan memperluas pangsa pasar.
2. Pendapatan Perseroan mengalami penurunan sebesar 23,6%, dengan penurunan terbesar
pada jasa pelabuhan dari Rp204,49 miliar menjadi Rp152,74 miliar.
Berdasarkan keterangan Perseroan melalui surat Perseroan nomor 081/DBL-IDX/IX/2025
tanggal 29 September 2025 perihal Tanggapan atas Permintaan Penjelasan, hal tersebut
dikarenakan adanya penurunan produksi batu bara oleh client Perseroan yang juga diikuti
dengan penurunan tren harga batu bara.
Atas hal tersebut, agar dijelaskan:
a. Upaya yang telah dan akan dilakukan Perseroan untuk menjaga kinerja keuangan di
tengah penurunan produksi dan tren harga batu bara.
b. Strategi diversifikasi pendapatan atau ekspansi usaha yang sedang atau akan
dijalankan Perseroan guna mengurangi ketergantungan pada sektor batu bara.
c. Strategi efisiensi operasional yang dilakukan Perseroan untuk menjaga margin laba
di tengah penurunan pendapatan.

Penjelasan :
a. Upaya akan dilakukan Perseroan untuk menjaga kinerja yaitu melakukan efisiensi biaya
operasional dan mencari pelanggan baru.
b. Strategi diversifikasi pendapatan atau ekspansi usaha yang akan dilakukan oleh Perseroan
yang masih dalam ruang lingkup kegiatan operasional Perseroan adalah melakukan usaha jasa
kepelabuhan dengan melakukan kerjasama dengan Kantor Kesyahbandaran dan Otoritas
Pelabuhan (KSOP) Kelas I Banjarmasin, Direktorat Jendral Perhubungan Laut dan Kementerian
Perhubungan Republik Indonesia. Kerjasama tersebut dilakukan oleh entitas anak perusahaan
PT Pelabuhan Talenta Bumi yang menjadi Badan Usaha Kepelabuhanan (BUP). Tanda tangan
perjanjian Konsesi antara PT Pelabuhan Talenta Bumi, dengan Kantor Kesyahbandaran dan
Otoritas Pelabuhan (KSOP) Kelas I Banjarmasin, Direktorat Jendral Perhubungan Laut dan
Kementerian Perhubungan Republik Indonesia dilakukan tanggal 5 Agustus 2025 untuk jangka
waktu 27 tahun.
Perseroan berpendapat kerjasama tersebut memberikan peluang usaha dan punya potensi
besar untuk meningkatkan pendapatan perseroan untuk masa yang akan datang.
c. Strategi perusahaan untuk menjaga margin laba di tengah penurunan pendapatan adalah :
• Menjalankan efisiensi Optimalisasi Aset Produktif untuk dapat menghasilkan pendapatan
di Semester II 2025.
• Menjalankan efisiensi operasional guna menjaga margin laba dengan melakukan
matching cost terhadap Pendapatan sehingga kinerja Keuangan Perseroan tetap terjaga.
3. Perseroan membukukan peningkatan beban umum dan administrasi yang naik sebesar 26,4%
pada periode semester I tahun 2025 dibandingkan semester I tahun 2024. Kenaikan beban
umum dan administrasi utamanya disebabkan oleh peningkatan beban jasa profesional yang
meningkat dari Rp3,00 miliar menjadi Rp5,70 miliar, atau meningkat 90,4%. Penyebab
berikutnya yaitu peningkatan beban pajak yang meningkat dari Rp49,30 juta menjadi Rp2,40
miliar, atau meningkat 4.767,9% Atas hal tersebut, agar dijelaskan:
a. Rincian kegiatan atau layanan yang menyebabkan peningkatan signifikan pada beban jasa
profesional.
b. Penyebab kenaikan beban pajak yang sangat signifikan pada periode tersebut.
c. Upaya efisiensi yang dilakukan Perseroan untuk mengendalikan beban umum dan
administrasi ke depan.
Penjelasan:
a. Peningkatan signifikan beban jasa profesional disebabkan oleh kegiatan pengelolaan
kepelabuhanan yang meningkat dalam rangka mempersiapkan kerjasama antara Entitas
Anak Perseroan PT Pelabuhan Talenta Bumi dengan Kantor Kesyahbandaran dan Otoritas
Pelabuhan (KSOP) Kelas I Banjarmasin yang dimulai pada tahun 2025.
b. Peningkatan beban pajak Semester I tahun 2025 disebabkan karena adanya koreksi pajak
atas pemeriksaan pengajuan restitusi terhadap kelebihan pembayaran pajak PPh Pasal
25/29 Badan Tahun Pajak 2023, sehingga muncul tambahan biaya pajak yang
dibebankan pada Tahun Buku 2025.

c. Perseroan sudah melakukan pemantauan dan evaluasi setiap komponen biaya umum dan
administrasi Perseroan secara rinci dan detail sehingga setiap biaya dikeluarkan sesuai
dengan manfaat atas penggunaannya.
4. Terkait dengan kas dan setara kas Perseroan yang relatif besar yaitu senilai Rp498,95
miliar per 30 Juni 2025 atau 42,3% dari total aset Perseroan, maka agar dijelaskan:
a. Kebijakan pengelolaan kas Perseroan.
b. Rencana pemanfaatan dana tersebut.
c. Apakah terdapat alokasi tertentu untuk ekspansi usaha atau investasi lainnya? Agar
dielaborasi.
Penjelasan:
a. Kas Perseroan terdiri dari dana kas dan bank. Setara kas adalah semua investasi jangka
pendek dan sangat likuid yang dapat segera dikonversikan menjadi kas dengan jatuh tempo
dalam waktu 3 bulan atau kurang sejak tanggal penempatannya dan yang tidak dijaminkan
serta tidak dibatasi pencairannya. Perseroan menerapkan kebijakan pengelolaan kas dengan
memperhatikan hal sebagai berikut:
• Periode perseroan untuk menjalankan bisnis Badan Usaha Kepelabuhanan (BUP)
membutuhkan support likuiditas guna mengatasi kemungkinan cash flow mismatch.
Atas potensi risiko tersebut preferensi pengelolaan kas Perseroan dilakukan melalui
penempatan dana pada instrumen likuid (giro dan deposito jatuh tempo < 3 bulan)
dengan mengedepankan pemilihan produk yang memberikan tingkat return paling
menguntungkan.
• Kebijakan investasi yang lebih bijak dengan melakukan kajian holistik dengan fokus
pada pertumbuhan profit jangka panjang.
b. Dana tersebut dipersiapkan untuk keperluan operasional Perseroan termasuk rencana
pengembangan bisnis Perseroan untuk masa depan.
c. Saat ini Perseroan sedang dalam tahap mengkaji potensi pengembangan bisnis baru sebagai
strategi diversifikasi pendapatan selain komoditas batubara. Perseroan telah
mengembangkan bisnis dengan diperolehnya izin konsesi Badan Usaha Kepelabuhanan
(BUP) oleh Entitas Anak PT Pelabuhan Talenta Bumi, maka Perseroan akan memulai
menyusun rencana investasi guna meningkatkan portofolio jasa kepelabuhanan, salah
satunya dengan membangun tangki timbun solar guna mendukung aktivitas pertambangan
dan transportasi di wilayah sekitar Pelabuhan dan hulu sungai Barito.
5. Perseroan membukukan piutang usaha sebesar Rp23,20 miliar per 30 Juni 2025. Berdasarkan
pengungkapan pada CALK 5 tentang Piutang Usaha, maka 83,9% piutang usaha sebelum
pencadangan telah jatuh tempo (Rp21,88 miliar) dan 39,3% telah jatuh tempo lebih dari 90
hari (Rp10,26 miliar). Adapun perseroan membukukan pencadangan kerugian penurunan nilai
sebesar Rp2,88 miliar atau 11,0% dari total piutang usaha sebelum pencadangan. Atas hal
tersebut, agar dijelaskan:
a. Upaya penagihan yang telah dan akan dilakukan Perseroan terhadap piutang yang telah
jatuh tempo, khususnya yang lebih dari 90 hari.
b. Penilaian manajemen atas kemungkinan tertagihnya piutang tersebut serta kecukupan
pencadangan kerugian penurunan nilai yang dibentuk.
c. Strategi peningkatan kolektabilitas piutang usaha Perseroan di masa depan.

a. Perseroan telah melakukan upaya penagihan terhadap piutang yang telah jatuh tempo baik
secara lisan maupun tertulis.
b. Penilaian manajemen atas tertagihnya piutang berdasarkan profil kemampuan finansial
pelanggan dan riwayat pembayaran piutang, manajemen berpendapat piutang tersebut
dapat tertagih dan atas kemungkinan tidak tertagihnya Piutang telah dilakukan pencadangan
nilai kerugian sesuai dengan ketentuan Standar Akuntansi Keuangan yang berlaku.
c. Perseroan akan mengevaluasi kontrak dengan para pengguna jasa dan melakukan
komunikasi lebih intensif dan upaya penagihan secara terus-menerus dengan pelanggan,
sehingga kolektabilitas piutang usaha Perseroan dapat berjalan dengan lancar.
6. Berdasarkan CALK 8 tentang Aset Tetap, terdapat informasi bahwa Perseroan memiliki
beberapa bidang tanah yang terletak di Kalimantan Selatan dengan hak legal berupa Hak
Guna Bangunan (HGB) yang dapat diperbarui dan berjangka waktu 30 tahun yang akan jatuh
tempo antara tahun 2025 dan 2050. Tidak terdapat informasi terkait HGB yang akan jatuh
tempo pada 2025 dan status perpanjangannya. Namun demikian Perseroan mengungkapkan
bahwa manajemen Perseroan berkeyakinan bahwa HGB akan dapat diperpanjang pada akhir
periode HGB. Atas hal tersebut, agar dijelaskan:
a. Rincian bidang tanah dengan HGB yang akan jatuh tempo pada satu tahun ke depan
beserta informasi luas, lokasi, dan peruntukannya masing-masing.
b. Apakah atas HGB yang akan jatuh tempo pada satu tahun ke depan tersebut, terdapat
bidang tanah yang saat ini digunakan Perseroan sebagai lokasi operasional utama grup
Perseroan?
c. Status perpanjangan HGB yang akan atau telah diajukan serta estimasi waktu
penyelesaiannya.
d. Pertimbangan manajemen dalam menyatakan keyakinan bahwa HGB dapat
diperpanjang.
Penjelasan:
a. Perseroan memiliki bidang tanah yang terletak di Kalimantan Selatan dengan hak legal
berupa Sertipikat Hak Pakai (SHP) yang dapat diperbarui dan akan jatuh tempo pada tahun
2025. Berikut rinciannya:

b. 3 (tiga) Sertipikat Hak Pakai (SHP) yang disebutkan pada poin a diatas, merupakan bidang
tanah yang digunakan Perseroan sebagai lokasi operasional untuk Jalan Angkut (Hauling
Road).
c. Saat ini status perpanjangan untuk 3 (tiga) Sertipikat Hak Pakai (SHP) yang disebutkan pada
poin a diatas sedang dalam proses permohonan perpanjangan hak sertipikat di Kantor
Pertanahan Kabupaten Banjar, Kalimantan Selatan.
d. Dengan berkoordinasi kepada Kantor Pertanahan Kabupaten Banjar, Kalimantan Selatan,
Perseroan akan terus mengupayakan keberhasilan proses perpanjangan Hak dari sertipikat
yang sedang dalam proses perpanjangan.
7. Perseroan membukukan pendapatan ditangguhkan sebesar Rp10,54 miliar per 30
Juni 2025, di mana berdasarkan CALK 11 tentang Pendapatan Ditangguhkan,

sebesar Rp5,00 miliar diantaranya berasal dari PT Merge Mining Industri yang mana saldonya
tidak bergerak, setidaknya sejak posisi per 31 Desember 2021. Atas hal tersebut, agar
dijelaskan:
a. Rincian hubungan kerja sama antara Perseroan dengan PT Merge Mining Industri yang
mendasari pendapatan ditangguhkan tersebut.
b. Alasan saldo pendapatan ditangguhkan tersebut belum direalisasikan hingga saat ini.
c. Status dan rencana penyelesaian kewajiban yang mendasarinya.
Penjelasan:
a. PT Merge Mining Industri merupakan pengguna jasa Perseroan yang memiliki kontrak
Kerjasama Pelayanan Terintegrasi untuk pengangkutan batubara, pemakaian jalan angkut
dan penggunaan fasilitas pelabuhan batubara.
b. Pendapatan ditangguhkan tersebut merupakan jaminan atas penggunaan jasa terintegrasi
yang diberikan oleh Perseroan kepada PT Merge Mining Industri.
c. Saat ini PT Merge Mining Industri masih memiliki kontrak Kerjasama Pelayanan Terintegrasi
yang masih berlaku, sehingga kewajiban jaminan tersebut belum dapat direalisasikan.
8. Informasi/fakta/kejadian penting lainnya yang material dan dapat mempengaruhi harga Efek
Perseroan serta kelangsungan usaha Perseroan yang belum diungkapkan kepada publik.

Regarding : Response to Request for Explanation
Referring to the request for clarification by the Indonesia Stock Exchange through letter
number No.: S-11916/BEI.PP2/10-2025 dated October 15, 2025, which the Company received on
October 16, 2025, regarding the Request for Clarification, hereby we provide the following
explanation:
1. The company recorded a net profit of IDR 27.74 billion in the first half of 2025. The company's
net profit decreased by 35.5% compared to the first half of 2024, when the company recorded
a net profit of IDR 43.02 billion. In this regard, please explain the main reasons for the
decrease in the company's net profit and the steps for increasing net profit in the future.
Explanation:
The Company’s net profit for the first semester of 2025 decreased by IDR 15.27 billion or 35.52%
compared to the same period in 2024. This decline was mainly due to the decrease in coal
production and lower selling prices to customers or service users, which consequently led to a
reduction in shipping volume at the Company’s port. The Company recorded a coal throughput
volume of 2,682,915 MT in the first semester of 2025, compared to 3,704,349 MT in the same
period of 2024. The Company’s share price as of July 2025 closing was IDR 1,150 per share.
To improve net profit in the future, the Company plans to implement cost efficiency measures
and expand its market share.
2. The Company's revenue decreased by 23.6%, with the largest decline occurring in port services,
from IDR 204.49 billion to IDR 152.74 billion.Based on the Company's statement via letter
number 081/DBL-IDX/IX/2025 dated September 29, 2025, regarding the Response to Request
for Explanation, this was due to a decrease in coal production by the Company's clients, which
was also accompanied by a declining trend in coal prices. In this regard, please clarify:
a. The efforts the Company has taken and will take to maintain financial performance amid
decreasing production and coal price trends.
b. The revenue diversification or business expansion strategies currently or will be
implemented by the Company to reduce dependence on the coal sector.
c. The operational efficiency strategies carried out by the Company to maintain profit margins
amid revenue decline.
Explantion:
a. The Company will take measures to maintain performance by implementing
operational cost efficiencies and seeking new customers.

b. The Company’s revenue diversification or business expansion strategy, which remains
within the scope of its operational activities, involves providing port services through a
concession agreement with the Class I Banjarmasin Port Authority Office (KSOP), the
Directorate General of Sea Transportation, and the Ministry of Transportation of the
Republic of Indonesia. This agreement is carried out by the subsidiary, PT Pelabuhan
Talenta Bumi, which operates as a Port Business Entity (BUP). The Concession
Agreement between PT Pelabuhan Talenta Bumi and the Class I Banjarmasin Port
Authority Office (KSOP), Directorate General of Sea Transportation, and Ministry of
Transportation of the Republic of Indonesia was signed on August 5, 2025, for a period
of 27 years.
The Company believes that this agreement provides business opportunities and has
great potential to increase the Company’s revenue in the future.
c. The Company’s strategy to maintain profit margins amid declining revenue includes:
• Implementing efficiency by optimizing productive assets to generate revenue in
the second half of 2025.
• Conducting operational efficiencies to maintain profit margins by matching costs
with revenues to ensure the Company’s financial performance remains stable.
3. Regarding the Company's relatively large cash and cash equivalents amounting to IDR 498.95
billion as of June 30, 2025, or 42.3% of the Company's total assets, please explain:
a. The Company's cash management policy.
b. Plans for the utilization of these funds.
c. Is there any specific allocation for business expansion or other investments? Please
elaborate.
Explanation:
a. The significant increase in professional service expenses was due to intensified port
management activities in preparation for the agreement between the Company’s subsidiary,
PT Pelabuhan Talenta Bumi, and the Class I Banjarmasin Port Authority Office (KSOP), which
commenced in 2025.
b. The increase in tax expenses for the first half of 2025 was caused by a tax adjustment following
an audit of the restitution claim for overpayment of Corporate Income Tax Article 25/29 for
the 2023 Tax Year, resulting in the increase tax expenses in the 2025 financial year.
c. The Company has conducted monitoring and evaluation of each component of its general and
administrative expenses in detail and thoroughly so that every cost is incurred in accordance
with the benefits of its use.
4. The company recorded trade receivables of IDR 23.20 billion as of June 30, 2025. Based on the
disclosure in CALK 5 regarding Trade Receivables, 83.9% of the trade receivables before
allowances have matured (IDR 21.88 billion), and 39.3% have been overdue for more than 90
days (IDR 10.26 billion). The company also recorded an allowance for impairment losses of IDR
2.88 billion or 11.0% of the total trade receivables before allowances. In this regard, please
explain:
a. The collection efforts that have been and will be undertaken by the Company for
overdue receivables, particularly those overdue for more than 90 days
b. Management's assessment of the likelihood of collecting these receivables and the
adequacy of the allowance for impairment losses established
c. The strategy to improve the collectability of the Company's trade receivables in
the future.

Explanation:
a. The Company’s cash consists of cash on hand and bank balances. Cash equivalents are all
short-term, highly liquid investments that are readily convertible to cash with maturities of
three months or less from the date of placement, and that are neither pledged nor restricted
in their withdrawal. The Company applies cash management policies with attention to the
following points:
• The period in which the Company operates as a Port Business Entity (BUP) requires
liquidity support to manage potential cash flow mismatches. Given this risk, the Company
prefers to manage cash by placing funds in liquid instruments (demand deposits and time
deposits with maturities under 3 months), prioritizing products that offer the most
favorable returns.
• A more prudent investment policy is adopted through holistic evaluations focusing on
long-term profit growth.
b. These funds are prepared for the Company’s operational needs, including plans for future
business development.
c. Currently, the Company is evaluating the potential for new business development as a
revenue diversification strategy beyond coal commodities. Having obtained the Port Business
Entity (BUP) concession permit through its subsidiary PT Pelabuhan Talenta Bumi, the
Company will begin planning investments to enhance its port service portfolio, including
building a solar storage tank to support mining and transportation activities in the areas
surrounding the port and upstream of the Barito River.
5. The company recorded trade receivables of IDR 23.20 billion as of June 30, 2025. Based on the
disclosure in CALK 5 regarding Trade Receivables, 83.9% of the trade receivables before
allowances have matured (IDR 21.88 billion), and 39.3% have been overdue for more than 90
days (IDR 10.26 billion). The company also recorded an allowance for impairment losses of IDR

Explanation:
a. The Company has made collection efforts on overdue receivables through both verbal and
written communications.
b. Management’s assessment of the collectability of receivables is based on the customers’
financial capacity profiles and payment history. Management believes that the
receivables are collectible, and for any potential uncollectible amounts, an allowance for

and their renewal status. However, the Company discloses that the Company's management
believes that the HGBs can be renewed at the end of their term. In this regard, please clarify:

their area, location, and intended use.
b. Whether any of the HGBs expiring within the next year are currently used by the
Company as the main operational location of the Company group.
c. The status of HGB renewals that have been or will be applied for and the estimated

on CALK 11 regarding Deferred Revenue, IDR 5.00 billion of it comes from PT Merge Mining
Industri, the balance of which has not changed at least since the position as of December 31,
2021. In this regard, please explain:
a. The details of the cooperation between the Company and PT Merge Mining Industri
that underlie this deferred revenue.
b. The reason why this deferred revenue balance has not been realized so far.
c. The status and plan for resolving the underlying obligation.

a. PT Merge Mining Industri is a service user of the Company that holds an Integrated Service
Cooperation contract for coal transportation, hauling road usage, and coal port facility
utilization.
b. The deferred revenue represents a guarantee for the integrated services provided by the
