24,500,000yang dilakukan oleh Perseroan.
Uraian Informasi atau Fakta Material Keterbukaan Informasi ini dibuat sehubungan dengan
transaksi pembelian satu unit kapal Liquified Natural Gas
dengan nilai pembelian sebesar USD 24.500.000 yang
dilakukan oleh Perseroan. Nilai transaksi tersebut adalah
36,92% dari ekuitas Perseroan berdasarkan Laporan
Keuangan Konsolidasian Perseroan per 31 Desember 2024,
sehingga Transaksi tersebut memenuhi kriteria transaksi
material sebagaimana dimaksud dalam POJK 17 2020.
Transaksi tersebut bukan merupakan transaksi afiliasi dan
bukan merupakan transaksi yang mengandung benturan
kepentingan sebagaimana dimaksud dalam Peraturan Otoritas
Jasa Keuangan Nomor 42 tentang Transaksi Afiliasi dan
Benturan Kepentingan. Dengan demikian, Perseroan tidak
diwajibkan untuk memperoleh persetujuan terlebih dahulu dari
Rapat Umum Pemegang Saham.

Dampak kejadian, informasi atau fakta Pembelian Kapal dilakukan sejalan dengan strategi
material tersebut terhadap kegiatan pertumbuhan dan pengembangan usaha Perseroan sebagai
operasional, hukum, kondisi keuangan, perusahaan yang bergerak dalam usaha pelayaran.
atau kelangsungan usaha Emiten atau Pembelian Kapal ini diharapkan dapat meningkatkan pangsa
Perusahaan Publik pasar, meningkatkan pendapatan dan laba bersih, dan
memberikan kontribusi positif bagi kinerja keuangan
konsolidasian Perseroan di masa yang akan datang, yang
pada akhirnya memberikan nilai tambah bagi Perseroan dan
seluruh stakeholder Perseroan.
Perseroan meyakini bahwa transaksi ini tidak akan berdampak
negatif terhadap kinerja keuangan Perseroan secara
signifikan. Hal tersebut dikarenakan salah satu sumber
pendanaan telah dialokasikan dari dana IPO dan Perseroan
telah memiliki perhitungan yang matang mengenai potensi
pendapatan dari pengoperasian Kapal.
Untuk keperluan pembelian Kapal ini, Perseroan
mengalokasikan dana sebesar USD 26,930,000 (dua puluh
enam juta sembilan ratus tiga puluh ribu dolar Amerika Serikat)
dengan nilai aset Kapal sebesar USD 24,500,000 (dua puluh
empat juta lima ratus ribu dolar Amerika Serikat). Sebagai
konsekuensi dari Transaksi, aset Perseroan diperkirakan tidak
akan mengalami peningkatan atau penurunan dikarenakan
pembelian aset tetap Kapal didanai dengan dana kas di bank.

Disclosure Information in connection with the purchase
Type of Material Information or Facts transaction of one Liquified Natural Gas at a purchase value of
USD 24,500,000 conducted by the Company.
Description of Material Information or This Information Disclosure is made in connection with the
Facts purchase transaction of one unit of Liquified Natural Gas
vessel with a purchase value of USD 24,500,000 carried out
by the Company. The transaction value is 36.92% of the
Company's equity based on the Company's Consolidated
Audited Financial Statements as of December 31, 2024, so
that the Transaction meets the criteria for material transactions
as referred to in POJK 17 2020. The transaction is not an
affiliated transaction and is not a transaction containing a
conflict of interest as referred to in Financial Services Authority
Regulation Number 42 concerning Affiliated Transactions and
Conflicts of Interest. Thus, the Company is not required to
obtain prior approval from the General Meeting of
Shareholders.

Impact of event, material information or The purchase of the vessel is in line with the Company's
facts towards Issuers or Public growth and business development strategy as a shipping
Company’s operational activities, legal, company. The purchase of this vessel is expected to increase
financial condition, or going concern market share, boost revenue and net profit, and positively
contribute to the Company's future consolidated financial
performance, ultimately providing added value for the
Company and all stakeholders.
The Company believes that this transaction will not
significantly impact the Company's financial performance. This
is because one of the funding sources has been allocated from
the IPO proceeds and the Company has carefully calculated
the potential revenue from the vessel's operation.
For the purchase of this vessel, the Company has allocated
funds of USD 26,930,000 (twenty-six million nine hundred
thirty thousand United States dollars) with a vessel asset value
of USD 24,500,000 (twenty-four million five hundred thousand
United States dollars). As a consequence of the Transaction,
the Company's assets are not expected to increase or
decrease because the purchase of the vessel's fixed assets is
funded by cash in the bank.
