1. Completion of the transaction for the acquisition of
1,000,000,000 (29.19%) shares in the Company
owned by Junaedi by PT Morris Capital Indonesia,
based on the Conditional Share Purchase Agreement.
2. Completion of the transaction for the acquisition of
250,000,000 (7.30%) shares in the Company owned by
Hendrik Saputra by PT Morris Capital Indonesia.
3. Completion of the transaction for the acquisition of
250,000,000 (7.30%) shares in the Company owned by
Nanang Saputra by PT Morris Capital Indonesia.
3 Uraian Informasi atau Fakta 1. Pengambilalihan sebanyak 1.000.000.000 (Satu
Material / Description of Miliar) lembar saham atau 29,19% dari total modal
Information or Material disetor dan ditempatkan dalam Perusahaan yang

berdasarkan Perjanjian Jual Beli Bersyarat; dan

Lima Puluh Juta) lembar saham atau 7,30% dari total
modal disetor dan ditempatkan dalam Perusahaan
yang dimiliki oleh Hendrik Saputra dengan harga Rp
26,00 per saham.
3. Pengambilalihan sebanyak 250.000.000 (Dua Ratus
Lima Puluh Juta) lembar saham atau 7,30% dari total
modal disetor dan ditempatkan dalam Perusahaan
yang dimiliki oleh Nanang Saputra, dengan harga Rp
26,00 per saham.
Dengan demikian, total saham yang diambil alih
berjumlah 1.500.000.000 (Satu Miliar Lima Ratus Juta)
lembar saham atau 43,78% dari total modal disetor dan
ditempatkan dalam Perusahaan, yang seluruhnya telah
dialihkan dari Para Penjual kepada Pembeli pada tanggal
10 Oktober 2025 (“Pengambilalihan”)
Saham-saham tersebut dibeli dengan harga Rp 2,90 per
lembar saham sebanyak 1.000.000.000 (Satu Miliar)
lembar saham dan Rp 26 per lembar saham sebanyak
500.000.000 (Lima Ratus Juta), dan dengan total nilai
Pengambilalihan sebesar Rp 15.900.000.000 (Lima Belas
Miliar Sembilan Ratus Juta Rupiah)
Sebagaimana disampaikan dalam Pemberitahuan, tujuan
Pembeli melakukan Pengambilalihan adalah untuk
investasi dari rencana pengembangan dan ekspansi bisnis
grup dari investor-investor Pembeli.
1. The acquisition of 1,000,000,000 (One Billion) shares
or 29.19% of the total issued and paid-up capital in the
Company owned by Junaedi, at a price of IDR 2.90 per
share pursuant to the Conditional Share Purchase
Agreement dated October 6th, 2025; and
2. The acquisition of 250,000,000 (Two Hundred and Fifty
Million) shares or 7.30% of the total issued and paid-

up capital in the Company owned by Hendrik Saputra
at a price of IDR 26.00 per share.
3. The acquisition of 250,000,000 (Two Hundred and Fifty
Million) shares or 7.30% of the total issued and paid-
up capital in the Company owned by Nanang Saputra,
at a price of IDR 26.00 per share.
Accordingly, a total of 1,500,000,000 (One Billion Five
Hundred Million) shares or 43.78% of the total issued and
paid-up capital of the Company have been transferred
from the Sellers to the Purchaser on October 10th, 2025
(the “Acquisition”).
The shares are purchased at a price of IDR 2.90 per share
as much as 1,000,000,000 shares and at a price of IDR 26
per share as much as 500,000,000 shares, with a total

As stated in the Notification, the purpose of the Purchaser
carries out the Acquisition is to investment from the
group's business development and expansion plans from

5 Keterangan lain-lain / Other Sebagaimana disampaikan dalam Pemberitahuan,
information sebagai pengendali baru Perusahaan, Pembeli akan
melaksanakan penawaran tender wajib sesuai dengan
ketentuan dalam Peraturan Otoritas Jasa Keuangan No.
9/POJK.04/2018. Pelaksanaan penawaran tender wajib
akan dilakukan dengan memperhatikan ketentuan yang
berlaku.

As stated in the Notification, as the new controller of the
Company, the Purchaser will conduct a mandatory tender
offer required pursuant to Financial Services Authority
Regulation No.9/POJK.04/2018. The implementation of
the mandatory tender offer will be carried out in
compliance with applicable regulations.
