LSO/SMKM/08102501 tanggal 13 Oktober 2025 perihal
Pemberitahuan atas Pengumuman Perkembangan Negosiasi
terkait Rencana Pengambilalihan PT Sumber Mas Konstruksi
Tbk maka bersama ini kami informasikan Pengumuman
Perkembangan Negosiasi atas rencana Pengambilalihan
Perseroan sebagaimana dimaksud dalam Pasal 5 ayat (1)
Peraturan OJK No. 9/POJK.04/2018 tentang Pengambilalihan
Perusahaan Terbuka (POJK 9/2018).
Lim Shrimp Org Pte. Ltd. (Calon Pengendali Baru) selaku
Calon Pengendali Baru menyampaikan bahwa telah terjadi
perkembangan dalam proses negosiasi antara Calon
Pengendali Baru dan PT Vina Nauli Jordania (VNJ) selaku
calon penjual, yang ditandai dengan penandatanganan
Perjanjian Jual Beli Saham Bersyarat pada hari Jumat, 10
Oktober 2025 sehubungan dengan rencana transaksi
pengambilalihan atas sebanyak-banyaknya 450.000.000
(empat ratus lima puluh juta) lembar saham Perseroan atau
setara dengan 35,91% (tiga puluh lima koma sembilan satu
persen) dari keseluruhan modal ditempatkan dan disetor
penuh Perseroan (Rencana Pengambilalihan).
Setelah penyelesaian Rencana Pengambilalihan, sebagai
pengendali baru Perseroan, Calon Pengendali Baru akan
melaksanakan penawaran tender wajib sesuai dengan
ketentuan dalam POJK 9/2018. Pelaksanaan Rencana
Pengambilalihan maupun penawaran tender wajib akan
dilakukan dengan memperhatikan ketentuan yang berlaku,
termasuk ketentuan di bidang pasar modal.

Announcement on the Progress of Negotiations in Relation to

Description of Material Information or Referring to Lim Shrimp Org Pte. Ltd.'s letter No.
Facts LSO/SMKM/08102501 dated October 13, 2025, regarding
Notification of the Progress of Negotiations regarding the
Proposed Acquisition of PT Sumber Mas Konstruksi Tbk, we
hereby provide you with the Announcement of the Progress of
Negotiations regarding the Proposed Acquisition of the
Company as referred to in Article 5 paragraph (1) of OJK
Regulation No. 9/POJK.04/2018 concerning the Takeover of
Public Companies (POJK 9/2018).
Lim Shrimp Org Pte. Ltd. (Prospective New Controller) as the
Prospective New Controller announced that there has been
progress in the negotiation process between the Prospective
New Controller and PT Vina Nauli Jordania (VNJ) as the
prospective seller, marked by the signing of a Conditional
Share Sale and Purchase Agreement on Friday, October 10,
2025, regarding the proposed acquisition of a maximum of
450,000,000 (four hundred and fifty million) shares of the
Company, equivalent to 35.91% (thirty-five point ninety one
percent) of the Company's total issued and fully paid-up capital
(Proposed Acquisition).
Upon completion of the Proposed Acquisition, as the new
controller of the Company, the Prospective New Controller will
conduct a mandatory tender offer in accordance with the
provisions of POJK 9/2018. The implementation of the
Proposed Acquisition and the mandatory tender offer will be
conducted in accordance with applicable regulations, including
capital market regulations.
