- Perolehan fasilitas pinjaman dan pemberian jaminan merupakan transaksi material yang dikecualikan sebagaimana
dimaksud dalam Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha
("POJK No. 17/2020") mengingat (i) fasilitas pinjaman akan diterima langsung oleh Perseroan dari perusahaan
pembiayaan dan (ii) pemberian jaminan diberikan untuk menjamin kewajiban pembayaran Perseroan kepada Pemberi
Pinjaman. Oleh karena itu, berdasarkan Pasal 11 POJK No. 17/2020, perolehan fasilitas pinjaman dan pemberian
jaminan merupakan transaksi material yang dikecualikan untuk memenuhi ketentuan dalam Pasal 6 ayat (1) huruf (a)
dan (d) POJK No. 17/2020. - Perolehan fasilitas pinjaman dan pemberian jaminan bukan merupakan transaksi afiliasi
sebagaimana dimaksud dalam Peraturan OJK No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan
Kepentingan. - Perseroan telah memperoleh persetujuan para pemegang saham untuk memperoleh fasilitas pinjaman
dan pemberian jaminan dalam Rapat Umum Pemegang Saham Tahunan yang diselenggarakan pada tanggal 10 Juni
2026, sebagaimana tertuang dalam Akta Nomor 13 tertanggal 10 Juni 2026 yang dibuat oleh Titik Krisna Murti
Wikaningsih Hastuti, S.H., M.Kn., Notaris di Jakarta Selatan.

                                              assets owned by the Company.

                                              IDR 133.000.000.000 (one hundred thirty-three billion Rupiah)

                                              e. Terms
                                              96 (ninety-six) months from the first facility drawdown date

                                              f. Purpose of Loan
                                              Refurbishment/renovation of existing warehouses and
                                              construction of new built-to-suit modern warehouse for PT
                                              Global Yimi Cargo (J&T Cargo) at the Company's business
                                              premises.
 Impact of event, material information or     This loan facility will enable the Company to: (a) fund capital

Other Information

- The obtaining of this loan facility and granting of security are considered as material transactions that are
exempted under OJK Regulation No. 17/POJK.04/2020 regarding Material Transactions and Changes of Business
Activities ("OJK Regulation No. 17/2020"), considering that (i) the loan will be received directly by the Company
from a financing company and (ii) the granting of security is provided to secure the Company's payment obligation

to the Lender. Therefore, beased on Article 11 OJK of Regulation No. 17/2020, the obtaining of the loan facility and
granting of security are considered as material transactions that are exempted from complying with the provisions
stated in Article 6 paragraph (1) subparagraphs (a) and (d) of OJK Regulation No. 17/2020. - The obtaining of the
loan facility and granting of security shall not constitute affiliated party transactions as regulated under OJK
Regulation No. 42/POJK.04/2020 regarding Affiliated Transaction and Conflict of Interest Transaction. - The
Company has obtained the shareholders' approval to obtain the loan facility and granting of security in the Annual
General Meeting of Shareholders of the Company which was convened on 10 June 2026, the minutes of which is
set out in Deed No. 13 dated 10 June 2026 made by Titik Krisna Murti Wikaningsih Hastuti, S.H., M.Kn., Notary in
South Jakarta.
