Srikandi Jaya (LSJ) dan PT Antar Sarana Rekasa (ASR)
Uraian Informasi atau Fakta Material Sehubungan dengan telah diperolehnya persetujuan dari
Pemegang Saham Independen atas rencana Perseroan untuk
melakukan pembelian aset kapal berupa 20 (dua puluh) unit
armada kapal tunda (tugboat) dan kapal tongkang (barge),
pada tanggal 9 Oktober 2025, TIRT, LSJ dan ASR, telah
menandatangani Akta Jual Beli (AJB) atas 6 (enam) unit kapal
tambahan.
Dengan telah dilakukannya penandatanganan AJB atas 6
(enam) kapal tersebut, maka seluruh 20 (dua puluh) unit kapal
yang direncanakan telah resmi dimiliki oleh Perseroan. Hal ini
untuk mendukung kegiatan usaha utama Perseroan yang baru
yaitu di industri angkutan laut.
Dampak kejadian, informasi atau fakta Pembelian 6 unit kapal dilakukan untuk mendukung rencana
material tersebut terhadap kegiatan strategis Perseroan dalam melakukan transformasi bisnis ke
operasional, hukum, kondisi keuangan, industri angkutan laut, khususnya untuk pembelian kapal
atau kelangsungan usaha Emiten atau sebagai aset operasional utama, yang akan memberikan
Perusahaan Publik dampak positif terhadap kondisi keuangan dan kelangsungan
usaha Perseroan.

Deed of Sale and Purchase of 6 vessels between TIRT and PT

(ASR)
Description of Material Information or In connection with the approval obtained from the Independent
Facts Shareholders regarding the Company's plan to acquire vessel
assets consisting of 20 (twenty) units of tugboats and barges,
on October 9, 2025, TIRT, LSJ and ASR signed a Deed of
Sale and Purchase for the additional 6 vessels.
With the signing of the Deed of Sale and Purchase for these 6
vessels, all 20 vessels planned for acquisition have been
officially owned by the Company. This acquisition supports the
Company's new core business activities in the sea
transportation industry.
Impact of event, material information or The purchase of 6 ships was carried out to support the
facts towards Issuers or Public Companys strategic plan in transforming its business activity
Company’s operational activities, legal, into the sea transportation industry, particularly for the
financial condition, or going concern purchase of ships as the main operational assets, which will
have a positive impact on the Company's financial condition
and business continuity.
