Description of Material Information or Facts 24 Juli 2025 sehubungan dengan Penandatanganan Perjanjian
Jual Beli Bersyarat (“CSPA”) atas saham PT Platinum Wahab
Nusantara Tbk (“TGUK”), dengan ini kami memberitahukan
bahwa para pihak telah menyepakati Addendum tertanggal 30
September 2025 terhadap CSPA dimaksud.
Addendum tersebut mengatur perubahan pada ketentuan Pasal
1.1 dan Pasal 4.5 terkait dengan tanggal akhir penyelesaian,
yang semula ditetapkan sampai dengan tanggal 30 September
2025, diubah menjadi paling lambat tanggal 31 Desember 2025,
sementara itu ketentuan lain dalam CSPA tidak berubah.

Reference is made to the Information and Material Facts Report
dated July 24, 2025, in connection with the signing of the
Conditional Share Purchase Agreement (“CSPA”) over the

shares of PT Platinum Wahab Nusantara Tbk (“TGUK”). The
Company hereby announces that the parties have agreed to an
Addendum to the said CSPA dated September 30,2025.
The Addendum stipulates amendments to the provisions of
Article 1.1 and Article 4.5 relating to the completion date, which
was originally set until September 30, 2025, and has been
amended to no later than December 31, 2025, meanwhile, other
provisions in the CSPA remain unchanged.
Dampak kejadian, informasi atau fakta material : Rencana Pengambilalihan masih dalam proses pemenuhan
tersebut terhadap kegiatan operasional, hukum, Persyaratan Pendahuluan sebagaiaman diatur dalam PPJB.
kondisi keuangan, atau kelangsungan usaha Hingga saat ini tidak ada dampak material pada kegiatan
Emiten atau Perusahaan Publik / operasional Perseroan.
Impact of material event, information or facts on The Takeover Plan is still in process to satisfied the Condition
operational activities, legal, financial condition, or Precedent of CSPA. So far there is no material impact on the
going concern of the Issuer or Public Company Company’ operational activities.
