LAPORAN HASIL PELAKSANAAN
PUBLIC EXPOSE INSIDENTAL

Public Expose Insidental Tahun 2025 PT. Dana Brata Luhur Tbk (Perseroan) (“PUBEX”) telah
diselenggarakan pada:
Hari/Tanggal : Rabu, 1 Oktober 2025
Waktu : Pukul 14.00 – 15.00 WIB
Tempat : Zoom Meetings
Laporan berikut merupakan laporan pelaksanaan PUBEX, dimana pada acara tersebut Perseroan
diwakili oleh:

• Peserta yang mengikuti Zoom Meetings PUBEX berjumlah 47 (empat puluh tujuh) peserta.
Dengan rincian 27 Peserta mengisi daftar hadir dan 20 peserta tidak mengisi daftar hadir.
Peserta yang hadir pada acara PUBEX ini terdiri dari pemegang saham, calon investor dan
perwakilan media.
PUBEX dibuka pada pukul 14.00 WIB oleh Bapak Welly Susanto selaku Direktur Perseroan. Beberapa
hal yang disampaikan dalam pembukaan diantaranya adalah :
• Public Expose Insidental dilakukan berdasarkan:
Keputusan Direksi PT Bursa Efek Indonesia Nomor: Kep-00066/BEI/09-2022 Tentang
Perubahan Peraturan Nomor I-E Tentang Kewajiban Penyampaian Informasi, Poin III.3.2 yang
menegaskan tentang kewajiban bagi perusahaan tercatat untuk melakukan Publik Expose
Insidental atas permintaan Bursa apabila menurut Bursa Perusahaan Tercatat mengalami
peristiwa atau kejadian atau terdapat informasi yang dapat mempengaruhi nilai Efek atau
keputusan pemodal.
• Acara Public Expose insidental ini diadakan terkait Keterbukaan Informasi yang dilakukan
Perseroan untuk memenuhi prinsip-prinsip transparansi yang merupakan bagian dari sistem
tata kelola perusahaan yang baik.

jawab.

Berikut adalah pertanyaan yang diajukan oleh peserta dan jawaban yang diberikan oleh manajemen
Perseroan dalam acara ini:
1. Bpk. William AD dari Investor
Pertanyaan:
1) Berapa target laba Perseroan di tahun 2025 ?
Jawaban:
1) Perseroan mentargetkan volume throughput pada tahun 2025 sebanyak 7 Juta
MT, dengan perkiraan laba sebelum pajak kurang lebih Rp 96.000.000.000.
2. Bpk. Jeffrey dari Investor
Pertanyaan:
1) Bagaimana rencana Perseroan kedepan terhadap salah satu Entitas Anak PT
Talenta Bumi Energi ? mengingat Pengendali Baru Perseroan memiliki bisnis CPO
dan batubara di Kalimantan Selatan. Dan bagaimana peran Perseroan dalam
mendukung sinergi bisnis antar Pengendali Baru ?
2) Terkait pengembangan usaha, apakah Perseroan akan memperluas ke bidang
pertambangan atau hanya tetap di bidang penyedia jasa ?
3) Dengan masuknya PT Dua Samudera Perkasa sebagai Pengendali Baru
Perseroan, apa strategi baru yang akan dijalankan ?
Jawaban:
1) Saat ini Perseroan belum dapat menjabarkan rencana kedepan terhadap Entitas
Anak PT Talenta Bumi Energi dikarenakan Pengendali Baru masih menjajaki
bisnis plan dari PT Dana Brata Luhur Tbk Group. Perseroan akan selalu bersinergi
dan berkoordinasi dengan Pengendali Baru untuk mendukung bisnis Group
Perseroan.
2) Saat ini Perseroan hanya fokus pada di bidang penyedia jasa. Perseroan belum
dapat menjabarkan rencana bisnis jangka Panjang khususnya bidang
Pertambangan.
3) Dengan pengalaman bisnis Pengendali Baru PT Dua Samudera Perkasa dalam
bidang kepelabuhanan, sangat bersinergi dan mendukung Entitas Anak
Perseroan PT Pelabuhan Talenta Bumi dalam usahanya sebagai Badan Usaha
Kepelabuhanan (BUP) yang telah melakukan Perjanjian Konsesi dengan KSOP
Kelas I Banjarmasin untuk Pemberian Hak Konsesi untuk pelaksanaan kegiatan
pengusahaan Jasa Kepelabuhanan di Terminal Pelabuhan Talenta Bumi di
Banjarmasin. Perseroan optimis dengan masuknya PT Dua Samudera Perkasa,
dapat mendukung pengembangan bisnis dan memperluas cakupan wilayah ke
seluruh wilayah Indonesia juga dapat meningkatkan kinerja yang lebih baik
terhadap Perseroan.
3. Bpk. Sidiq dari Investor

1) Apakah ada rencana asset injection dari pihak luar ke Perseroan ?
Jawaban:
1) Untuk saat ini tidak ada rencana asset injection dari pihak lain/pihak luar ke
Perseroan. Dengan masuknya PT Dua Samudera Perkasa sebagai Pengendali Baru,
dapat dipastikan tidak ada asset injection dari pihak lain/pihak luar.
4. Bpk. Leonardo dari Investor
Pertanyaan:
1) Bagaimana strategi bisnis jangka menengah Perseroan dalam mengembangkan
bisnis kepelabuhanan dan hauling road agar bersinergi dengan PT Jhonlin Group
dan menghasilkan nilai tambah?
2) Apakah manajemen juga memiliki rencana mengembangkan armada logistic laut
(kepemilikan kapal) guna menciptakan rantai logistic terintegrasi dari tambang
hingga pasar ekspor ?
Jawaban:
1) Dengan adanya perluasan izin untuk menjadi Badan Usaha Kepelabuhanan (BUP)
dan ditanda-tanganinya Perjanjian Konsesi dengan KSOP Kelas I Banjarmasin
untuk Pemberian Hak Konsesi untuk pelaksanaan kegiatan pengusahaan Jasa
Kepelabuhanan di Terminal Pelabuhan Talenta Bumi di Banjarmasin, telah
memperluas cakupan bisnis yang tidak hanya sebatas melayani komoditas
batubara, namun juga komoditas lainnya.
2) Saat ini Perseroan belum ada rencana untuk investasi di kepemilikan kapal atau
pengembangan bisnis lainnya. Seperti yang telah Perseroan sampaikan,
Perseroan saat ini fokus pada di bidang penyedia jasa kepelabuhanan dan bisnis
yang sudah ada terlebih dengan telah diperolehnya perjanjian konsesi. Adapun
rencana kedepannya, pengembangan logistic atau bidang usaha lainnya akan
Perseroan sampaikan apabila sudah ada kepastian.
5. Bpk. Hardy dari Investor
Pertanyaan:
1) Apakah untuk kedepannya Perseroan akan membagian dividen seperti sebelumnya
?
Jawaban:
1) Perseroan akan memberitahukan kebijakan terkait dividen setelah Perseroan
mendapatkan laporan kinerja pada akhir tahun 2025.
6. Bpk. Adli Rachman dari Investor
Pertanyaan:
1) Menurut Perseroan, apakah harga saham saat ini sudah mencerminkan
fundamental atau hanya terdorong oleh faktor sentimen sementara ?
Jawaban:
1) Harga saham saat ini dipengaruhi oleh mekanisme pasar. Perseroan maupun
pemegang saham yang terafiliasi dengan Perseroan, tidak mengetahui aktivitas
yang terjadi dalam transaksi saham dalam mekanisme pasar.
Setelah selesainya sesi Tanya Jawab, Public Expose ditutup pada pukul 15.00 WIB.

The 2025 Incidental Public Expose of PT. Dana Brata Luhur Tbk (the Company) (“PUBEX”) has been
held on:

The following is the report on the implementation of PUBEX, in which the Company was represented
by:

• The total attendees of the PUBEX Zoom Meetings were 47 (forty-seven) participants. Of
which, 27 participants filled out the attendance list, and the other 20 participants did not. The
participants present at this PUBEX event consisted of shareholders, prospective investors, and
media representatives.
PUBEX was opened at 2:00 PM by Mr. Welly Susanto as the Company's Director. Some of the points
mentioned during the opening include:
• Incidental Public Expose is conducted based on:
The Decree of the Board of Directors of PT Indonesia Stock Exchange Number: Kep-
00066/BEI/09-2022 regarding Amendments to Regulation Number I-E on the Obligation to
Submit Information, Point III.3.2, which emphasizes the obligation for listed companies to
conduct an Incidental Public Expose at the request of the Exchange if the Exchange determines
that the Listed Company has experienced an event or incident or there is information that
may affect the value of Securities or investors’ decisions.
• This incidental Public Expose event was held in relation to the Information Disclosure
conducted by the Company to fulfill the principles of transparency, which are part of a good
corporate governance system.

After the presentation of all PUBEX materials by Management, the event continued with a question
and answer session.
Q&A Session
Here are the questions posed by the participants and the answers provided by the Company's
management during this event:
1. Mr. William AD as Investor
Question:
1) What is the Company's profit target in 2025?
Answer:
1) The company is targeting a throughput volume of 7 million MT in 2025, with an
estimated pre-tax profit of approximately Rp 96.000.000.000.
2. Mr. Jeffrey as Investor
Question:
1) What are the Company's future plans regarding one of the Subsidiaries, PT
Talenta Bumi Energi, considering that the Company's New Controller has a CPO
and coal business in South Kalimantan? And what is the Company's role in
supporting business synergy among the New Controller?
2) Regarding business development, will the Company expand into the mining
sector or remain solely in the service provider sector?
3) With the entry of PT Dua Samudera Perkasa as the new controlling shareholder
of the company, what new strategy will be implemented?
Answer:
1) Currently, the Company cannot yet outline future plans for its Subsidiary PT
Talenta Bumi Energi because the New Controller is still reviewing the business
plans of PT Dana Brata Luhur Tbk Group. The Company will always synergize and
coordinate with the New Controller to support the Company's Group business.
2) At this time, The Company is only focused on the service provider sector. The
Company has not been able to outline a long-term business plan, particularly in
the mining sector.
3) With the business experience of the New Controller of PT Dua Samudera
Perkasa in the port sector, there is a strong synergy that supports the
Company’s subsidiary, PT Pelabuhan Talenta Bumi, in its operations as a Port
Business Entity (BUP) which has entered into a Concession Agreement with
KSOP Class I Banjarmasin for the Granting of Concession Rights to carry out port
service business activities at the Talenta Bumi Port Terminal in Banjarmasin. The
Company is optimistic that with the entry of PT Dua Samudera Perkasa, it can
support business development, expand territorial coverage throughout
Indonesia, and also improve the Company's performance.
3. Mr. Sidiq as Investor
Question:
1) Is there a plan for asset injection from external parties into the Company?
Answer:
1) In the meantime, there are no plans for asset injection from other parties/external
parties into the Company. With PT Dua Samudera Perkasa becoming the New

Controller, it can be ensured that there will bot be any asset injection from other
parties/external parties.
4. Mr. Leonardo as Investor
Question:
1) What is the Company's medium-term business strategy for developing port and
hauling road businesses so that they can synergize with PT Jhonlin Group and
create added value?
2) Does management also have plans to develop a sea logistics fleet (ship ownership)
in order to create an integrated logistics chain from the mine to the export market?
Answer:
1) With The expansion of the license to Port Business Entity (BUP) and the signing of
the Concession Agreement with KSOP Class I Banjarmasin for the Granting of
Concession Rights for the implementation of port service business activities at
Talenta Bumi Port Terminal in Banjarmasin, it has expanded the scope of business
to not only serve coal commodities but also other commodities.
2) Currently, the Company has no plans to invest in ship ownership or other business
developments. As the Company has stated, it focused currently on providing port
services and existing businesses, especially now that a concession agreement has
been obtained. As for future plans, the Company will communicate any
developments in logistics or other business areas once there is certainty.
5. Mr. Hardy as Investor
Question:
1) Will the Company distribute dividends in the future as it did previously?
Answer:
1) The Company will inform its dividend policy after receiving the performance report
at the end of 2025.
6. Mr. Adli Rachman as Investor
Question:
1) According to the Company, does the current stock price already reflect the
fundamentals or is it only driven by temporary sentiment factors?
Answer:
1) The current stock price is influenced by market mechanisms. The Company, as
well as shareholders affiliated with the Company, are not aware of any activities
occurring in stock transactions within the market mechanism.
