Sejak Tanggal Efektif Pemisahan, semua operasi,
usaha, kegiatan dan aktivitas UUS beralih karena
hukum kepada dan akan diusahakan oleh PAS
atas keuntungan, kerugian, dan tanggungan PAS
sebagai pihak yang menerima Pemisahan.
Semua izin, fasilitas, lisensi, persetujuan dan
pemanfaatan yang telah diberikan oleh pihak
yang berwenang kepada Perseroan/UUS dalam
rangka operasi, usaha dan kegiatan serta
aktivitas UUS beralih kepada PAS dengan
ketentuan bahwa pengalihan tersebut harus
berdasarkan kepada ketentuan hukum yang
berlaku.

Dalam hal pengalihan atau pemindahan izin-izin,
fasilitas, lisensi dan persetujuan seperti tersebut
di atas memerlukan suatu tindakan lebih lanjut
berdasarkan ketentuan yang berlaku, maka
Perseroan dan PAS akan mendaftarkan semua
izin-izin yang dimiliki oleh Perseroan/UUS ke atas
hama PAS.

Seluruh biaya yang wajar baik langsung maupun
tidak langsung, yang timbul sebagai akibat dari
pengalihan operasi, usaha, aktivitas dan kegiatan
serta izin, persetujuan, lisensi, Fasilitas dan
pendaftaran dari Perseroan/UUS ke PAS menjadi
tanggung jawab PAS.

Seluruh kantor cabang, kantor kas, unit
pelayanan kas UUS, serta seluruh Layanan
Syariah Asuransi, sejak Tanggal Efektif, menjadi
kantor cabang, kantor kas, unit pelayanan kas,
dan Layanan Syariah Asuransi (LSA) PAS.

Setelah PAS memperoleh pengalihan hak dan
kewajiban dari Perseroan, maka izin usaha UUS
yang dimiliki oleh Perseroan akan dicabut dan
Perseroan sudah tidak lagi dapat melakukan
kegiatan operasional syariah.

Since the Effective Date of the Separation, all
operations, businesses, activities and activities of

All permits, facilities, licenses, approvals and
utilization that have been granted by the

Company/UUS on the basis of PAS.

(4) All reasonable costs, whether direct or indirect,
arising as a result of the transfer of operations,
businesses, activities and activities as well as
permits, approvals, licenses, facilities and
registrations from the Company/UUS to PAS shall
be the responsibility of PAS.

(5) All branch offices, cash offices, UUS cash service
units, and all Sharia Insurance Services, since the
Effective Date, become branch offices, cash
offices, cash service units, and PAS Sharia
Insurance Services (LSA).

(6) After PAS obtains the transfer of rights and
obligations from the Company, the UUS business
license owned by the Company will be revoked and
the Company will no longer be able to carry out
sharia operational activities.

Akibat Hukum Pemisahan/ Legal Conseguences of
Separation

Pemisahan UUS yang dilakukan Perseroan
mengakibatkan seluruh aktiva dan pasiva Perseroan
yang tercatat pada neraca UUS beralih karena hukum
kepada PT MSIG Sharia Life Insurance Indonesia
berdasarkan Akta Pemisahan sesuai dengan
ketenuan perundang-undangan yang berlaku.
Pemisahan dilakukan dengan cara pendirian PAS
yaitu PT MSIG Sharia Life Insurance Indonesia.
Dengan demikian Pemisahan menyebabkan
peralihan seluruh aktiva dan pasiva UUS Perseroan
ke PAS hasil Pemisahan.

The separation of the Sharia Business Unit carried out
by the Company resulted in all of the Company's assets
and liabilities recorded on the UUS balance sheet
shifting to PT MSIG Sharia Life Insurance Indonesia
based on the Deed of Separation in accordance with
the applicable laws. The separation was carried out by
establishing PAS, namely PT MSIG Sharia Life
Insurance Indonesia. Thus, the Separation causes the
transfer of all assets and liabilities of the Company's
UUS to PAS as a result of the Separation.

Kondisi Keuangan/ Financial Condition

Pemisahan UUS tidak akan berdampak terhadap
kondisi keuangan Perseoran. Penyertaan modal yang
dilakukan Perseroan kepada PAS bersumber dari
modal yang dimiliki Perseoran.
