Uraian Informasi atau Fakta Material Memenuhi ketentuan Peraturan Otoritas Jasa Keuangan
Nomor 27/POJK.04/2020 tentang Saham Bonus,Direksi PT
Suparma Tbk (Perseroan) bersama ini menyampaikan
keterbukaan informasi sehubungan denganrencana
pembagian dividen saham yang berasal dari kapitalisasi saldo
laba Perseroan tahun buku 2024, Direksi Perseroan
menyampaikan hal-hal sebagai berikut yang akan diusulkan
pada Rapat Umum Pemegang Saham Luar Biasa yang akan
diselenggarakan pada hari Kamis, tanggal 30 Oktober 2025
(RUPSLB).
Dampak kejadian, informasi atau fakta Perseroan berencana membagikan Dividen Saham dari
material tersebut terhadap kegiatan Kapitalisasi Saldo Laba sebanyak-banyaknya 946.227.663
operasional, hukum, kondisi keuangan, lembar saham dengan rasio 100:30 (setiap pemegang 100
atau kelangsungan usaha Emiten atau lembar saham lama memperoleh 30 lembar saham baru)
Perusahaan Publik dengan nilai nominal Rp 400,- atau dengan jumlah
keseluruhan sebanyak-banyaknya Rp 378.491.065.200,- dari
kapitalisasi saldo laba yang belum dicadangkan.
Rasio dan jumlah maksimum Dividen Saham yang
diinformasikan dalam Keterbukaan Informasi ini menggunakan
asumsi bahwa harga pasar saham pada penutupan
perdagangan 1 hari sebelum RUPSLB adalah sama dengan
atau di bawah nilai nominal Perseroan.
Jumlah Dividen Saham yang dibagikan ditentukan
berdasarkan harga pasar saham pada penutupan
perdagangan 1 hari sebelum RUPSLB, maka jika harga pasar
tersebut sama atau di bawah nilai nominal saham, maka rasio
pembagian Dividen Saham akan tetap 100 lembar saham
lama mendapatkan 30 lembar saham baru. Namun jika harga
pasar tersebut lebih tinggi dari nilai nominal saham, maka
rasio pembagian Dividen Saham akan mengalami perubahan.

Information Disclosure Regarding Plan of Distribution of
Type of Material Information or Facts Shares Dividend
Description of Material Information or In compliance with the provisions of the Financial Services
Facts Authority Regulation Nomor 27/POJK.04/2020 concerning
Bonus Shares, Directors of PT Suparma Tbk (The Company)
hereby convey the disclosure of information in connection with
the plan to distribute share dividends from the Capitalization of
the Company Retained Earnings for the 2024 financial year,
the Board of Directors of the Company convey the following
matters which will be proposed at the Extraordinary General
Meeting of Shareholders which will be held on Thursday, 30
October 2025 (EGMS).
Impact of event, material information or The Company plans to distribute Share Dividends from the
facts towards Issuers or Public Capitalization of Retained Earnings of a maximum of
Company’s operational activities, legal, 946,227,663 shares at a ratio of 100:30 (for every 100 existing
financial condition, or going concern shares get 30 new shares) with a par value of Rp 400, or a
total of a maximum of Rp 378,491,065,200 from the
capitalization of unappropriated retained earnings.
The ratio and maximum amount of Share Dividends inform in
the Disclosure of Information use assumption that the market
price at the close of trading 1 day prior to the EGMS is equal to
or below the Company's par value.
The amount of Share Dividends distributed is determined
based on the market price of the shares at the close of trading
1 day prior to the EGMS, if the market price is equal to or
below the par value of the shares, the Stock Dividend
distribution ratio will remain the same: 100 existing shares
receive 30 new shares. However, if the market price is higher
than the par value of the shares, the Stock Dividend
distribution ratio will change.
