Other material information or facts — signing non-binding term sheet. 3. | Uraian informasi atau Fakta Material lainnya yang relevan/ Details of information or other relevant Material Fact: Pada tanggal 19 September 2025, Perseroan telah menandatangani non- binding term sheet dengan para pemegang saham Scan-Bilt Pte. Ltd. (SBPL) suatu perusahaan berkedudukan dan tunduk pada hukum negara Singapura. SBPL menjalankan kegiatan usaha di bidang plant civil — engineering construction dan maintenance work untuk industri pengolahan kimia serta minyak & gas darat. Sehubungan dengan rencana transaksi ini, Perseroan bermaksud — untuk mengambil alih mayoritas saham SBPL dengan estimasi nilai transaksi yang akan ditentukan kemudian setelah proses due diligence dan negosiasi lebih lanjut telah selesai. Rencana pengambilalihan mayoritas kepemilikan saham di SBPL merupakan bagian dari strategi pertumbuhan dan diversifikasi Petrosea untuk mendukung pengembangan usaha dan ekspansi bisnis di sektor kimia dan energi. Sebagai langkah strategis, Petrosea akan mengembangkan SBPL sebagai business hub bagi ekspansi bisnis ke kawasan Asia Pasifik yang mencakup Singapura, Papua Nugini dan Indonesia. On 19 September 2025, the Company entered into a non-binding term sheet with the shareholders of Scan-Bilt Pte. Ltd. (SBPL), a company incorporated and existing under the laws of Singapore. SBPL is engaged in plant civil engineering construction and maintenance work for the chemical processing and onshore oil & gas industries. In connection with this proposed transaction, the Company intends to acguire majority of the shares in SBPL, with the estimated transaction value to be determined upon the completion of due diligence and further negotiations. The planned acguisition of majority of shares in SBPL is part of Petrosea's growth and diversification strategy to support business development and expansion into the chemical and energy sectors. The proposed transaction does not constitute an affiliated transaction nor ad conflict of interest transaction as referred to in POJK No. 42/POJK.04/2020 regarding Affiliated Transactions and Conflict of Interest Transactions, and it does not constitute —@ material transaction as referred to in POJK No. 17/POJK.04/2020 regarding Material Transactions and Change of Business Activities.
