Uraian Informasi atau Fakta Material Berdasarkan Akta Pendirian PT Tempo Agri Nusantara No.11
tanggal 18 September 2025, yang dibuat dihadapan Irene
Yulia, SH, Notaris di Jakarta (selanjutnya disebut AKTA), PT
Polari Limunusainti (PLI) dan PT Kian Mulia Manunggal
(KMM), keduanya merupakan anak perusahaan Perseroan
bersama dengan PT Bogamulia Nagadi (BMN) yang
merupakan entitas induk Perseroan telah mendirikan suatu
perseroan terbatas dengan nama PT Tempo Agri Nusantara,
berkedudukan di Jakarta Selatan (TAN), dengan mengambil
bagian atau penyertaan modal sebagai berikut:
a. BMN sebanyak 750 saham dengan nilai nominal semuanya
Rp 750.000.000 atau 60% dari jumlah modal ditempatkan
TAN;
b. PLI sebanyak 250 saham dengan nilai nominal semuanya
Rp 250.000.000 atau 20% dari jumlah modal ditempatkan
TAN;
c. KMM sebanyak 250 saham dengan nilai nominal semuanya
Rp 250.000.000 atau 20% dari jumlah modal ditempatkan
TAN;
(selanjutnya disebut Transaksi). TAN adalah perusahaan yang
akan bergerak di bidang industri pengolahan susu segar dan
krim, industri pengolahan susu bubuk dan susu kental, industri
pengolahan produk dari susu lainnya, pertanian, peternakan,
industri, perdagangan dan jasa.
Dampak kejadian, informasi atau fakta Pendirian TAN tersebut di atas, tidak memiliki dampak material
material tersebut terhadap kegiatan atas kegiatan operasional, hukum, kondisi keuangan atau

Description of Material Information or Based on the Deed of Establishment of PT Tempo Agri
Facts Nusantara No. 11 dated September 18, 2025, drawn up before
Irene Yulia, SH, Notary in Jakarta (hereinafter referred to as
the Deed), PT Polari Limunusainti (PLI) and PT Kian Mulia
Manunggal (KMM), both subsidiaries of the Company, together
with PT Bogamulia Nagadi (BMN), the Company's parent
entity, have established a limited liability company named PT
Tempo Agri Nusantara, domiciled in South Jakarta (TAN), by
taking part or capital participation as follows:
a. BMN, 750 shares with a total nominal value of Rp
750,000,000, or 60% of TAN's issued capital;
b. PLI, 250 shares with a total nominal value of Rp
250,000,000, or 20% of TAN's issued capital;
c. KMM, 250 shares with a total nominal value of Rp
250,000,000, or 20% of TAN's issued capital;
(hereinafter referred to as the Transaction). TAN is a company
that will operate in the fresh milk and cream processing
industry, powdered milk and condensed milk processing
industry, other dairy product processing industry, agriculture,
animal husbandry, industry, trade and services.
