3. Uraian Informasi atau Fakta Material Dalam rangka mendukung perkembangan usaha Perseroan,
Description of Information or maka Perseroan melalui PT Hikari Infra Indonesia (“HII”) telah

Indonesia (“SII”). Akta Pendirian SII sebagaimana termaktub
dalam Akta Notaris Emmyra Fauzia Kariana, S.H., M.Kn., Nomor
16 tanggal 10 September 2025, yang telah disetujui dan disahkan
oleh Menteri Hukum Republik Indonesia Nomor AHU-
0078201.AH.01.01.TAHUN 2025 Perihal Pengesahan Pendirian
Badan Hukum Perseroan Terbatas PT Smart Inspection Indonesia
tanggal 12 September 2025. SII merupakan entitas anak tidak
langsung Perseroan yang melakukan kegiatan usaha dalam
bidang Konstruksi, yang antara lain yaitu (i) Konstruksi Bangunan
Sipil Jalan (KBLI 42101); (ii) Konstruksi Bangunan Sipil Jembatan,
Jalang Layang, Fly Over dan Underpass (KBLI 42102); dan (iii)
Instalasi Sinyal dan Rambu-Rambu Jalan Raya (KBLI 43216).
In order to support the Company’s business development, the
Company, through HII, has established a subsidiary under the
name PT Smart Inspection Indonesia (“SII”). The Deed of
establishment of SII is as stipulated in Notarial Deed Emmyra
Fauzia Kariana, S.H., M.Kn., Number 16 dated 10 September
2025 which has been approved by the Minister of Law of the
Republic of Indonesia on 12 September 2025 in accordance with
the Decree of Minister of Law of the Republic of Indonesia No
AHU-0078201.AH.01.01.TAHUN 2025 regarding Approval of
Establishment of the Limited Liability Company PT Smart
Inspection Indonesia dated 12 September 2025. SII is an indirect
subsidiary of the Company engaged in business activities in the
field of Construction, which include, among others: (i) Civil Road
Construction (KBLI 42101); (ii) Civil Construction of Bridges,
Overpasses, Flyovers, and Underpasses (KBLI 42102); and (iii)
Installation of Road Signaling and Traffic Signs (KBLI 43216).

Below a brief description of HII in relation to the establishment of
SII:
PT Hikari Infra Indonesia
HII merupakan suatu perseroan terbatas yang berkedudukan
hukum di Menara Global Lantai 23 Suite B, Jalan Jend. Gatot
Subroto Kav. 27, Kelurahan Kuningan Timur, Kecamatan
Setiabudi, Jakarta. HII didirikan berdasarkan Akta Notaris Emmyra
Fauzia Kariana, S.H., M.Kn., Nomor 2 tanggal 2 September 2025
yang telah disetujui dan disahkan oleh Menteri Hukum Republik
Indonesia pada tanggal 3 September 2025 sesuai Keputusan
Menteri Hukum Republik Indonesia Nomor AHU-
0075331.AH.01.01.TAHUN 2025 perihal Pengesahan Pendirian
Badan Hukum Perseroan Terbatas PT Hikari Infra Indonesia
tanggal 3 September 2025.
HII is a limited liability company legally domiciled at Menara Global
Lantai 23 Suite B, Jalan Jend. Gatot Subroto Kav. 27, Kelurahan
Kuningan Timur, Kecamatan Setiabudi, Jakarta. HII was
established pursuant to Notarial Deed of Emmyra Fauzia Kariana,
S.H., M.Kn., Number 2 dated September 2, 2025, which has been
approved and ratified by the Minister of Law of the Republic of
Indonesia on September 3, 2025, in accordance with the Decree
of the Minister of Law of the Republic of Indonesia Number AHU-
0075331.AH.01.01.TAHUN 2025 regarding the Ratification of the
Establishment of the Legal Entity of Limited Liability Company
PT Hikari Infra Indonesia dated September 3, 2025.
Saat ini Perseroan memiliki sebanyak 99,95% (sembilan puluh
sembilan koma sembilan lima persen) saham tidak langsung
dalam HII.
Currently, the Company owned 95.95% (ninety-nine point nine five
percent) indirect shares in HII.
Dengan demikian, Perseroan akan memiliki 99,94% (sembilan
puluh sembilan koma sembilan empat persen) saham secara tidak
langsung dalam SII.
As such, the Company will indirectly own 99.94% (ninety-nine point
nine four percent) shares in SII.
4. Dampak kejadian, informasi atau Pendirian SII tidak akan memiliki dampa secara material terhadap
fakta material tersebut terhadap operasional, hukum, kondisi keuangan dan keberlanjutan usaha
