Dampak kejadian, informasi atau fakta        Pelaksanaan PMTHMETD melalui penerbitan saham baru
material tersebut terhadap kegiatan          akan berdampak pada peningkatan jumlah saham Perseroan
operasional, hukum, kondisi keuangan,        yang beredar. Sebagai hasil dari penambahan modal
atau kelangsungan usaha Emiten atau          ditempatkan dan disetor dalam rangka pelaksanaan
Perusahaan Publik                            PMTHMETD, persentase kepemilikan saham akan mengalami
                                             penurunan persentase kepemilikan (dilusi) paling banyak
                                             sebesar 9,09% (sembilan koma nol sembilan persen).
                                             Meskipun demikian, jumlah saham yang dimiliki oleh
                                             pemegang saham sebelum dan setelah penerbitan saham
                                             baru tidak akan berubah.

                                             Dalam menetapkan harga pelaksanaan PMTHMETD,
                                             Perseroan mengikuti ketentuan yang tercantum dalam
                                             Peraturan No. I-A, yang menetapkan bahwa harga
                                             pelaksanaan paling sedikit 90% (sembilan puluh perseratus)
                                             dari rata-rata harga penutupan saham Perseroan yang
                                             bersangkutan selama kurun waktu 25 (dua puluh lima) Hari
                                             Bursa berturut-turut di Pasar Reguler sebelum tanggal
                                             permohonan Pencatatan saham tambahan hasil penambahan
                                             modal tanpa Hak Memesan Efek Terlebih Dahulu.

                                             Penentuan harga ini juga akan memperhatikan kepentingan
                                             Perseroan, pemegang saham minoritas, serta kualitas Investor
                                             yang akan berpartisipasi dalam investasi di Perseroan.

 Description of Material Information or       Referring to Financial Services Authority (OJK) Regulation No.
 Facts                                        32/POJK.04/2015, as amended by OJK Regulation No.
                                              14/POJK.04/2019 concerning Capital Increases for Public
                                              Companies Through Rights Issues, we hereby provide
                                              Disclosure of Information regarding the planned Capital
                                              Increase without Pre-emptive Rights (PMTHMETD) of PT
                                              Victoria Insurance Tbk.
 Impact of event, material information or     The implementation of the Capital Increase without Pre-
 facts towards Issuers or Public              emptive Rights (PMTHMETD) through the issuance of new
 Company’s operational activities, legal,     shares will result in an increase in the number of the
 financial condition, or going concern        Company's outstanding shares. As a result of the increase in
                                              issued and paid-up capital for the implementation of the
                                              PMTHMETD, the percentage of share ownership will
                                              experience a decrease (dilution) of a maximum of 9.09% (nine
                                              point zero nine percent). However, the number of shares held
                                              by shareholders before and after the issuance of new shares
                                              will remain unchanged.

                                              In determining the PMTHMETD exercise price, the Company
                                              complies with the provisions set forth in Regulation No. I-A,
                                              which stipulates that the exercise price must be at least 90%
                                              (ninety percent) of the average closing price of the Company's
                                              shares during the 25 (twenty-five) consecutive Trading Days
                                              on the Regular Market prior to the date of the application for
                                              listing of additional shares resulting from the capital increase
                                              without Pre-emptive Rights.

                                              This price determination will also take into account the
                                              interests of the Company, minority shareholders, and the
                                              quality of investors who will participate in the investment in the
                                              Company.
