Description of Information or Material Co., Ltd., tanggal 10 September 2025 perihal
Facts Pengumuman Negosiasi atas Rencana Akuisisi,
Kalon Holdings, Co., Ltd. ("Kalon") telah memulai
proses yang bertujuan untuk mengakuisisi seluruh
saham Mandom Corporation, sebuah perusahaan
yang tercatat di Papan Utama Bursa Efek Tokyo
("MCJ") (tidak termasuk saham-saham treasuri yang
dimiliki oleh MCJ dan saham-saham yang tidak
ditenderkan), melalui penawaran
pengambilalihan/penawaran tender ("TOB") atas
saham-saham MCJ ("Rencana Transaksi"). Kalon,
sebagai pihak yang melakukan penawaran tender,
menawarkan untuk membeli paling sedikit
[25.285.200] saham MCJ, yang merupakan [56,02%]
dani total modal disetor MCJ. Saat ini, MCJ memiliki
[65,23%] saham di Perseroan dan bertindak sebagai
pemegang saham pengendali. Dengan
diselesaikannya TOB, Kalon akan menjadi
pengendali tidak langsung Perseroan yang baru
melalui pengendaliannya atas MCJ. Rencana
Transaksi merupakan transaksi pengambilalihan
yang berlangsung di luar Indonesia. Oleh karenanya,
tidak terdapat perubahan pemegang saham secara
langsung di Perseroan dan setelah selesainya
Rencana Transaksi, MCJ akan tetap memiliki
[65,23%] saham di Perseroan. /
Referring to the announcement from Kalon Holdings
Co., Ltd., dated 10 September 2025 regarding
Negotiation Announcement on the Acquisition Plan,
Kalon Holdings, Co., Ltd. ("Kalon"), has commenced
the process with the purpose to acquire all the shares
in Mandom Corporation, a company listed on the
Prime Market of the Tokyo Stock Exchange ("MCJ")
(excluding the treasury shares held by MCJ and non-
tendered shares), by way of takeover bid/tender offer
("TOB') of MCJ's shares ("Proposed Transaction').
Kalon, as the tender offeror, is offering to purchase a
minimum of [25,285,200] shares of MCJ,
representing [56.02%] of MCJ's total paid up capital
Currently, MCJ owns [65.23%] of the shares in the
Company and acts as the controlling shareholder.
Upon the completion of the TOB, Kalon will assume
the position of new indirect controller of the Company
through its control of MCJ. The Proposed Transaction
is an acquisition which will occur outside of
Indonesia. There will be no direct change of
shareholders at the Company, and after the
completion of the Proposed Transaction, MCJ will
continue to own [65.23%] shares of the Company.

kelangsungan usaha Perseroan. /
Completion of the Proposed Transaction will only
occur once the conditions precedents have been
fulfilled as stipulated by KaIon, and KaIon will always
observe and comply with the applicable laws and
regulations, including OJK Regulation No.
9/POJK.04/2018 concerning the Acquisition of Public
Companies ("OJK Reg. 9/2018"). Information
regarding the completion of Proposed Transaction
will be announced to the public in accordance with
OJK Reg. 9/2018. However, this event does not have
a material impact on the Company's operational
activities, legal, financial condition, or business
continuity.

sampaikan kepada Otoritas Jasa Keuangan dan PT Bursa Efek Indonesia. / Thus we convey the
